Hello!
Hope this finds you well. I also left a voicemail earlier and completely understand you have a
ton going on . Firstly, thank you and your team for your prompt response to our event this
morning.
Per industry compliance, I do need to report the events to the BCC, and was hoping to get a
copy of the police report as soon as possible, as it is very time sensitive.
Apologies for the double communication, I just want to make sure we handle things
appropriately on our end.
Thank you again for your time, and I hope you enjoy the rest of your weekend!!

Hi Nick,
Thank you for your email. The email from Matt Bronson is very helpful. On our end, now I
am going to reach out to the BCC to get a clearer idea of what they permit in 5033 and
26070(j)(3) and from there I will have a better understanding of what we can allow within
out Security Plan.
Thank you also for the lead on San Francisco, I’ll also reach out to their folks and see what
they have allowed in their security requirements.
Also just so I am clear it sounds like you have now officially signed over your ownership in
NHC and no longer have an equity interest in the company? Would you send me over the
document in a separate email?
Thank you again, once I do some research and outreach I will see what if anything can
change in our Security Plan and if we are able to allow product on the shelf I will reach out
to your team for what the next steps would be.
For your teams knowledge we are working on a multiple requests from operators for the
cannabis program, one being a Transfer of Ownership request from your team, so any
adjustments to the Security Plan will take some time on our end, likely up to a month. I
know that is not ideal for your team but whenever we change any regulations we need to be
thorough and equitable with other operators. I will give your team updates on the Security
Plan as I can but please also feel free to check in on where we are in the process.
Best,
Georgina

Hi Georgina and Greg,
Since we last spoke I had reached out to the City of San Francisco's cannabis program about their
permitting of overnight product storage on retail floors (they were one of the other jurisdictions
we've seen this occur in). However I have yet to hear back and it's been quite a while. Since it could
be a sensitive security related question, you all might be more likely to get a response than me.
I have attached an email from Grover Beach City Manager Matt Bronson detailing how they were
able to permit this. Essentially with high security standards and a requirement of restricted access by
management employees after hours (which creates the temporary limited access area), the BCC
gave them leeway to allow it.
On another note, after we spoke I also had my attorney review the NHC SLO operating agreement,
and even though my interest was not actively vesting under the 4 year vesting period, since I'm no
longer employed there, he did say that a document assigning my interest had to be signed to make it
official. That was signed last week, so I now officially have no involvement with NHC. Let me know if
you need that document.
Thanks,

Really great again to speak with you and Nick this morning. As a follow up this is the
email I sent to Keith back in November after he inquired about leaving product on the

whole building as a vault to allow product being allowed on the floor overnight which is
why the response discusses that. Again we are open to revisiting this, I just wanted to
provide you this response.
I do not have Nick’s new email address, feel free to forward it on to him and if you

Hi Keith,
Apologies, most of us were out for Veteran’s Day on Wednesday.
So far we have not permitted any cannabis business to store product on the shelf. I
know you had spoke to Chad about getting your building considered a vault however,
we checked the BCC regulations and the BCC regulations do not allow for cannabis
goods to be stored out of limited access areas.
The BCC rule 5033 Storage of Inventory states, “All inventory stored on the licensed
premises shall be secured in a limited-access area”. Additionally, Limited-access
area, “means an area in which cannabis goods are stored or held and is only
accessible to a licensee and its employees and authorized individuals”. Problem:
Retail Areas are accessible to retail customers.
Therefore no business is allowed to store cannabis products on the retail floor
overnight even if the building is considered a vault as retail customers would come in
an out of the “limited-access area.”
We unfortunately cannot go over the BCC regulations and therefore are unable to
permit Megan’s Organic Market to leave products on the shelf and instead ask you
continue to follow your approved Security Plan and Inventory Procedures.
Let me know if you would still like to call or have any additional questions.

Thanks for the update! To answer your question about NHC, that is correct, I no longer have
an equity interest in that company and I just sent you the executed document in a separate
email.
