Gentlemen:
Recent illness has prevented my appearing before you concerning
the status of your recently constructed Fire Station No. 2 and
of the final payment due the Maine Construction Company.
After a final inspection by the undersigned in the company of
the Contractor and Mr. Waldmeir, Chief of the Fire Department,
it was found that a crack in the shower room floor constituted
the only condition causing any concern. It has been reported
to me that the final inspection by your Council also agreed
that the building was acceptable with this one condition noted.
While contractors could hardly be expected to guarantee that a
concrete floor slab on grade would not show hairline cracks such
as are inherent in the material, Mr Maino,on the occassion of our
final inspection, volunteered to watch the behavior of the slab,
and, if it failed to close up after complete curing, to cover it
with asphalt tile. Any such action on his part would be, or should
be considered as a gift.
Concrete is a plastic material subject to considerable stress
and shrinkage when curing. In structural members where cracks
caused by shrinkage must be avoided at any cost, reinforcing
steel is placed to resist the internal stresses developed. The
slab now in question is reinforced only nominally and, if I had
required enough steel to avoid all possibility of cracking, I
probably would have been criticized for the excessive additional
costs involved. With building costs being what they are we can
seldom afford the luxury of structural reinforcing in slab$ on
grade. Cracks such as in this example are caused by the top surface
of the wet concrete drying out thru the action of wind, warm wea-
ther or too fresh cement while the lower part of the slab remains
saturated. The crack is probably only an inch or so deep and in
many cases will close up as the shrinkage of drying progresses
to the bottom surface. For economy's sake it is now the practice
to hope for a minimum of cracking in exposed concrete floors,and,
if unsuccessful, to be reconciled to their existence until they
can be covered with a finish floor. Only where the floor will,
by its purpose,remain as an exposed concrete surface (as in the
apparatus room) do we spend the necessary money in heavy reinforc-
ing.

Under the circumstances outlined above there seems to be no
,justification for the further retention of the funds withheld
from the contractor and it is therefor recommended that the
Yaino Construction Company be paid the remaining balance of
their contract with the City of San Luis Obispo in the sum
of Three Thousand, Six Hundred Sixty-eight and 80/100ths
($3,668.80) Dollars.
Though your Fire Station was the first job on which your con-
tractor and this office have been associated, his reputation
thruout the State gives me confidence that, despite his having
received full payment on this contract, he will keep his volun-
teered promise concerning covering the cracked floor with some
material such as asphalt tile. When that is done the City will
have gained.
I regret, very much, that this item arose. It has been extremely
pleasant working with your Fire Department and Engineering De-
partment personnel. Their cooperation has been of the best and
I had hoped that my association with your City would continue.
My first illness of my life came at a most inconvenient time
preventing my following up this job as I had wished to do.

A RESOLUTION PRUVIDINO FOR THE ZMCUTION
OF A CONTRACT WITH MAINO CONSTRUCTION COMPANY
BE IT RESOLVED by the Council of the City of San Luis
Obispo as follows:
That the City of San Luis Obispo exseute that certain
contract dated September 2, 1953 with Maino Construction Company
regarding the construction of a fire station on old Morro Road.
BE IT FURTHER RESOLVED that the Mayor of the City of
San Luis Obispo be, and he is hereby, authorised to execute
said for and on behalf of the said City, which
execution stall be attested by the City Clerk.

THIS AGREEMENT, made and entered into this 2 day of

*mRPMP 1953, between the CITY OF SAN LUIS OaISPO, acting by and
through its City Council, First Party, sometimes hereafter called
the OWNER or CITY, and MAINO CONSTRUCTION COMPANY, Second Party,
sometimes hereafter called the CONTRACTOR.
WITNESSETH: That the parties have mutually covenanted and
agreed, and by these presents do covenant and agree with each other,
as follows:
1. THE WORK: Said Contractor agrees to furnish all tools, equipment,
apparatus, facilities, labor and material necessary to perform
and complete in a good and workmanlike manner, the work of
construction of a new fire station for the City of San - uis ubispo,
and other works as called for, and in the manner designated in,
and in strict conformity with, the Plans and Specifications adopted
by said City Council and as prepared by Kenneth H. Hess, ARCHITECT,
which said plans and specifications are entitled respectively:

and copies of which plans and specifications are in the
possession of each of the parties hereto. It is understood
and agreed that said work shall be performed and completed
as required in said Plans and Specifications under the
direction of, and supervision of, and subject to the
approval of Kenneth H. Hess, Architect, or his representative.
2. LOCATION OF WORK: Said building is to be erected upon a lot of
land situated in the City of San Luis Obispo and described as
follows:
Lot 21 in Block 5 of Tract No. 66.
3. THE CONTRACT DOCUMENTS: The complete contract consists of the
following documents, to -wit: the Notice to Contractors, the
Instructions to Bidders, the Accepted Bid, the Agreement, and
General Conditions, the Specifications, the Drawings, and all
modifications incorporated in those documents before their
execution, prepared by Kenneth H. Hess, Architect.
Any and all obligations of the City and Contractor are fully
set forth and described therein.
All of the above documents are intended to cooperate so that any
work called for 1n one and not mentioned in the other or vice
versa is to be executed the aame as if mentioned in all a aid
documents. The documents comprising the complete contract are
sometimes hereinafter referred to as the Contract Documents.
1j. LOSS OR DAMAGE: That the City Council or their authorized
representative shall not in any way or manner be answerable or
suffer loss, damage, expense or liability for any loss or damage
that may happen to said work, or any part thereof, or in or about
the same during its construction and before acceptance, and the
said Contractor snall assume all liabilities of every kind or
nature arising from said work, either b accident, negligence,
theft, vandalism, or any cause whatever; and shall hold the City
Council or their a--thorized representative harmless from all
liability of every kind and nature arising from accident,
negligence or any cause whatever.
5. PROSECUTION OF WORK: If the Contractor should neglect to
prosecute the work properly or f ail to perform any provisions
of this Contract, the City, after three days' written notice
to the Contractor, may, without prejudice to any other remedy
he any have, make good such deficiencies and may deduct the cost
thereof from the payment then or thereafter due the Contractor,
provided, however, that the Architect shall approve both such
action and amount charged to the Contractor.
6. TERMINATION BY THE CITY FOR BREACH, ETC.: If the Contractor
should be adjudged a bankrupt, or if b should make a general
assignment for the benefit of nip creditors, or if a receiver
should be a ppointed on account of nia insolvency, or if he or
any of his sub -contractors should violate any of the provisions
of the Contract, or if he should persistently or repeatedly
refuse or should fail, except in cases for which extension of
time is provided, to supply enough properly skilled workmen or
proper materials, or if he should fail to make prompt payment to
sub -contractors or for material or labor, or persistently
disregard laws, ordinances or the instructions of the Architect,
then the City may, upon the certificate of the Architect that
sufficient cause exists to justify such action, serve written
notice upon the Contractor and his surety of its intention to

to terminate the Contract, such notice to contain the reasons
for such intention to terminate the Contract, and unless within
five (5) days after the serving of such notice, such violation
shall cease and satisfactory arrangements for correction thereof
be made, the Contract shall, upon expiration of said five (5)
days, cease and terminate.
In the event of any such termination, the City shall imnediately
serve written notice thereof upon the surety and the Contractor,
and the surety shall have the right to take over and perform the
Contract, provided, however, that if the surety within ten (10)
days after the serving upon it of notice of termination doesnot
give the City written notice of its intention tot ake over and
perform the Contract or does not commence performance thereof
within the ten (10) days stated above from the date of the
serving of such notice, the City may take over the work and
prosecute the same to completion by Contract or by any other
method it may deem advisable, for the account and at the expense
of the Contractor, and the Contractor and his surety shall be
liable to the City for any excess cost occasioned the City
thereby, and in such event the City may without liability for so
doing, take possession of and utilize in completing the work
such materials, appliances, plant and other property belonging to
the Contractor as may be on the site of the work and necessary
therefor. In such case the Contractor shall not be entitled to
receive any further payment until the work is finished.
If the unpaid balance of the contract price shall exceed the
axpense of finishing the work, including compensation for
additional managerial and administrative services, such excess
shall be paid to the Contractor. If such expense shall exceed
the such unpaid balance, the Contractor shall pay the difference
to the City. The expense incurred by the City as herein provided,
and damage incurred through the Contractor's default, shall be
certified b; the Architect.
7. PROGRESS PA1'NLNTS: The price to be paid said Contractor as
hereinafter provided shall be paid in legally executed and
regularly issued warrants of the said City, drawn on the appropriate
fund or funds as required by law, and the order of said City upon
certificates issued by its agent, the Architect.
Once each month, there shall be paid to the contractor ninety
(90) per cent of the value of the labor and material incorporated
In the work, as approved by the Architect, less the aggregate of
previous payments, and thirty-five (35) days after the completion
of the entire work and the acceptance thereof by the City and the
Architect, a sum sufficient to increase the total payments to
One Hundred (100) per cent of the contract price, provided that:
a. The Contractor shall nave furnished satisfactory
evidence that all claims for labor and materials
have been paid; and
b. That no claim shall have been presented to the City
by any person based upon any acts or omissions of
the Contractor and no liens or withhold notices shall
have been filed against the said work or the property
whereon it was done.
The payment of the progress payments by the City shall not be
construed as an absolute acceptance of the work done up to
the time of such payments.

8. PAYMENTS WITHIY4: The architect may withhold, or on account
of subsequently discovered evidence, nullify the whole or a
part of any certificate to such extent as may be necessary to
protect the City from loss on account of:
a. Defective work not remedied.
b. Claims filed or reasonable evidence indicating
probable filing of claims.
c. Failure of the Contractor to make payments properly
to sub -contractors, or for materials or labor.
d. A reasonable doubt that the contract can be completed
for the balance then unpaid.
e. Damage to another contractor.
When the above grounds are removed, payment shall be made for
amounts withheld because of them.
). UNI'PED STATES' A]ATERIALL: Only such unmanufactured articles,
materlale and supplies as have been mined or produced in the
United States, and only such manufactured articles, materials
and supplies mined, produced or so manufactured, as the case
may be, in the United States, shall be used in the performance
of this contract. However, such provisions shall not apply
if articles, materials or supplies of this class or kind to be
used, or the materials, articles or supplies from which they are
manufactured, as the case may be, in the United States. The
above references to the united States mean the United States of
America, and include any territory or insular possession thereof.
10. CONVICT-P^.ADE MATERIALS: The Contractor agrees that no materials
manufactured or produced in a penal or correctional institution
shall be incorporated in the project under this Contract.
11. WAGE RATES: In case it becomes necessary for the Contractor or
any sub -contractor to employ on the work under this Contract any
person in a trade or occupation (except executive, supervisory,
administrative, clerical or other non -manual workers as such)
for which no minimum wage rate is herein specified, the Contractor
shall immediately notify the City who will promptly thereafter
determine the prevailing rate for such additional trade or
occupation and shall furnish the Contractor with the minimum
rate based thereon. The minimum rate thus furnished shall be
anulicable as a minimum for such trade or occupation from the
time of the initial employment of the person affected and
during the continuance of such employment.
12. CONTRACT PRZ CE: Tnat in consideration of the foregoing covenants,
promises and agreements on the part of the Contractor, and the
strict and literal fulfillment of each and every such covenant,
promise and agreement, and as compensation agreed upon for seid
work and construction, erection and completion as aforesaid,
the City of San Luia Obispo, through its City Council, covenants,
promises and agrees that it will well and truly pay and cause
to be paid to the Contractor in full, and as for the full
Contract price and compensation for said construction., erection
and completion of the work hereinbefore agreed to be performed
by the Contractor, the sum of Thirty-six Thousand One Hundred
Thirty-seven (06,137.00) Dollars lawful money of the United
States, which sum is to be paid according to the schedule
hereinbefore provided and subject to additions and deductions
as hereinbefore provided in this Contract.

The signing of this agreement will constitute an order by the
Council for the Contractor to begin work i=ediately.
IN WITNESS WHEREOF, the parties hereto, the Party of the First Part
by its City Council thereunto duly authorized, and the Party of the
Second Part have hereunto set their hands and seals the day and

That whereas, the City intends to erect a Fire Station
on Foothill Boulevard in said City.
NOW, T`11&?EFOR'_, the City and the Architect, for the
considerations hereinafter named, agree as follows:
The Architect agrees to perform, for the above -named
work, professional services as hereinafter set forth.
The City agrees to pay the Architect for such services
a fee of five pe: cent (5>) of the cost of the work, with other
payments and reimbursements as hereinafter provided, the said
percentage being hereinafter referred to as the "basic rate".
The parties hereto further agree to the folloaning condi-
tions:
1. The Architect's professional services consist of
the necessary conferences, the preparation of preliminary
studies, working drawings, specifications, large scale and
full size detail drawings; the drafting of forms of proposals
and contracts; the issuance of certificates of payment; the
keeping of accounts; the general administration of the business
and supervision of the work.
2. If any work designed or specified by the Architect
is abandoned or suspended the Architect is to be paid for the
service rendered on account of it.
3. Payments to the i%rehlteet on account of his fee
shall be made as follows:
Upon completion of the preliminary studios, a sum equal

cost.
Upon completion of specifications and general working
drawings (exclusive of details) a sum sufficient to increase
Payments on the fee to 75ro of the rate or rates of commission
arising from this agreement, computed u,,on a reasonable cost
estimated on such completed specifications and drawings, or
if bids have beba r3celved, th;;n computed upon the lowest
bona fide bid or bids.
From time to time during the execution of work and in
proportion to the amount of service rendered by the Architect,
payments shall be made until the aggregate of all payments
made on account of the fee under this Article, shell be a sum
equal to the rate or rates of commission arising from this
agreement, computed upon the final cost of the work.
Payments to the Architect, other than those on his fee,
fall due from time to time as his work is done or as costs
are incurred.
Peyments tc the Architect shall at no time be greater
than the amount of the approved payments to the Contractor
or Contractors, multiplied by the basic rate, except in the
cases covered by the follo•;ring paragraph.
No deductions shall be made from the Architect's fee on
account of penalty, liquidated damages, or other sums with-
held from payments to Contractors.
4. The City shall, so far as the work under this agree-
ment nay require, furnish the Architect with the follo-,wing
information: A complete and accurate Survey of the building
site, giving the grades and lines of,streets, pavements, and
adjoining properties; the rights, restrictions, easement$,
boundaries, and contours of the building site, and full
•
information as to sewer, water, gas and electrical service.
The City is to pay for borings or test pits and for chemical,
mechanical, or other tests when required.
5. The Architect will endeavor to guard the City against
defects and deficiencies in the work of Contractors, but he
does not guarantee the performance of their contracts. The
supervision of an Architect is to be distinguished from the
continuous personal superintendence to be obtained by the
employment of a clerk -of -the -works.
When authorized by the City, a clerk -of -the -works accept-
able to both City and Architect shall be engaged by the Archi-
tect at a salary satisfactory to the Owner and paid by the City,
upon presentation of the Architect's monthly statements.
6. :','hen requested to do so the Architect will furnish
preliminary estimates on the cost of the work, but he does
not guarantee the accuracy of such estimates.
%. The cost of the work, as herein referred to, means
the cost to the owner, but such cost shall not include any
Architect's or !engineer's fees or reimbursements or the
cost of a clerk -of -the -works.
';lhen labor or material is furnished by the Owner below
its :market cost the cost of the work shall be computed upon
such market cost.
8. original drawings and specifications as instruments
of service are the property of the Architect whether the work
for which they are made be executed or not, but "as built"
drawing of the actual construction plan will be furnished to
the City by the Architect.
9. The City and the Architect, each binds bLuself,
his partners, successors, executors, administrators, and assigns
to the other party to this agreement, and to the partners,
successors, executors, administrators and assigns of such
other party in respect to all covenants of this agreement.
Except as above, neither the City nor the Architect
shall assign, sublet or transfer his interest in this agree-
ment without the written consent of the other.
The City and the Architect hereby agree to the full
performance of the covenants contained herein.

AGREEMENT COVERING SERVICE RISER PIPE
AGREEMENT between PACIMC GAS AND ELECTRIC COMPANY, a California corporation,
hereinafter called Pacific, and_.___._ CI"Y OF SAII LL'IS OBISPO
hereinafter called Permittee:
1. Pacific hereby gives Permittee permission, free of rent and on the terms and conditions
herein stated, to install, maintain and use equipment, consisting of a service riser pipe and wine and
appliances connected therewith, on the pole which is designated below or on the reverse aide hereof
or on the sheet attached hereto.
2. Permittee shall install and maintain said equipment at its sole risk and expense in the location
on said pole designated by Pacific and up to a point eight feet above the ground level. When making
such installation Permittee shall leave such length of conductor at the top of said riser pipe as may
be necessary, and shall furnish such other materials as may be required, to enable Pacific to complete
the connection to its overhead system. Pacific will make no charge for completing said installation.
Pacific will thereafter maintain said installation above said eight -foot level at Permittee's expense.
S. In the event Pacific desires to have said equipment rearranged on said pole or relocated
upon another pole, Pacific shall at its expense rearrange, or detach and reinstall, said equipment
above said eight -foot level, and Permittee shall supply any additional materials required therefor
and perform all work below said level at its sole risk and expense.
4. Within thirty days after being given written notice by Pacific to do so, and on condition that
Pacific shall have removed Permittee's equipment down to said eight -foot level, Permittee shall re-
move the remainder of said equipment from said pole, and at the expiration of said time all rights of
Permittee to use said pole shall cease. If Permittee shall not have removed said equipment from said
pole within said time Pacific shall have the right to do so at Permittee's risk and expense.
5. This permission shall not be assigned in whole or in part without the written consent of Pacific
first being had.
6. Any notice to Permittee hereunder shall be deemed given on the date of its deposit in a United
States post office enclosed in an envelope, postage prepaid, and addressed to Permittee at last known
address.
7. Time is of the essence hereof.

San Luis Obispo, State of California, will receive sealed bids
on June 1,1953, up to 2:00 o'clock P.D.S.T. at which time they
will be publicly opened and read aloud by the City Council, at
Its meeting in the Council Chamber in the City Hall in the City
of San Luis Obispo, for performing work in said City as follows:
Furnish all labor, materiels, transportation and services
necessary and requirad to construct Fire Station 02, on Old
Morro Road, San Luis Obispo, Californis. All of acid work to
be done at the place and in the particular location, of the form,
sins and dimennions, and of the materials, and to the lines �,,nd
grades and at the elevations as shown in the plane and specific-
ations made therefcre and approved by the City Council on Allril
20. 1953 and on file in the offico of the said City Clark and to
which reference is hereby expressly made for a particular dose-
riptiom of the work to be done and for further particulars.
Each bid sball be in aceordanoe with the plans, speeifioatione
and other Contract Documents now on file with the City Clerk, City
of San Luis Obispo, California. Envelopes containing bids shall
be plainly marked "BID ON CONSTRUCTION OF FIRE STATION J2 OLD
MORRO ROAD, PROJECT NO, "
