MEMORANDUM OF UNDERSTANDING

WHEREAS, this Memorandum of Understanding (MOU) by and between Amazon Web
Services (AWS), Anne Ramberg Law, P.C., Business-Higher Education Forum (BHEF), Cal
Poly California Cybersecurity Institute (CCI), Cal Poly Noyce School for Applied Computing,
Cal Poly Center for Innovation & Entrepreneurship (CIE), City of San Luis Obispo,
Masterfully, Pacific Gas & Electric (PG&E), REACH, San Luis Obispo County OPice of
Education (SLOCOE), San Luis Obispo County Workforce Development Board, SLO

Partners and Trust Automation, each a “Participant,” and collectively, “the Participants,” is
for voluntary cooperation in addressing regional cybersecurity awareness and career
pathway opportunities and establishing a multistakeholder partnership with a regional
focus, hereinafter referred to as “the San Luis Obispo County Cybersecurity Consortium”
(SLOC3).
WHEREAS, the SLOC3 is a collaborative consortium of Participants that provides regional
cybersecurity awareness and training for California’s Central Coast residents. California’s
Central Coast bracketing-age populations require cyber awareness training and education
to build personal cyber hygiene and support regional cyber safety, SLOC3 seeks to bridge
these groups through aligned programs and initiatives. Coupling training partners, local
businesses, and education with existing experience and tools, with the long-range goal of
improving regional cyber resiliency and developing a model that can be shared broadly.
WHEREAS, SLOC3 seeks to increase career pathways for Central Coast residents into
quality jobs in the cybersecurity sector and to build connections between cybersecurity
industry stakeholders and education partners to advance the Central Coast cybersecurity
talent pipeline.
NOW, THEREFORE:
SECTION I
Strategic Objective
The SLOC3 Participants share a common objective of aligning and guiding ePorts to
address regional cyber awareness and personal cyber hygiene across age groups,
improving regional cyber resiliency and understanding, and developing career pathways
and opportunities for quality jobs in cybersecurity for Central Coast residents.
SECTION II
Areas of Cooperation
The Participants intend to achieve the stated strategic objective through existing programs
and collaborative initiatives, training, community outreach ePorts, and developing new
programs and initiatives that are focused on, but not limited to, the following areas of
cooperation:

a) Develop a diverse and inclusive cybersecurity awareness program centered on
personal cyber safety and cybersecurity concepts;
a. Leveraging technology to engage and train multi-lingual users about
cybersecurity;
b. Engage students and community members in addressing cyber awareness
for local Senior populations;
b) Develop a wide range of workforce development opportunities to build the talent
pipeline and expand access to quality, quality jobs in cybersecurity such as:
a. Provide information and support for K-12 cyber education;
b. Develop internship pipelines focused on developing a diverse pool of talent;
c. Identify, build on, and develop workforce training, programs, and initiatives
that provide career pathways in cybersecurity.
SECTION III
Specific Activities
Specific activities to implement the areas of cooperation and to achieve the Participants’
objectives include:
a) Participants will apply for supporting operational funding through grants such as the
Regional Alliances and Multistakeholder Partnerships to Stimulate (RAMPS)
Cybersecurity Education and Workforce Development grant via the National
Institute of Standards and Technology under the United States Department of
Commerce (Cal Poly will manage any and all funds if received).
b) Participants will support annual SLOC3 October Cyber Awareness Month initiatives.
c) Participants will support strategic engagement and cross-collaboration
opportunities.
d) Participants will collaborate to seek SLOC3 operational funding through grants and
donations to support and maintain long-term goals.
e) Participants will collaborate to demystify cybersecurity and develop programs to
address personal cyber hygiene as a means of impacting overall regional
cybersecurity posture and resiliency.
f) Participants will collaborate on the development of cyber career pathways,
programs, training opportunities, internships, and mentorship programs that can

address regional workforce needs and support local career development
opportunities.
SECTION IV
Governance
The SLOC3 shall be guided by a consortium advisory council, with equal support,
consisting of one (1) member (or designate) from each Participant, utilizing Roberts Rules
of Order. The advisory council will oversee programs, projects, and SLOC3 goals. The
advisory council shall elect a Chair and Secretary to serve a one-year term and to support
the following duties:
Chair: Coordinate and lead meetings; represent SLOC3 and Participants.
Secretary: Take meeting minutes and document actions and SLOC3 decisions.
The consortium advisory council meets monthly on the first Wednesday of the month and
may meet at additional times as required by projects and programs.
Grant fund management is supported by Cal Poly Grants Development OPice and Cal Poly
Partners Sponsored Programs OPice.
SECTION V

Each SLOC3 Participant identifies the following point of contact for matters pertaining to
communication and information exchange, as well as any notice required to be submitted
under this MOU.

SECTION VI
Availability of Personnel and Resources
This Memorandum of Understanding, once in ePect upon signature, does not create any
legally binding rights or obligations as to any Participant.
This Memorandum of Understanding does not involve the exchange of funds, nor does it
represent any obligation of funds by any Participant. All costs that may arise from activities
covered by, mentioned in, or pursuant to this Memorandum of Understanding will be
assumed by the Participant who incurs them, unless otherwise stipulated and decided
pursuant to a future written arrangement. All activities undertaken pursuant to this
Memorandum of Understanding are subject to the availability of funds, personnel and
other resources of each Participant.
The personnel designated by a Participant for the execution of this Memorandum of
Understanding will work under the orders and responsibility of the Participant and any
other organization or institution to which they belong, at all times maintaining any
preexisting employment relationship with the Participant and such organization or
institution. Their work will not create an employer-employee relationship with another
Participant or any other organization or institution, so in no case will that other Participant,
or other organization or institution, be considered as a substitute or joint employer of the
designated personnel.
SECTION VII
Compliance with Applicable Laws
All activities undertaken pursuant to this Memorandum of Understanding and all personnel
designated by the Participants for the execution of those activities undertaken pursuant to

this Memorandum of Understanding are subject to all applicable laws, including all laws
applicable in the jurisdiction where the activities are performed.
Such personnel, if visiting any other Participant to participate in an activity pursuant to this
Memorandum of Understanding, will not engage in any activity detrimental to this
Memorandum of Understanding.
SECTION VIII
Interpretation and Application
Any diPerence that may arise in relation to the interpretation or application of this
Memorandum of Understanding will be resolved through consultations between the
Participants, who will endeavor in good faith to resolve such diPerences.
SECTION IX
No Legal Rights or Remedies
Designation of this voluntary consortium does not create a separate legal entity or change
the liability or contractual obligations of the Participants under any other agreements.
Nothing in this MOU creates any legally cognizable or enforceable rights or remedies as to
any Participant. In no event will any disagreement arising under this MOU—including, but
not limited to, any alleged breach of, or nonperformance under, this MOU—give rise to any
cause of action, or any legal or equitable remedy, in any forum whatsoever. Nothing in this
MOU waives any sovereign immunity, or any other applicable immunity, that any Participant
may otherwise enjoy.
This understanding is for the exchange of information to improve the understanding of
agency mission needs and future requirements. The exchange of information is solely to
improve understanding and does not serve as a basis for contract formation.
SECTION X
Final Provisions
This Memorandum of Understanding is ePective from the date of the latest signature for a
two-year period unless renewed or extended by the Participants in the same manner that
the Participants may otherwise modify this MOU.

This Memorandum of Understanding is not transferable except with the written consent of
the Participants.
This Memorandum of Understanding may be modified at any time by mutual consent of the
Participants. Any modification shall be made in a signed writing and specify the date on
which such modification is to become ePective.
Any Participant may, at any time, withdraw from this Memorandum of Understanding by
providing a written notice to the other Participants. The termination of this Memorandum of
Understanding shall not aPect the conclusion of the cooperation activities that may have
been initiated during the time this Memorandum of Understanding is in ePect unless the
Participants mutually decide otherwise.
It is expressly understood and agreed that this Memorandum of Understanding embodies
the entire understanding between the Participants regarding the MOU’s subject matter.
