into, effective as of February ${ ,2023 (the"Effective Date"), by THr Crry orSaN Luls Orrslo,
CaltFonNla, a municipal corporation and charter city (the "City"), with reference to the following
facts:

A. The prior ownerstbf the real property located at 1 1 19 Garclen Street, San Luis
Obispo, California and described on the attached Exhibit A (the "Property") entered into that
certain Seismic Retrofit Agreement dated as of June 22,2010 and recorded as Document no.
2010029999 on June 29,2010 in the Official Records of San Luis Obispo County, California (the
"Agreemenf"),forthebenefitoftheCity. +rftae:f,?

B. Since the Agreement was recorded, the Property has been redeveloped as a hotel,
C. As a result of the redevelopment of the Property, the Agreement is no longer
needed.
D. City is executing this Release in order to terminate and release the Agreement of
record.
NOW' THEREFORE, for good and valuable consideration including the redeveiopment
of the Property, the receipt and sufficiency of which are hereby acknowledged, the City hereby
terminates and releases the Agreement,
IN WITNESS WHEREOF, the undersigned have signed this Release effective on the
date first set forth above.
