In consideration of valuable consideration paid by Tenant to Landlord and the mutual covenants contained in that cerlain Ground Lease dated FtA*q I ,2015, by and between the parties hereto (the "Lease"), Landlord has leased and does heleby lease to Tenant, and Tenant has leased and does hereby Iease from Landlord, upon the terms and conditions set forth in the Lease, in its "AS-IS" "WHERE-IS;, condition, the real properly described on Exhibit A to this Memorandum, which is hereby incorporated herein by this reference. 1. The term of this Lease is Commencement Date as defined in the Lease. ninety-nine (99) years commencing on the Rent 2. This Lease includes an assignment by Tenant of all subrents and other sums becoming due to Tenant from subtenants, licensees and concessionaires (referred to collectively herein ai "subrents") in order to secure Tenant's obligations under this Lease. This assignment is specifically subject and subordinate to any and all assignments of the same subrents and Jther sums made to a Leasehold mortgagee under any first-priority Leasehold morlgage permitted by the provisions of this Lease, Subject to the rights of such Leasehold mortgagee, Landlord may at Landlord's election reenter the Prernises and improvements, without terminating this Lease, and eithei collect these sums or bring an action for the recovery of such sums from the obligors. _ 3. The purpose of this Memorandum is to give record notice of the Lease and of the terms thereof and the rights created thereby. It is not intended to amend or modi! any of the rights and obligations set forth in the Lease, To the extent that any provisions of this Memorandum and the Lease conflict, the provisions of the Lease control. 4.
