Easement (hereinafter rrEasementtt) , recorded January 8, 1988, ds

WHEREAS, the Easement granted to Grace Church an easement forparking of automobil-es and other vehicles on that certain realproperty owned by Partnership, commonly referred to as 870 PacificStreet, oy the rrDoctor's Lottr and more particularly described asLot 9 in Block 100 of Mission Vi-neyard Tract, in the City of San
Luj-s Obispo, County of San Luis Obispo, State of California, as per
map filed in Book A, Page 1-43 of Maps in the Office of the County
Recorder of San Luis Obispo County (hereinafterrtParkS-ng Lot'r); anC
WHEREAS, oD December 20, l-988, Clinic Properties Partnershipentered into an Agreement with the City of San Luis Obispo(hereinafter rrCityrr ) for redevel-opment of a parking 1ot andacquisition of certain real property recorded March 30, 1989, ds

RecorCs of Sar: Luis Ob.ispo Countlz (hereinafter rrAgreementrr); and
WHEREAS, the Agreement between Partnership and City conveyeda portion of Lot 9 in Block l-00 of Mission Vineyard Tract in theCity of San Luis Obispo, County of San Luis Obispo, State ofCalifornia, as per nap filed in Book A, Page L43 of Maps in theOffice of the County Recorder of San Luis Obispo County, describedas follows:

WHEREAS, Partnership has conveyed all of its right, title andinterest in the above referenced Easement, Agreement, and ParkingLot to its successor in interest, SAN LUIS MEDICAL CLINIC, LTD., aCalifornia Corporation (herei-nafter ttClinic") ; and
WHEREAS, Grace Church and Clinic agiree that the above-referenced conveyance to the City of San Luis Obispo will notadversely affect the Grant of Parking Easement to Grace Church andwill enhance the efficient use of the Parking Lot for parking
purposes.
NOW, THEREFORE, pursuant to paragraph l-3 of that Grant ofParking Easement dated January 8, l-988, Grace Church and Clinicagree, and Grace Church hereby consents to the above referenced
agreement between the Ci-ty of San Luis Obispo and Clinic PropertiesPartnership dated December 20 , l-988.
