HomeMy WebLinkAboutOrcutt Associates LLC Settlement AgreementSETTLEMENT AGREEMENT AND GENERAL RELEASE OF CLAIMS This Settlement Agreement ("Agreement") is entered into this 2 day of January, 2019 (the "Effective Date") by the City of San Luis Obispo, a municipal corporation and charter city ("City") and Orcutt Associates, LLC, a California limited liability company ("Orcutt Associates") (City and Orcutt Associates are collectively referred to herein as the "Parties"). Recitals WHEREAS, Orcutt Associates is the developer of the residential project at the intersection of Orcutt Road and Sacramento Drive (the "Project"); WHEREAS, as part of the Project, Orcutt Associates constructed certain traffic and pedestrian improvements including, but not limited to: Curb, gutter, sidewalk and other frontage improvements (the "Frontage Improvements") on Orcutt Road along what is commonly known as the "Tickell Property;" and 2. Intersection improvements at Laurel Lane and Orcutt Road (the "Intersection Improvements"). In connection with these improvements, the City and Orcutt Associates executed a Reimbursement Agreement dated November 20, 2007, which was later amended by agreement on July 22, 2011 (the "Reimbursement Agreement"). The Reimbursement Agreement required the City to exercise its "best efforts" in securing payment from future development in the "Benefitted Property/Parcels" identified in the Reimbursement Agreement. The Tickell Property is included in the Benefitted Property/Parcel area. The Reimbursement Agreement also required the City to reimburse Orcutt Associates $339,065 (subject to annual adjustment for inflation) for Intersection Improvements, with such amount to be paid by the City from Public Facilities Financing Plan transportation impact fees ("TIF") collected from future development in the Benefitted Property/Parcel area. WHEREAS, on February 5, 2018, the City's Architectural Review Commission ("ARC") approved a project on the Tickell Property commonly referred to as the "Twin Creeks" project; the applicant was New Heritage Family Limited Partnership ("New Heritage"). The Twin Creeks approval included a condition of approval requiring New Heritage to pay a fee in the amount of $381,061.77 (the "Frontage Fee Payment") as reimbursement for the Frontage Improvements. Under the Reimbursement Agreement, the City was entitled to $256,287.96 of this payment with the balance owed to Orcutt Associates. New Heritage appealed the ARC's approval on the basis that the Frontage Fee Payment was an unlawful exaction based on a variety of legal theories. WHEREAS, on May 8, 2018, the City entered into a settlement agreement with New Heritage regarding certain fees the City was imposing on the Twin Creeks Project including the Frontage 1 Initials: / Fee Payment. Under the settlement agreement, New Heritage agreed to pay City $256,287.96 of the $381,061.77 for the Frontage Fee Payment. WHEREAS, Orcutt Associates claims that the City's agreement to settle with New Heritage pursuant to the May 8, 2018 settlement agreement constituted a breach of the Reimbursement Agreement and a breach of the implied covenant of good faith and fair dealing associated with such agreement (the "Claim"). WHEREAS, City disagrees and denies any liability for the Claim; WHEREAS, by this Settlement Agreement, the Parties desire to resolve the Claim. Agreement NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, and intending to be legally bound hereby, the Parties hereby agree as follows: A. Recitals. The recitals above are true and correct and are incorporated herein by this reference. Capitalized terms not defined herein shall have the same meaning as defined in the Reimbursement Agreement. B. Reimbursement of Frontage Improvements. Within thirty days of City's receipt of $35,000 or more of the Frontage Fee Payment from New Heritage, or any successor owner of the Twin Creeks project, City shall pay to Orcutt Associates the sum of $35,000. C. Reimbursement of the Intersection Improvements. City acknowledges that the reimbursable amount for the Intersection Improvements as of the Effective Date is $412,812, which the parties agree includes all inflation adjustments through that date. Additional inflation adjustments based on CPI-U shall be applied yearly, on the anniversary of the Effective Date and in accordance with the Reimbursement Agreement, to any portion remaining unpaid at that time ("Annual Inflation Adjustment"). City shall reimburse Orcutt Associates for the Intersection Improvements in accordance with the Reimbursement Agreement, as amended, and supplemented as follows: i. City anticipates that the first TIF that will be paid to the City for projects located within the Benefitted Property/Parcels will be for building permits for the Taylor Subdivision, Tract 3044 and Vesting Tentative Parcel Map No. 2017-0115, as depicted in Exhibit A hereto (collectively the "Taylor Subdivision"). City has calculated that each single-family residence within the Taylor Subdivision will have an estimated TIF of $17,185 which is eligible to be used for reimbursement for the Intersection Improvements under the Reimbursement Agreement. City and Orcutt Associates agree that the Excel spreadsheet attached hereto as Exhibit B (the "Spreadsheet"), fairly allocates the distribution of potential future TIF from the Taylor Subdivision as between any credits the developer of the Taylor Subdivision 2 Initials: / is eligible to receive, City credits, and reimbursement payments to Orcutt Associates for the Intersection Improvements. ii. Reimbursement payments by the City to Orcutt Associates for the Intersection Improvements shall be made on a quarterly basis, starting April 1, 2019, and, as set forth in the Spreadsheet, shall consist of 70 percent of TIF collected by the City for the Intersection Improvements during that quarter. iii. The City shall provide an updated version of the Spreadsheet to Orcutt Associates along with each quarterly payment. If no payment is due in a quarter, either because the City has received no fee payments or otherwise, the City shall so notify Orcutt Associates. iv. If the Twin Creeks project pays TIF or other fair -share fees for the Intersection Improvements to the City, City shall pay Orcutt Associates $10,746.75 from those fees with the next quarterly payment, and the Spreadsheet shall be revised to deduct that amount from the final payment due to Orcutt Associates. V. If any other project within the Benefitted Property/Parcels pays TIF or other fair - share fees for the Intersection Improvements to the City, City shall pay Orcutt 70% of those collected fees with the next quarterly payment, and the Spreadsheet shall be revised to deduct that amount from the final payment(s) due to Orcutt. vi. The Spreadsheet shall be updated on an annual basis, to incorporate the Annual Inflation Adjustment, with respect to all remaining payments. D. Release. Orcutt Associates and City hereby, on behalf of themselves and their partners, successors -in -interest and assigns, irrevocably and unconditionally release and discharge each other from any and all lawsuits, claims, actions, demands or other legal responsibilities of any kind regarding the Claim, including, without limitation, any related attorneys' fees or legal costs. Orcutt Associates and the City expressly acknowledge that this Release includes any and all claims that Orcutt Associates or City asserted or could have asserted based upon or related to the Claim. E. Release of Unknown Claims. With respect to the release specified in Paragraph D, Orcutt Associates and City hereby waive any and all rights or benefits that any of them may have under Section 1542 of the Civil Code of the State of California, which provides: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR." Orcutt Associates and City acknowledge that they understand the effects of this waiver pursuant to Civil Code Scction 1542, and that they are represented by legal counsel and have been advised of this release by their counsel. 3 Initials: _ / F. Miscellaneous 1. Legal Advice, Authority to Execute Agreement. The Parties represent and warrant that they understand that they have the right to be represented by counsel and expressly acknowledge that they have had the opportunity to review this Agreement with their chosen counsel. The Parties represent that they fully understand the terms of this Agreement and agree to be bound by its contents. The Parties further represent that they have full authority to enter this Agreement and do so of their own accord. 2. Enforcement. In any action or proceeding to enforce or interpret the terms of this Agreement or otherwise arising out of the Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees. 3. Entire Agreement. This Agreement constitutes the entire agreement between the Parties with regard to the subject matter set forth herein and supersedes any and all prior and contemporaneous agreements, negotiations, correspondence, understandings and communications of the Parties, whether oral or written, respecting the subject matter of this Agreement. 4. Compromise of Claims. It is expressly understood that this Agreement is in full accord and satisfaction of disputed claims, and this Agreement will not be deemed an admission of liability or responsibility of either Party hereto for any purpose. 5. Amendment. Neither this Agreement, nor any of its provisions, may be amended, waived, modified, or terminated except by an instrument in writing signed by the Parties, and then only to the extent set forth in such writing. 6. Severability. If any provision of this Agreement is deemed to be invalid, void, or illegal by a court of competent jurisdiction, such provision shall be construed and amended in a manner which would permit its enforcement, to the extent feasible, but in no event shall the validity of such provision affect, impair, or invalidate any other provision of this Agreement, and the remainder of this Agreement shall remain in full force and effect. 7. Governing Law. This Agreement shall be construed in accordance with the laws of the State of California, without regard to choice -of -law principles. 8. No Third-i'arty Beneficiaries. This Agreement does not create, and will not be construed to create, any rights enforceable by any person who is not a Party to this Agreement. 9. Interpretation. This Agreement is the product of negotiation and preparation by and among each Party hereto and its respective counsel. Accordingly, this Agreement will not be deemed prepared or drafted by one Party or another, and should be construed accordingly. 4 Initials: 10. Cooperation. Each Party agrees to make good faith, reasonable efforts to effectuate the purposes of this Agreement. 11. (Iaptions/l lea(iin(_)s. All captions and headings in this Agreement are inserted solely for convenience and shall not be deemed to restrict or limit the meaning of the text. 12. Execution of Agreement. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, and all of which shall constitute one document to be effective as of the Effective Date. Signatures that have been transmitted by facsimile or electronic mail shall be deemed to be original signatures for the purposes of this Agreement. Photocopies of this Agreement shall have the same effect as the original and may be used in lieu of the original for any purpose.
