FOR VALUABLE CONSIDERATION, receipt, and sufficiency of which is hereby acknowledged,
MRP HTMB LLC, a Delaware limited liability company, as OFFEROR, hereby GRANTto the City
of San Luis Obispo, a municipal corporation and charter city, as OFFEREE, a perpetual and
irrevocable offer of dedication of fee title to the following real property and for the following public
purposes:
It is understood and agreed that the City of San Luis Obispo and its successors and assigns shall
incur no liability with respect to such offer of dedication and shall not assume any responsibility
for the offered parcel of land or any improvements thereon or therein, until such offer has been
accepted by action of the City of San Luis Obispo. OFFEROR agree that this irrevocable and
perpetual Offer to Dedicate is and shall be binding on his heirs, legatees, successors and assignees.
Pursuant to Section 66477.5 of the Subdivision Map Act, Grantee shall reconvey any of the lots
identified in this Offer to Dedicate to the subdivider named below if Grantee makes a determination
that the public purpose for which the property is dedicated does not exist, or the property or any
portion thereof is not needed for public open space except for any portion ofthe property that is
required for the same public purpose or public open space.
