Re: Assignment of Right of Entry
Dear Mr. Unan:
Enclosed is an agreement (the "Agreement') whereby the City of San Luis Obispo (the "City")
and its agents have been authorized to enter onto that certain property belonging to Ocean Park Hotels-
CVP, LLC described in the Agreement (the "Flagg Property") for purposes relating to the construction of
the realignment of Calle Joaquin (the "Work"). This letter shall constitute authorization by the City for
Costco Wholesale Corporation ("Costco') and its employees, consultants and contractors, as the agents of
the City, to enter onto the Flagg Property for the purpose of stockpiling material necessary to perform the
Work and for any other purposes permitted by the Agreement that are incidental to the performance of the
Work.
Costco shall defend, indemnify and hold harmless both the City (its agents, contractors and
employees., etc.) and Ocean Park Hotels-CVP, LLC from any and all actions, claims, damages, costs,
expenses (including attorneys fees), judgments or liability which arise from or are related to or are caused
or claimed to be caused by the negligent or willful acts or omissions of Costco, its agents, employees and
contractors arising from or related to the entry upon or use of the Flagg Property.

ACCEPTANCE
