Tank Farm Road Maintenance Agreement

ROADWAY MAINTENANCE AGREEMENT
BETWEEN
COUNTY OF SAN LUIS OBISPO AND CITY OF SAN LUIS OBISPO
THIS AGREEMENT is made effective this ______ day of ____________, 20__, by and between the
CITY of SAN LUIS OBISPO, hereinafter referred to as “CITY” and the COUNTY of SAN LUIS
OBISPO; hereinafter referred to as “COUNTY,” each a “PARTY” and collectively referred to as
“PARTIES”.
SECTION I
RECITALS
1. Tank Farm Road is currently a ##-foot-wide public roadway Right-of-Way.
2. Tank Farm Road is a COUNTY-maintained roadway within unincorporated San Luis Obispo
County and a CITY-maintained roadway within the jurisdictional boundary of the City of San Luis
Obispo.
3. Land known as the “600 Tank Farm” project (Parcel Map SLO 21-0015) adjoins a CITY-
maintained portion of Tank Farm Road to the north for approximately 490 linear feet.
4. On February 1, 2022, the City Council of CITY approved the “600 Tank Farm” project, including
Vesting Common Interest Tentative Parcel Map No. 21-0015 and project approvals by Resolution
No. 11304 (2022 Series.)
5. On April 1, 2025, the City Council of CITY approved a modified project for “600 Tank Farm” and
adopted revised conditions by Resolution No. 11553 (2025 Series).
6. The 600 Tank Farm project was conditioned to improve Tank Farm Road to accommodate interim
frontage improvements and a driveway intersection for the project site and a future roundabout at
the intersection of Tank Farm Road and Santa Fe Road (Modified Condition 116.)

8. The Developer of the 600 Tank Farm project has submitted improvement plans for the
improvements of Tank Farm Road to the CITY for review and approval.
9. The COUNTY has been provided a copy of the improvement plans for a courtesy review and has
no objections to the proposed improvements.
10. The CITY has approved the improvement plans for the improvements of Tank Farm Road.
11. The COUNTY and CITY agree that Tank Farm Road, once improved, will be maintained by the
COUNTY and CITY as described herein and as detailed in EXHIBIT #.
NOW THEREFORE IT IS AGREED:
SECTION II
1. The Parties agree that the recitals in Section I above are hereby incorporated into and made part
of this Agreement.
2. PARTIES agree this Agreement shall supersede any prior maintenance agreement that may exist
for the portion of Tank Farm Road shown on EXHIBIT #, attached hereto and incorporated

herein by reference, and shall constitute the complete Agreement between the PARTIES hereto.
No oral agreement, understanding, or representation not reduced to writing and specifically
incorporated herein shall be of any force or effect, nor shall any such oral Agreement,
understanding, or representation be binding upon the PARTIES hereto. Each PARTY is entering
into this Agreement based solely upon the representations set forth herein and upon each
PARTY’S own independent investigation of any and all facts such party deems material.
3. COUNTY agrees to maintain the roadway improvements within Tank Farm Road Right-of-Way
as follows:
3.1. COUNTY will maintain the paved roadway sections, including the traveled way, shoulders,
curbs, and drainage improvements that may be required for the benefit or control of traffic
using Tank Farm Road.
3.1.1. The maintenance shall be performed in accordance with the provisions of Section 27
of the Streets and Highways Code.
3.2. GRAFFITI REMOVAL. COUNTY, at COUNTY’s sole cost and expense, shall remove all
graffiti from areas within the Buckley Road Right-of-Way. Graffiti removal must protect air
and water quality as required by law.
3.3. LANDSCAPING WITHIN RIGHT-OF-WAY. COUNTY is responsible for the maintenance
of any landscaping installed in association with the construction of the Tank Farm Road
Project within the Tank Farm Road Right-of-Way. Any weed control performed by chemical
weed sprays (herbicides) shall comply with all laws, rules, and regulations established by the
California Department of Food and Agriculture.
3.4. COUNTY must obtain the necessary Encroachment Permits from CITY prior to entering
CITY right of way to perform COUNTY maintenance responsibilities. This permit will be
issued at no cost to COUNTY. If performing work in or on property of the CITY, COUNTY
shall provide and install suitable safeguards, approved by the CITY, to protect CITY property
from injury or damage. If CITY property is injured or damaged resulting from COUNTY’S
operations, it shall be replaced or restored at COUNTY’S expense. The CITY’S facilities shall
be replaced or restored to a condition as good as when the COUNTY began the work.
4. CITY agrees to maintain the CLASS 1 BIKE PATH NORTH OF BUCKLEY ROAD RIGHT-OF-
WAY as shown on Exhibit #, attached hereto and incorporated herein by reference.
5. NON-COMPLIANCE. Should COUNTY fail to perform its obligations under Section 6 of this
Agreement, CITY may, upon reasonable notice to COUNTY, but is not obligated to, perform such
obligations at the expense of COUNTY. Such expenses shall include all actual costs of
performance, costs of providing notice upon COUNTY, and any other expenses reasonably
incurred by CITY because of COUNTY’s failure to perform.
6. INDEMNIFICATION. To the fullest extent permitted by law (including, but not limited to
California Civil Code Sections 2782 and 2782.8), COUNTY shall indemnify, defend, and hold
harmless the CITY, and its elected officials, officers, employees, volunteers, and agents (“CITY
Indemnitees”), from and against any and all causes of action, claims, liabilities, obligations,
judgments, or damages, including reasonable legal counsels’ fees and costs of litigation (“claims”),
arising out of the COUNTY’S performance or COUNTY’S failure to perform its obligations under
this Agreement or out of the operations conducted by COUNTY, whether brought under tortuous,

contractual, negligent, inverse condemnation or other theories or assertions of liability, except for
such loss or damage arising from the sole or active negligence or willful misconduct of the CITY.
In the event the CITY Indemnitees are made a party to any action, lawsuit, or other adversarial
proceeding arising from COUNTY’S performance of this Agreement, the COUNTY shall provide
a defense to the CITY Indemnitees or at the CITY’S option, reimburse the CITY Indemnitees their
costs of defense, including reasonable legal fees, incurred in defense of such claims.
7. COMPLIANCE WITH LAW. The COUNTY shall keep itself informed of and shall observe and
comply with all applicable State and Federal laws and regulations, including Prevailing Wage
Law as applicable, which in any manner affect those employed by COUNTY or in any way
affect the performance of COUNTY’s maintenance responsibilities pursuant to this Agreement.
The CITY, and its officers and employees, shall not be liable at law or in equity occasioned by
failure of the COUNTY to comply with this Section.
8. INSURANCE - COUNTY and its contractors shall maintain in force, during the term of this
agreement, a policy of general liability insurance, including coverage of bodily injury liability and
property damage liability in a minimum amount of $1 million per occurrence and $2 million in
aggregate and $5 million in excess. Coverage shall be evidenced by a certificate of insurance in a
form satisfactory to the CITY that shall be delivered to the CITY with a signed copy of this
Agreement.
9. INDEPENDENCE OF PARTIES. The personnel performing COUNTY’s maintenance
responsibilities under this Agreement shall at all times be under COUNTY’s exclusive direction
and control and shall at no time be considered officers, employees, or agents of CITY. Neither
CITY nor any of its officers, employees, or agents shall have control over the conduct of
COUNTY or any of COUNTY’S officers, employees, or agents. COUNTY shall not at any time
or in any manner represent that it or any of its officers, employees, or agents are in any manner
officers, employees, or agents of the CITY. COUNTY shall not incur or have the power to incur
any debt, obligation, or liability whatsoever against CITY, or bind CITY in any manner.
10. AMENDMENT. Any amendment, modification, or variation from the terms of this Agreement shall
be in writing and shall be effective only upon execution by authorized representatives of each PARTY.
11. TERMINATION - This Agreement may be terminated by mutual written consent of both
PARTIES.
12. TERM OF AGREEMENT - This Agreement shall become effective on the date first shown on its
face sheet and shall remain in full force and effect until amended or terminated at any time upon
mutual consent of the PARTIES.
13. GOVERNING LAW. Any action arising out of this Agreement shall be brought in the Superior
Court of San Luis Obispo County, California, regardless of where else venue may lie. The validity,
interpretation, construction and performance of this Agreement, and all acts and transactions
pursuant hereto and the rights and obligations of the Parties hereto shall be governed, construed

and interpreted in accordance with the laws of the State of California, without giving effect to
principles of conflicts of law.
14.AUTHORITY TO EXECUTE AGREEMENT. Both CITY and COUNTY do covenant that each
individual executing this Agreement on behalf of each party is a person duly authorized and
empowered to execute Agreements for such party.

Wastewater Flow Modeling for Private Development Projects
This scope of work outlines the tasks, deliverables, and responsibilities for performing
wastewater flow modeling on behalf of the City of San Luis Obispo for private
development projects. The primary objective is to assess if and how the development
project would affect the capacity of existing wastewater collections infrastructure to
accommodate projected flows generated by the development and identify off-site
improvements (if necessary to accommodate projected wastewater flows).
Request for Information from Private Developer
Project applicant to provide the following:
Project description, including total square footage of development, area (square
feet) of residential and non-residential uses, number of floors proposed for each
building (including identification of floors for residential and non-residential use(s),
number of proposed residential units, and proposed residential density units.
Identify any proposed density bonus requests.
Identification of existing underlying zoning. If applicable, provide requested general
plan and zoning amendment(s) and associated acreage/square feet of each
existing and proposed zoning designation(s).
Map and project plan showing underlying parcels and planned residential and non-
residential development.
Identification of total parcel area of the development divided between residential
and non-residential use.
Estimated average and peak daily wastewater flow based on actual or estimated
plumbing fixture count for the project, with comparison to City’s adopted land use
(zone)-based flow factors.
Sewer main to which the development is proposed to connect and identification of
the closest sewer maintenance hole.
Scope of Services
Task 1: Data Collection & Review
Review applicant-provided project description information (see above).
Review existing sewer infrastructure GIS data and as-built plans (if available).
Task 2: Hydraulic Modeling
Run the hydraulic model of the City’s wastewater collections system.
Simulate base and peak flow conditions.
Assess and identify potential capacity limitations, surcharging, or bottlenecks in
the wastewater collections system.
Task 3: Evaluation and Recommendations
Compare modeled flows to existing pipe capacities and slope conditions.
Identify any existing capacity deficiencies.
Determine if and how the proposed development project and/or general
plan/zoning designation change would affect or exacerbate any existing
deficiencies under both existing and General Plan build-out conditions.
Determine if and how the proposed development would create a capacity issue
or other deficiency under both existing and General Plan build-out conditions.
Recommend system upgrades to address identified capacity issues or other
deficiencies, including but not limited to sewer main pipe upsizing, sewer main
extension(s) or re-configuration(s), lift station enhancements, and/or infiltration
and intrusion reduction measures such as maintenance hole, sewer main or
private sewer lateral(s) replacement.
Identify if any of these recommended improvements are currently identified in the
City’s 2025 Wastewater Collections Infrastructure Renewal Strategy.
Task 4: Documentation & Reporting
Prepare a technical memorandum or full report summarizing and including:
Methodology
Model assumptions and inputs
Results of simulations
GIS-based utility map with flow direction and capacity annotations
Conclusions and recommendations
Model files and supporting data as an appendix
