� J RESOLUTION NO. 4974 (1982 Series) SUBMITTAL OF AN APPLICATION FOR A GRANT FROM THE INTEP21ODAL FACILITIES PROGRAM TO FUND IMPROVEMENTS TO THE AMTRAK PASSENGER TERMINAL AND SURROUNDING PARKING::AND STREET:AREAS' WHEREAS, the City of San Luis Obispo desires to improve the , quality and the function of transportation facilities at the AMTRAK passenger terminal within the community; and WHEREAS, the city's General Plan Circulation Element and the 1981 County Regional Transportation Plan (RTP) recommend that the city work with AMTRAK and the Southern Pacific Transportation Company on a program to improve the passenger terminal and surrounding area; and WHEREAS, the Caltran's Intermodal Facility Program is designed to enhance the transfer of people from one type of transportation to another and also to improve the enjironment;:-and WHEREAS, the city has developed an improvement program for the AMTRAK passenger terminal area which the city feels meets the state's grant evaluation criteria by improving the transfer of people from rail service to local taxi and bus services, automobiles, bicycles and pedestrian modes of transportation; and WHEREAS, the improvement program proposed by the city will lead to improvements to both local.transportation and rail service which in-turn will affect the quality of state -wide passenger rail service. NOW THEREFORE BE IT RESOLVED by the Council of the City of San Luis Obispo the following: SECTION 1. Copies of the grant application (attached as Exhibit A and incorporated herein by reference) shall be submitted to Caltrans District Office by November 1, 1982. As part of the-grant application the city is requesting that the state pay for 50% of the total cost of the AMTRAK station improvement project. SIMARY 1. Project Description The city wants to use state and local funds to carry out the following parts of the overall improvement program: (a) Land Acquisition: The city would purchase the area which includes about 142,700 square feet of area, the passenger terminal, and a small office building now used by the railroad credit union. (b) Plans and Specifications: The city would prepare or contract for the preparation of a set of plans and specifications for improvements to the terminal building and parking and street areas. INTRODUCTION The only rail passenger terminal in our county is within the community of San Luis Obispo. The terminal building and surrounding parking and street areas are in ,a dilapidated condition. Key problems include the following: 1. building is in disrepair both interior The terminal - the passenger area and the exterior. It does not provide conveniences found at other terminals. 2. The existing parking lot and street area is in poor condition and hazardous. Pedestrian access is unorganized and unsafe. Bicycles can't travel in the area. There is no apparent connection between 1 rail service and local or inter -city bus systems. Local buses won't use the area because of poor.street conditions. 3. The parking areas are unorganized and do not provide for the efficient parking of area patrons including those using AMTRAK rail Pacific Transportation service. The owner of the property (Southern Company) is not interested in enhancing the area as a transportation center. 1 B. SIMARY 1. H 1 .4 2. Affected Modes The following modes of transportation will be affected by the city's acquisition and improvement project: (a) Regional and state -wide passenger rail service (AMTRAK). (b) Local Bus Service - the city's 4 -route system will provide twice- an-hour service to the passenger terminal. No direct service is now provided. (c) Inter -City Service - Coastlines Inc. will be able to make more efficient pick -up and delivery. Coastlines Inc. connects with Monterey County. (d) The city's local bus system will connect with the Greyhound bus system on an hourly basis. Greyhound provides service to _ communities both north and south of San Luis Obispo along the Highway 101 corridor. (e) Tour Buses - San Simeon Stages currently provides daily service to the Hearst Castle area directly from the train station. (f) Regional Bus System - the local bus system which would pick up ' and deliver people from the terminal connects with the north -coast system which provides service to the communities of Cayucos, Cambria and the City of Morro Bay. (g) Taxi Service - a taxi stand would be provided along with taxi information. This service can provide connections with both local and inter -city bus systems. (h) Bicycle Transportation - long -term storage lockers would be provided along with short term bike racks. No such facilities 1 are now provided. (i) Pedestrian Access - pedestrian access to the station area from the surrounding neighborhood as well as organized access throughout the project area would be provided. Financial Plan The city estimates that the total cost of the project will be $847,000. 1 The city wants to use local funds to pay for half of the total cost and is requesting a 50% matching grant from the Intermodal Facility Program, 1 The total cost of the project is broken down as follows: 1 Property Acquisition = $350,000 Design = 20,000 1 Construction = 577,000 ($150,000 for parking & $327,000 for passenger terminal) 1 TOTAL $847,000 1 and design of improvements) during the remainder of fiscal year 1 1982 -83 (ending June 30, 1983). Construction would take place during FY It is anticipated that the city would spend $370,000 during the fiscal 1 year 1982 -83 with the remainder being spent during the first 4 to 6 months (a) of FY 1983 -84 (see the next section of this report). 1 secure management control of the area. 1 4. To date the following actions 1 have occurred: (a) The city has gotten informal consent from Southern Pacific 1 Transportation Company (The owners of the project site) to secure management control of the area. 1 (b) An appraisal of the property has been ordered by the city for acquisition or lease /purchase options. The appraisal is 1 due November 1. (c) The city engineering department has completed a survey of the 1 area which will enable the preparation of legal descriptions _ of lease /purchase areas. (f) The city planning staff have prepared detailed sketch plans of area improvements which meet city parking lot design standards. 7 I 1 1 1 1 1 1 1 1 1 1 1 1 FIB 1 Program Narrative A. PROGRAM NARRATIVE 1. Description of the Project ' The City of San Luis Obispo wants to improve the Railroad Square area as a vital transportation center within the community. Railroad Square is ' located in the east central part of the city and includes the Southern Pacific Rail Station, AMTRAK rail passenger facilities, and surrounding residential and commercial uses (see location map #2). The city wants to use state and local funds to: (a) Purchase the Railroad Station building and adjoining parking and.loading areas shown on attached map X62. The estimated cost of the acquisition is $350,000. (b) Hire a design consultant to prepare plans for the rehabilitation of the train station and the reconstruction of adjacent parking and street areas. The estimated cost of design and engineering studies is $20,000. (c) Rehabilitate the railroad station building and construct improve- ments within the adjoining parking areas. These improvements would include: - Renovation and painting of the station's exterior. - Renovation of restrooms, waiting room and other open public areas. ' - Improvements to passenger boarding, waiting areas and station entrance areas. - Improvements to the parking area which include installation of AC paving, curbs, walks, landscaping, striping, demolition, bicycle storage facilities, taxi stand, and bus shelter. 1 We estimate that the total cost of construction will not exceed $500,000 with the parking area improvement portion of the . construction cost being about $150,000 and the terminal improvements $327,000. 8: I i 1 L 1 1 [1 1 1 0 I 2. Modes Served The proposed Railroad Square project would improve service for different modes of transportation. These include: (a) Passenger Rail Service: AMTRAK provides passenger service through San Luis Obispo four times a day. The Coast Starlight connects Los Angeles with Seattle and'stops at the city northbound at 2:50 p.m., and southbound at 2 :00 p.m. The new Spirit of Calif- ornia connects Los Angeles with Sacramento and stops at San Luis Obispo at 1:15 a.m. and 3:30 a.m. About 135 passengers use the Coast Starlight services each day. The proposed project will provide station facilities for AMTRAK passengers and improved facilities (taxi stands, bus stops, etc.) for those transferring from rail to transit services. The proposed facilities will provide shelter from rain and sun. Information about the scheduling of local transportation services will also be provided. The proposed facilities as well as improvements planned by the city and nearby property owners will make the Railroad Square area a more attractive area to use and may increase "rail patronage. The extent of this increase cannot be determined at this time. We do not anticipate additional trains serving San Luis Obispo in the near future. (b) Local Bus Service: The project will provide facilities for transit services within the City of San Luis Obispo. The city operates four routes. Currently, the service does not extend to the railroad station because of the poor condition of parking and streets in the area. If the project is implemented, one and possibly two of the local bus routes would be extended to the station. A bus shelter and schedule information would be provided. Service would be twice within an hour period. 01 J 0 II� I The existing bus service has a daily ridership throughout the city of San Luis Obispo of about 1000 people per day. Improving facilities in the Railroad Square area could increase the ridership by 20 patrons per day. (c) Inter -City Public Transportation: Two of the local bus system routes connect with the Greyhound Bus Station on the corner of South and Parker Streets in the City of San Luis Obispo Greyhound provides regional and interstate service via Highway 101. Improved interconnection between the city's local bus system and Greyhound will incrementally improve both types of transit service. Ridership gains cannot be calculated at this time. LJ II 1 1 0 1 Coastlines currently leaves San Luis Obispo for points north at about 3:45 p.m, and arrives at the AMTRAK station at about 3:25 p.m. If the scheduling of the two systems can be coordinated, ridership on Coastlines Inc. could increase - although the extent of the increase cannot be determined at this time. Since there is A 35 minute wait between the time rail passengers get off at the SLO station and the tour bus arrives, it is essential that comfortable and convenient waiting facilities be provided. (d) Tour Bus Service: San Simeon Stages provide.year -round service between the AMTRAK station and Hearst Castle. During the summer ridership averages 650 - 700 /month. San Simeon Stages pick up and deliver people at the station for both the12 :00 and 3:00 p.m. trains. From May to October the bus operates 7 days a week, and during winter months - Thursday to Sunday. Ridership during winter months is about 300 people /month. 10, Coastlines Inc, provides daily bus service between the City of San Luis Obispo and Monterey via Highway 1, making stops at popular tourist facilities (e.g. Hearst Castle). The proposed 1 project would include bus loading facilities which could serve patrons of this system. Improving linkages between the local and regional systems by improving intermodal facilities at Railroad Square may incrementally improve regional service. No estimates can be made at this time as to the extent of ridership increases. (f) Taxi Service: Taxi service is provided within the city area by San Luis Transit Service, Inc. The project would include a taxi stand which has phone service and taxi information. This should facilitate the transfer of rail passengers to the taxi system. Taxi service is especially important for those using the early- morning train service (e.g. 1:50 a.m.). No estimates can be made at this time as to the extent of ridership increases as a result of the city's project. (g) Bicycle Transportation: The project would include the installation of bike racks and lockers. These facilities are not now provided in the.area. The Railroad Square area is not shown on City= adopted Bicycle Master Plans because the condition of the private street areas and parking facilities in the area is so poor that bicycling would be hazardous. If the city's project is implemented, this deficiency will be corrected and the city's route maps will be amended to include access to the passenger station.. The station area is a recreational destination for bicyclists as well as a transportation destination. No estimates can be made at this time as to the extent that ridership will increase as a result of proposed improvements. (h) Pedestrian Transportation: Currently, the Railroad Square area lacks sidewalks.. There is no organized way for rail passengers to get to the parking areas or for neighborhood residents to get to or pass through the area. WE ' The proposed project would make walking easier and safer. Improved facilities will attract more people, although the extent of this attraction cannot be estimated at this time. 3. Maintenance /Operating Costs and Revenues The city intends to lease the station to Southern Pacific Transportation Company and AMTRAK. A parking district would be established whereby area property owners, including Southern Pacific and AMTRAK, would be annually assessed for a percentage of the total amount of parking. Based on this 1 strategy, we would anticipate the following cost /revenue picture: NOTES: (1) This includes income from property owner assessments and from parking meter income. 1 (2) Includes limited annual maintenance plus an annual prorated share of the replacement cost - assuming the lot is repaved and restriped after 10 years. ' 4. Funding Strategy As indicated in Section X11 of this program narrative, the cost of acquisition is $350,000; the cost of design is $20,000; and the cost of construction is $477,000. The city is in the process of establishing the parking district with key decisions to be made by the City Council in mid -1983. 5. Meeting Construction Project Criteria The city's proposed acquisition and construction project meets the following criteria shown on page G-3 of the grant application information 1 package: a. The proposed project is located on the Passenger Rail Network. b. The proposed project is consistent with the City of San Luis Obispo 1 Circulation Element and with the 1981 San Luis Obispo Regional Transportation Plan. The Circulation Element contains a policy statement on page 30 which states: The city, working with Caltrans and affected property owners, will help pay for repairs to public parking and street areas in the vicinity of the AMTRAK /Southern Pacific Depot and encourages improvement to the station. The 1981 Regional Transportation Plan (RTP) states on page B4 -2: The San Luis Obispo train depot does not offer traveler conveniences often prevalent at other transportation stations. The station area needs a comprehensive remodeling, including provisions for interior remodeling passenger conveniences, 1 and a reconstructed parking lot with defined parking for employees and passengers. I -I 1 it 1 c. The Federal Census Bureau defines urbanized areas as cities which t contain 50,000 people or more. The City of San Luis Obispo has a current population of 35,000 with 5,000 additional people living in 1 nearby rural areas. New paint, restrooms and general wall surface improvements will be made. Loading and passenger areas will be rehabilitated. Information about other forms of transit (local bus and taxi service) will be made available.. ' A bus stop and shelter will be provided, allowing rail passengers to more readily use the city's system. Improving the parking area and streets will allow the city to establish a bus stop at the station and thereby improve service. Restructuring the parking lot will make it safer, increase the capacity, and eliminate confusion. Resurfacing the parking lot and street areas will allow for safe bicycle use of the area. The current poor condition of the pavement now discourages bicycle access and can also be damaging to automobiles. That this Council, after consideration of the tentative map of Minor Subdivision No. 79 -153 and the Planning Commission's recommendations, staff recommendations and reports thereon, makes the following findings: 1. Subdivider shall install ,street trees across the South Higuera Street and Margarita Avenue frontages to the approval of the Public Services Department.. Existing trees shall be given credit., if to dity standards. 3. Subdivider shall install handicap ramp at.corner to the approval of the Public Services Department. 4. Each parcel shall be served with individual utility services to the satisfaction of the City Engineer. 5. Subdivider shall pay water and sewer fees as determined by the City Engineer prior to final map approval. 6. Final map shall note all areas subject to inundation during a 100-year design storm and contain a note that any substantial modification to . existing buildings and all new building finish floor elevations shall be set at least one.(1) foot above the 100 -year storm elevation. The final map shall also contain a note that substantial modifications to the existing creeks on parcel 1 shall be required at time of any development on said parcel. Notes shall be to the satisfaction of the city engineer. 5. Subdivider shall dedicate an easement to the city for the existing city sewer lift station located on parcel 1. Exact location and dimensions shall be to the satisfaction of the city engineer.. 6. Subdivider shall pay water and sewer fees as determined by the city engineer prior to final map approval. 7.. Subdivider shall install street trees across entire street frontage to city standards and to the approval of the Public Services Department. 3. Subdivider shall revise parking lot on parcel 3 to meet city standards of setbacks, landscaping and screening prior to final map approval. This condition shall be met prior to final map approval. 10. WHEREAS, the Subdivider desires that said Tract 966 be accepted and approved as a final map pursuant to the Subdivision Regu- lations and Ordinances of the City of San Luis Obispo, and WHEREAS, it is a condition of said regulations and ordinances that the Subdivider agrees to install the street improvements and utility lines and facilities as set forth on the plans therefore. NOW THEREFORE, in consideration of the foregoing, the Subdivider does hereby agree to construct and install the following subdivision improvements in accordance with said subdivision ordinances and regula- tions, and in accordance with approved plans and specifications on file in the office of the City Engineer, City of San Luis Obispo, to wit: 1. CURBS, GUTTERS and SIDEWALKS 2. STREET BASE and SURFACING 3. WATER MAINS and SEWER MAINS, including sewer laterals to the property line and water services to the curb stop. 4. DRAINAGE STRUCTURES 5. ORNAMENTAL METAL ELECTROLIERS 6. ELECTRIC, GAS, TELEPHONE and CABLE TELEVISION: In addition to the inspection and approval of such facilities by the City, each public utility shall be required to file a letter stating that the developer has properly installed all facilities to be provided by him, and that the said utility is prepared to provide service to residents upon request. 7. ANY & ALL OTHER IMPROVEMENTS shown on plans or required by City regulations. All the above facilities shall be installed in the locations designated and to the plans and specifications on file and approved by said City Engineer. i 1 The lines and g,-ades for all of said improvements shall be estab- lished by the Subdivider in accordance with said approved plans and specifications. The Subdivider agrees that the work of installing the above improve- ments shall begin within thirty (30) days from the date of recording of the final map, and that the work shall be completed within eighteen (18) months of said recording date, unless an extension has been granted by the City Council, provided that if completion of said work is delayed by acts of God or strikes, the Subdivider shall have an additional period of time equivalent to such period of delay in which to complete such work. Any extension of time hereunder shall not operate to release the surety on the Improvement Security filed pursuant to this agreement. In this connection, the surety waives the provisions of Section 2819 of the Civil Code of the State of California. No building permits will be issued nor occupancy granted after the expiration date of the agreement until completion and acceptance of all public improvements unless specifically approved by the City Council. The subdivider does also agree to comply with the following conditions established by the Planning Commission and /or the City Council. 1. The Subdivider shall install common driveway and related installation of water, sewer and gas laterals to eachlot; and one street light. 2. The Subdivider shall pay park in -lieu fees of $8,224.49. ($132,653.06 x 4 x 0.01550) 3. The Subdivider shall deposit $500.00 to assure monumentation of the subdivision. Said deposit will be released to the subdivider upon receipt by the city of a letter from the Engineer indicating they have completed the work and have been paid. 4. The Subdivider shall pay grading permit fees of $150.00 (This fee included in inspection fees) 5. The Subdivider shall pay a street tree fee of $580.00 ($290 x 2) for the City to install 2 trees on Lot 2 at time of Building Permit. As to public lands or section property included within said Subdivision, if any, for the restoration of lost section corners and for retracement of section lines, the method followed shall be in accord with the instructions set forth in the "Manual of Instructions" for Survey of Public Lands of the United States, published by the Commissioner of General Land Office, Department of Interior, Washington, D.C. -2- The Subdivider ._ieby attaches hereto, and as a..,ategral part hereof, and as security for the performance of this agreement., (instrument of credit /bond) approved by and in favor of the City of San Luis Obispo, and conditional upon the faithful performance of this agreement, which said (instrument of credit /bond) is in the amount of $22,000, and which is in the amount of the estimated cost of said improvements. Subdivider agrees to remedy any defects in the improvements arising from faulty workmanship or materials or defective construction of said improvements occurring within twelve (12) months after acceptance thereof. In accordance with Section 11612.1 (c) of the Business and Professions Code of the State of California, upon final completion and acceptance of the work, City will release all but 10% of the improvement security, that amount being deemed sufficient to guarantee faithful performance by the Subdivider of his obligation to remedy any defects in the improvements arising within a period of one year following the completion and acceptance thereof against any defective work or labor done, or defective materials furnished, in the performance of this agreement. Completion of the work shall be deemed to have occurred on the date as of which the City Council shall, by resolution duly passed and adopted, accept said improvements according to said plans and specifications, and any approved modifications thereto. Neither periodic or progress inspections or approvals shall bind the City to accept said improvements or waive any defects in the same or any breach of this agreement. If the Subdivider fails to complete the work within the prescribed time, then in that event, the Subdivider agrees, that City may, at its option, declare the bond, instrument of credit, or cash deposit, which has been posted by Subdivider, to guarantee faith.ful performance, forefeited and utilize the proceeds to complete said improvements, or City may complete said improvements and recover the full cost and expense thereof from the Subdivider of his surety. The Subdivider agrees to deposit with the City a labor and material bond in the amount of 50% of the above described subdivision improvements in accordance with State law. Said Subdivider shall deposit with the City the sum of $450.00, from which deposit the City will pay the salary and expenses of an inspector -3- .n e m s 0 4 7 N 0. u m 2 i or inspectors to inspect installation of said subdiv;__.on improvements and certify that they have been completed in accordance with the plans and specifications. Any unexpended monies will be returned to the Subdivider. In the event the inspection fees exceed the sum of $450.00, the difference is to be paid by the Subdivider. The City reserves the sole discretion in determining the amounts to be paid for salary and expenses of said inspector or inspectors. Article 9, Chapter I of the San Luis Obispo Municipal Code, entitled "Subdivision" - All plans and specifications on file with said City Engineer as a part of said Subdivision Map, and all other documents filed with the City by the Subdivider and approved by the City Engineer are hereby referred to for further particulars in interpreting and defining the obligations of the Subdivider under this agreement. It is understood and agreed by and between the Parties hereto that this agreement shall bind the heirs, executors, administrators, successors and assigns of the respective Parties to this agreement. It is agreed that the Subdivider will furnish copies of the successful bidder's contract unit prices and total bid prices for all of the improvements herein referred to. Findings. That this Council, after consideration of the tentative map of Tract 929 and the Planning Commission's recommendations, staff recommendations and reports thereon, makes the following findings: 1. Pedestrian crosswalks shall be designed utilizing alternative materials to the satisfaction of the City Engineer and Community Development Director. 27. Landscaped medians at intersections shall be deleted. 28. Sewer and water mains are subject to modifications of alignment, size and grades to the satisfaction of the City Engineer. 29. Street lightpoles shall be installed by the subdivider and owned by the city. Maintenance and service to luminaries to be under PG &E jurisdiction. 30. R 4953 r AGREEMENT FOR DESIGN OF REVISIONS TO THE LAGUNA LAKE MUNICIPAL GOLF COURSE IRRIGATION SYSTEM This Agreement is made and entered into this 21st day of September , 1982, by and between the CITY OF SAN LUIS OBISPO, a chartered municipal cor- poration of the State of California, ( "City ") and IRRIGATION DESIGN CONSULTANTS, a sole proprietorship, owned by Charles Schardt, whose address is 10518 De Soto Avenue, P.O. Box 703, Chatsworth, California 91311 ( "Consultant "); collec- tively referred to herein as the "Parties." RECITALS The parties enter into and execute this Agreement with knowledge of and reliance on the following facts: 1. City is the owner of the Laguna Lake Municipal Golf Course "Golf Course "). 2. City desires certain professional consultant and design services for revision and redesign of the irrigation system of the Golf Course. 3. City desires to engage Consultant to provide the services. 4. Consultant has offered to provide the required services on the terms and in the manner set forth herein. AGREEMENT NOW, THEREFORE, in consideration of the mutual and respective covenants and promises set forth herein, and subject to all the terms and conditions hereof, the parties agree as follows: A. INCORPORATION BY REFERENCE. Consultant will provide the services more fully described in Consultant's proposal, dated June 11, 1982, a three- page letter, which is attached hereto as Exhibit "A" and incorporated herein by this reference, in a satisfactory and proper manner. B. COMPENSATION. City agrees to pay Consultant compensation at the rate set forth on page 3 of Exhibit "A "; provided City shall not be liable for any services rendered in excess of $4,700.00, without prior written authorization from City. All compensation shall be paid in accordance with regular City payment procedures upon receipt of detailed invoices, prepared in triplicate by Consultant. C. INDEPENDENT CONTRACTOR. Consultant agrees, that at all times covered by the terms of this agreement, that he is acting as a free and independent contractor, and not as an employee of the City, and as such, shall not accrue or be eligible for vacation, sick leave, worker's compensation, unemployment insurance benefits, medical insurance or other similar benefits available to City employees. D. COMPLETION SCHEDULE. Consultant shall complete the preliminary irri- gation design plan within thirty (30) days of the execution of this agreement; Consultant shall complete a final irrigation design plan within sixty (60) days of the execution of this agreement. All other services shall be completed as soon as possible, but in no event later than January 31, 1983. E. PROJECT DIRECTOR. The City Administrative Officer shall be the repre- sentative of City for all purposes under this agreement. The City Adminis- trative Officer's designee, David. Romero, shall act as project director for City. F. PROJECT LEADER. Charles Schardt shall be the project leader for Consultant. Should circumstances require a project leader other than Charles Schardt, any substitute project leader shall be subject to the prior written approval of City. G. NON- ASSIGNABILITY. Consultant shall not assign any interest in this agreement without the prior written consent of City. H. TERMINATION. City may suspend or terminate this Agreement for any reason by giving ten (10) days written notice to Consultant. Upon receipt of such notice, Consultant shall immediately discontinue his performance under this Agreement. Upon such suspension or termination, Consultant shall be paid for all services actually rendered to City to the date of such suspension or termination; provided, if this Agreement is suspended or terminated for fault of Consultant, City shall be obligated to compensate Consultant only for that portion of Consultant's services which are of benefit to City. Nothing in this paragraph is to be construed.as any limitation on the right of either party to terminate this Agreement at any time for breach. I. OWNERSHIP OF DOCUMENTS. The original drawings, maps, plans, designs, records of survey, work data, specifications, and other documents prepared by Consultant in the performance of this Agreement are and shall remain the property of Consultant; provided that upon the request of City copies of any said material shall be provided to City during or after the performance of Consultant's services hereunder; provided, further, that upon termination or completion of this Agreement, and upon City's payment of the amount required to be paid under paragraphs B or H above, the original documents shall become the property of City, and Consultant shall transfer them to City upon request -2- without additional compensation. City shall have the right to utilize any completed or uncompleted drawings, estimates, specifications, and other docu- ments prepared hereunder by Consultant. Consultant shall not be liable for City's use of incomplete materials or for City's use of complete documents if used for other than the project contemplated by this Agreement. J. INDEMNIFICATION. Consultant hereby agrees to indemnify and hold harmless City, its officers, agents, and employees from and against: 1. Any and all claims and demands which may be made against City, its officers, agents, or employees by reason of any injury to or death of any person or damage suffered by any person or entity caused by, or alleged to have been caused by, any negligent act, error, malpractice, or omission of Consultant or any subconsultant under this Agreement or of Consultant's or any of subconsultant's employees or agents; 2. Any and all damage to or destruction of any property of City, its officers, agents, or employees occupied or used by or in the care, custody, or control of Consultant, or in proximity to the site of Consultant's work, caused by any negligent act, error, malpractice, or omission of Consultant or any subconsultant under this Agreement or of Consultant's or any subconsultant's employees or agents; 3. Any and all claims and demands which may be made against City, its officers, agents, or employees by reason of any injury to or death of or damage suffered or sustained by any employee or agent of Consultant or any subconsultant under this Agreement caused by negligence on the part of Consultant, his employee, agent, or subconsultant, excepting however, any such claims and demands which are the result of the sole negligence or willful misconduct of City, its offcers, agents, or employees. 4. Any and all claims and demands which may be made against City, its officers, agents, or employees, by reason of any infringement or alleged infringement of any patent rights or claims caused or alleged to have been caused by the use of any apparatus, appliance, or materials furnished by Consultant or any subconsultant under this Agreement; and 5. Any and all penalties imposed or damages sought on account of the violation of any law or regulation or of any term or condition of any permit. Consultant, at his own cost, expense, and risk, shall defend any and all suits, actions, or other legal proceedings arising out of negligence, -3- 0 J error,or omission, or alleged negligence, error, or omission of Consultant that may be brought or instituted by third persons against City, its officers, agents, or employees, or any such claim or demand of such third persons, or to enforce any such penalty, and pay and satisfy any judgment or decree that may be rendered against City, its officers, agents, or employees in any such suit, action, or other legal proceeding. R. INSURANCE. Current certificates of such insurance shall be kept on file at all times during the terms of this Agreement with the City Clerk. L. WORKER'S COMPENSATION. Consultant certifies that he is aware of the provisions of the Labor Code of the State of California which require every employer to be insured against liability for worker's compensation or to undertake self- insurance in accordance with the provisions of that Code, and he certifies that he will comply with such provisions before commencing the performance of the work of this Agreement. M. AGREEMENT BINDING. The terms, covenants, and conditions of this Agreement shall apply to, and shall bind, the heirs, successors, executors, administrators, assigns, and subconsultants of both parties. N. NOTICE. For purposes of notice under this agreement, all notices shall be considered effective seventy -two (72) hours after being sent by certified U.S. mail, return receipt requested, to the following addresses: City: City Clerk City of San Luis Obispo P.O. The provisions of this Agreement are severable. If any term or provision is found to be illegal or invalid such illegality or invalidity shall not affect the remainder of the Agreement. P. INTERPRETATION. This Agreement has been entered into and is to be performed in the State of California and shall be construed and interpreted in accordance with the laws of the State of California. Q. ENTIRE AGREEMENT. This Agreement constitutes the entire agree- meet between the Parties with regard to the matters herein set forth. This Agreement may not be altered or otherwise modified except by writing executed by the Parties. R. WAIVER. The waiver by either Party of any provision hereof shall -5- be deemed a waiver of any other provision hereof, or any subsequent breach by either Party of the same or any other provision. S. ATTORNEY "S FEES. The prevailing Party in any action brought to enforce the terms of this Agreement or arising out of this Agreement may recover from the other Party its reasonable costs and attorney's fees expended in connection with such an action. Site Investigation and Preliminary Design Pre - design on site investigations will be conducted to locate existing equipment in the affected areas. We-will prepare plot plans of the golf course and irrigation equipment system from photos by you. Preliminary irrigation plans will be prepared showing scheduling, head locations, and general main line routing. At this time a budget estimate will be submitted for your review and approval. 2. Irrigation Design (Final) After your review of the preliminary plans, we will complete final irrigation plans. These plans will show.all sprinkler heads, control valves, and pressure relief valves. All new pipe will be sized on plans, Electrical wiring will be complete and sized on plans. All materials will be specified as to pressure rating, adjustment range and mode of operation. Detail sheets will be prepared to show all field makeup of equipment, and /or specific connections. We will supply one set of sepias, one blue line set of prints, and one set of reproducable specifications. A materials take off will not be made by our company. Our scope of design will include the golf course. It will also include club house and driving range as alternates, that may be added to the bid on the golf course. 3. Bid and Bid Evaluation The City will distribute plan sets for bidding and wiii receive all bids. Staking, Layout and Observations Our company will completely stake all heads, valves, wire routing, controllers, and main lines with the labor assistance of the contractor. Our company will provide installation observations for the modification of the golf course irrigation system as required. 5. "As- Built" Plan As areas of the course are completed, the contractor will take infield traingular dimensions of wire routing, gate and quick coupler valves. We will then transfer this information to a master sheet and complete the "as- built" plan. Guarantee Our company will guarantee that the hydraulic function of the system will perform as designed and as per the criteria established, only if the system is installed per our plans. The guarantee as to the workmanship of the installation and the material used, shall be the responsibility of the contractor and equipment manufacturer respectfully.
