AGREEMEN T
THIS AGREEMENT is made and entered into in the City of San Luis Obispo on this 4 day
o a,4(/,ate) 4 ,by and between the CITY OF SAN LUIS OBISPO, a municipa l
corporation, hereinafter referred to as City, and TAYLOR & SYFAN CONSULTING ENGINEERS, INC .,
hereinafter referred to as Consultant .
WITNESSETH :
WHEREAS, the City wants the structural design of bridge abutments for a proposed replacement bridg e
over Prefumo Creek at Laguna Lake Golf Course .
WHEREAS, Consultant is qualified to perform this type of service and has submitted a proposal to do s o
which has been accepted by City .
NOW THEREFORE, in consideration of their mutual promises, obligations, and covenants hereinafte r
contained, the parties hereto agree as follows :
1.TERM . The term of this Agreement shall be from the date this Agreement is made and entered, a s
first written above, until acceptance or completion of said services .
2.CITY'S OBLIGATIONS . For providing services as specified in this Agreement, City will pa y
and Consultant shall receive therefor compensation in a total sum not to exceed $5,800 .
4.CONSULTANT'S OBLIGATIONS .For and in consideration of the payments and agreement s
hereinbefore mentioned to be made and performed by City, Consultant agrees with City to provide services as se t
forth in Exhibit A attached hereto and incorporated into this Agreement . Consultant further agrees to the contrac t
performance terms as set forth in Consultant's proposal dated February 20, 2004 attached hereto and incorporate d
into this Agreement .
5.AMENDMENTS .Any amendment, modification, or variation from the terms of this Agreemen t
shall be in writing and shall be effective only upon approval by the City Administrative Officer of the City .
6.COMPLETE AGREEMENT. This written Agreement, including all writings specificall y
incorporated herein by reference, shall constitute the complete agreement between the parties hereto. No oral
agreement, understanding, or representation not reduced to writing and specifically incorporated herein shall be o f
any force or effect, nor shall any such oral agreement, understanding, or representation be binding upon the partie s
hereto .

NOTICE . All written notices to the parties hereto shall be sent by United States mail, postag e

At your request, we are pleased to submit our proposal to provide structural engineering services for the abov ereferenced project .
PROJECT DESCRIPTIO N
This project consists of designing bridge abutments in accordance with a soil report to be provided for support o fan existing Bailey bridge that is being relocated to the new site . Piled foundations are expected . Specifications forthe existing bridge are to be provided by the City .
SCOPE OF SERVICE S
1.Consult with City of San Luis Obispo - Public Works Department, the Soil Engineer - to be named, th ePlan Reviewer, the General Contractor — to be selected, and all other consultants .
2.Visit bridge in existing location and site of new location prior to the commencement of our design .
a Prepare structural engineering calculations, specifications, a set of structural CAD plans anti details fo rthe project as described above .
4.Satisfy Building & Safety Department plan check requirements . Permit acquisition by others .
5.Provide construction assistance in the form of responding to contractor's RFI's and questions vi atelephone and facsimile . Two site visits during construction to observe that construction of key structura lelements are in general conformance with our design intentions .
COMPENSATIO N
Fee:£5.800.0 0
Fee Schedule:
$900.00 Payment #1 :Upon approval of this agreemen t$2,000 .00 Payment #2 :Upon 50% completion of the structural design.$2,300 .00 Payment #3 :Upon 100% completion of the structural design .$600 .00 Payment #4 :Upon acquisition of a building permit or 60 days after Payment #3 ,whichever comes first .
REIMBURSABLE EXPENSES
The client agrees to reimburse Taylor & Syfan for all reproduction costs, including photocopies, vellums an d
btaddines and forclientinitiated express delivery fees .
ADDITIONAL SERVICES
Additional services are items considered outside the scope of this agreement They shall be performed onl ywith clear authorization from the client or the client's agent . These services are to be billed at the hourly rat ein effect at the time of the performance of such services . The hourly rate is currently $90 .00 and is nex t
scheduled for review on January 1, 2005 . Alt additional services shall be subjectto office scheduling .
