STUDY SESSION
1. DISCUSSION REGARDING REVIEW OF FISCAL IMPACT ANALYSES OF THE
PROPOSED SAN LUIS MARKETPLACE PROJECT.
Council Member Settle recused due to a conflict of interest,and left the Council Chamber.
Economic Development ManagerStanwyck introduced consultants Allan Kotin, Allan D.
Kotin and Associates, and Jerry Keyser, Keyser Marston Associates, Inc., who reviewed the
main points of their fiscal impact analyses(on file in the City Clerk's Office). After the
review, Mr. Kotin and Mr. Keyser each gave a rebuttal.
Assistant.CAO George gave a presentation on the proposed Downtown Seismic Retrofit
Ordinance.
Council questions and discussion ensued.
Public Comment
Mary Beth Schroeder. San Luis Obispo, asked Council to preserve the Downtown.
Bill Bird. Project Developer, Glendora, stated that there will never be a Wal Mart in San Luis
Marketplace,and that no theatres were included in the project to avoid competition with
Downtown theatres. He stated that he would maintain ownership of San Luis Marketplace.
Tom Jirovsky, Sedway Group, Los Angeles, Economist for Mr. Bird, highlighted points he
made in the letter he submitted to the Council(on file in the City Clerk's Office). He stated
that Downtown is a place of entertainment, whereas San Luis Marketplace is designed for
fast, convenient,drive-up shopping. San Luis Marketplace will help stop the sales tax
leakage out of the area. Also, new retail helps to keep shopping areas vital.

Deborah Cash, Downtown Association Administrator, submitted a list of questions from the
Downtown Association membership to be answered by the consultants and staff(on file in
the City Clerk's Office). She stressed the importance of maintaining the vitality of the
Downtown. Also, she stated that the Downtown Association Strategic Plan Is now in
conflict with the City's consideration of this project.
Mayor Romero called a break at 9.08 p.m. The meeting was reconvened at 9.20 p.m.
Gary Fowler, San Luis Obispo,stated that seismic retrofitting buildings in the Downtown
will result in increases in leases and, combined with problems associated with parking,
parking meters,trash pick up,and service deliveries,will further negatively affect
Downtown business owners. He likes the idea of theatres at San Luis Marketplace, as
some Downtown theatres are run down. He stated that special events result in reduced
sales Downtown.
Kathie Haley,San Luis Obispo, shared comments made by other citizens in support of San
Luis Marketplace.
Jennifer Blomfield, San Luis Obispo, asked Council to preserve the Downtown shopping
experience as a form of entertainment for many. She expressed frustration with pedestrian
circulation at Madonna Plaza and SLO Promenade.
David Booker, San Luis Obispo, requested more studies be done on absorption of sales
from Downtown.
Chris Komblatt, San Luis Obispo, stated that Downtown is a place where people like to
congregate, and that the big box/cookie cutter stores will have a negative impact on that
Bob Seeley, San Luis Obispo, stated that it took many years for Santa Monica 3rd Street
Promenade to recover from a large shopping center built there,and he hopes this will not
happen in San Luis Obispo.
Kathi Main, San Luis Obispo,asked Council to consider how other downtowns in the
county faired with large shopping centers on the periphery,and if there is a plan should
San Luis Marketplace fail.
Frank Merson, San Luis Obispo,expressed concern about the possible loss of sales to
Downtown caused by San Luis Marketplace, in addition to Downtown parking problems.
Howard Carroll,San Luis Obispo, asked that seismic retrofit of Downtown buildings be
addressed in more detail in relation to San Luis Marketplace. He stated that retrofits will
disrupt business.
Ron Rusconi,San Luis Obispo, stated that San Luis Marketplace will be good for
competition and that the City should be the economic hub.

PUBLIC HEARINGS
1. WATER AND WASTEWATER MANAGEMENT ELEMENT POLICY AMENDMENTS.
Utilities Director Moss and Utilities Engineer Gilmore presented the staff report and
introduced County staff in attendance. Council questions and discussion ensued.
Mayor Romero opened the public hearing.
Mary Beth Schroeder, San Luis Obispo, stated that the project was too expensive and
would promote growth.
Mayor Romero closed the public hearing.
Council Member Mulholland suggested that Council consider using 120 gallons per capita
instead of 145 gpc for the purposes of planning for the City's water needs. She stated that
any extra water beyond build-out, needs to be included in a reliability reserve as stated in
the Charter, and asked that Council consider adopting a reliability reserve. A majority of
the Council was not in support of these proposed actions.
ACTION: Moved by Settle/Ewan to adopt Resolution No.-9584(2004 Series)
amending certain policies contained in the Water and Wastewater Management
Element of the General Plan and an approving the Negative Declaration of
Environmental Impacts, as recommended by the Planning Commission; motion
carried 4:1, Mulholland.
2. CEQA COMPLIANCE FOR NACIMIENTO WATER PROJECT.
Utilities Director Moss and Utilities Engineer Gilmore presented the staff report.
Christine Ferraro, County of San Luis Obispo Project Manager, responded to Council
questions regarding water release impact on live streams, and the minimum pool that must
be maintained at Lake Nacimiento during drought to secure the County entitlement.

Mayor Romero opened the public hearing.
Gary Fowler, San Luis Obispo, stated that he was in favor of the changes suggested by
Council Member Mulholland and expressed concern about mercury levels in Nacimiento
Lake. Staff reported that mercury is not a problem, as it is filtered out in a natural chemical
process.
Mary Beth Schroeder, San Luis Obispo, stated she does not want additional growth.
Mayor Romero closed the public hearing.
Council Member Mulholland addressed the public stating that the project will bring much
more water than the City needs,that customer's water bills will double,and that water means
growth.
ACTION: Moved by Ewan/Settle to 1)adopt Resolution No.9585(2004 Series)
certifying that the City Council has reviewed and considered the Nacimiento Water
Project Environmental Impact Report(EIR),and adopting the CEQA Findings,
Including the Statement of Overriding Considerations. 2) Direct staff to file the
Notice of Determination (NOD)with the County Clerk and the State Office of
Planning and Research; motion carried 4:1, Mulholland.
BUSINESS ITEM
3. NACIMIENTO WATER SUPPLY AGREEMENT.
Utilities Director Moss presented the staff report. Council questions and discussion
ensued.
John Jenkins, San Luis Obispo County Counsel, responded to Council questions regarding
wording in the agreement that refers to treatment plants, stating that the wording allows for
flexibility in the agreement and that any treatment plant project related to the Nacimiento
Project in the future would have to go through it's own environmental review.
Public Comments
Mary Beth Schroeder, San Luis Obispo,objected to the project.
Patricia Wilmore, Chamber of Commerce,reiterated the Chamber's support of the project,and
commended the Council,and City and County staff on this historic occasion.

Council Member Settle moved,as part of the CAO recommendation,to appoint Vice Mayor
Schwartz to serve on the Nacimiento Project Commission. Vice Mayor Schwartz declined the
appointment.
ACTION: Moved by Settle/Ewan to 1)Adopt Resolution No.9586(2004 Series)
approving an agreement with the San Luis Obispo County Flood Control and Water
Conservation District for the design,construction and operation of facilities
required for the delivery of 3,380 acre-feet of water per year to the City of San Luis
Obispo from the Nacimiento Water Supply Project. 2)Appoint Mayor Dave Romero,

of the Council,to serve on the Nacimiento Project Commission as defined under
Article 33 of the agreement; motion carried 4:1, Mulholland.
Council Member Settle reported that he received the revenue taxation report.
City Administrative Officer Hamaian reported that he received an alert regarding the
Governor's budget negotiations with the Legislature that may be different than the
arrangement he made with the cities. He asked Council to be prepared to respond over the
holiday weekend if necessary.
There being no further business to come before the City Council, Mayor Romero adjourned

PUBLIC COMMENT
Jerry Moore, San Luis Obispo, on behalf of ECOSLO,expressed concern about the
environmental, social and economic impacts of the proposed Prado Road interchange,
alignment and connection to Broad Street and requested that the alignment be staked out.
Nick Muick,San Luis Obispo,expressed concern regarding the proposed Prado Road
alignment and connection to Broad Street. He requested that the alignment be staked out
Jan Marx,San Luis Obispo, introduced the formation of anew citizen activist group called
Citizens For Planning Responsibly(CPR)(letter on file in the City Clerk's Office).
Bill Wilson, San Luis Obispo,stated that the proposed Prado Road alignment would cut off
the open space area from the sports fields resulting in the following negative effects:
increased noise and air pollution,threat to wildlife,water problems, reduction of bike access,
reduction of educational opportunities and recreational potential,and redundant to South
Street and Tank Farm Roads. He requested that the alignment be staked out
Alex Crozier.San Luis Obispo,stated that he is concerned about the proposed Prado Road
alignment and the impact on the soccer fields,which are not an official size. He requested
that the alignment be staked out.

Bill Bowman,San Luis Obispo, stated that the soccer fields are not official size and that the
proposed Prado Road alignment may interfere with the size of the soccer fields. He stated
that official soccer fields would bring tournaments to the City and an economic boost.
Michael Sullivan,San Luis Obispo,requested that the proposed Prado Road alignment be
staked out for the public to review. He feels there is a better solution to the proposed
alignment.
Mark Buckman,San Luis Obispo,requested that the Prado Road alignment be staked out.
Larry Stadler,San Luis Obispo,stated that there is no need for four lanes on the Prado Road
extension,that the lanes would promote too much traffic.

had to work through,such as a balance of open space, housing in the airport safety zone,
and flooding.
Bill Bird, SC Properties, spoke in support of the project referring to its many positive
aspects,such as open space, new retail, sales tax,and good architecture.
Brian Wolf, project architect,spoke in support of the project highlighting its green design,
public art, landscaping,fountains,and craftsman design.

Mayor Romero called a recess at 11:55 pm. The meeting reconvened at 12.10 a.m.
Staff responded to Council questions regarding class one environmental impacts stated in
the EIR,and to questions regarding the financing of the proposed Prado Road interchange.
Council discussion ensued.
Richard Daulton, Rincon Consultants, responded to questions regarding traffic impacts on
Madonna and Los Oso Valley Road, air quality,and problems with potential flooding in the
area of the project.
Mayor Romero returned the matter to the Council for discussion.
Vice-Mayor Schwartz stated that he is not in favor of putting the San Luis Marketplace issue
on the ballot as the issue has a long history and required a great deal of study before a
good decision could be made. He expressed concern that the environmental impact report
did not fully address the economic condition of the City. He stated that improved sales tax
base and transient occupancy tax is essential to the City.
Council Member Mulholland expressed concern regarding the eight negative class one
impacts addressed in the environmental impact report, and General Plan consistency
issues. She stated that many of the speakers who advocate for the project are from out of
town and she represents only the citizens of this City.
Council Member Ewan stated that he understands the community's concerns,and that this
property will be developed by the property owner, and it's a matter of having the City
controls in place. He stated that the City works towards strengthening the downtown, and
has created downtown activity through more parking. In addition,the City will need the
Prado Road interchange to support circulation for the Margarita plan.
Mayor Romero stated that this City is his priorty and that he is very qualified to review the
project. He remarked that the Council does an excellent job doing it's homework and that
the Council is elected to make decisions based on study;therefore, he is against taking the
project to the voters. He stated that the Prado Road interchange and extension to Broad
Street are needed to support the Margarita and Airport area development and that the
outside funds are necessary to build the interchange. Mayor Romero stated that the
Downtown Is winning awards,and that the Copelands project will improve the Downtown.
Also, he expressed concern that leakage is a problem, and that the Marketplace almost
went to the County,putting the City at risk of losing the revenue.
Council discussed whether Lowe's covered outdoor sales area should count toward the
140,000 square-foot maximum limitation for large-scale retail uses. Council agreed not to
change the wording of Condition#1 included as part of CAO Recommendation#5.

ACTION: Moved by Ewan/Schwartz to 1)Adopt Resolution No.9588(2004 Series)
certifying the EIR, including the mitigation monitoring program, based on findings,
including a finding of overriding considerations relative to traffic/circulation, air
quality, noise, cultural resources,and loss of agricultural land,and endorses
Alternative 7.3, which includes a housing component, and as amended to reference
an errata for the change to Traffic Impact T-1. 2) Uphold appeal and adopt
Resolution No. 9589(2004 Series)of Application requesting that the Local Agency
Formation Commission (LAFCO)take proceedings for the 131-acre annexation,
based on findings. 3) Uphold appeal and adopt Resolution No.9590(2004 Series)
amending the General Plan Land Use Element Map to reflect the applicant's current
land use proposal,based on findings. 4) Uphold appeal and introduce Ordinance
No. 1449(2004 Series)prezoning sites within the annexation area to be consistent
with the proposed Land Use Element map designations(C-R-PD, Retail Commercial
Planned Development; O-S, Office with the Special Consideration overlay; R-3-S
Medium-High Density Residential with the Special Consideration overlay; C/OS-40,
Conservation/Open Space; and AG, Agriculture),and approving a Preliminary
Development Plan for the C-R-PD component known as the San Luis Obispo
Marketplace, based on findings, and subject to conditions, and as amended to add
the following conditions to Section 3, Conditions,Planning Requirements,of Exhibit
J. "1. As the applicant and the City have been negotiating a Development
Agreement and Special Tax Reimbursement Agreement in conjunction with this
application, the final development plan shall not be effective until the applicant and
the City enter into a Development Agreement and a Special Tax Reimbursement

ACTION: Moved by Schwartz/Ewan to 1)adopt Resolution No.9593(2004 Series)
approving the Negative Declarations of Environmental Impact and amending both
text and map of the Land Use Element of the City's General Plan;2) Introduce

Council Member Mulholland reported on the June 23rd Economic Vitality Corporation (EVC)
Board meeting.
COMMUNICATION
Mayor Romero requested that the proposed Prado Road alignment.be staked out for the
benefit of citizens who would like to see how Prado Road will connect to Broad Street CAO
Hamaian did not advise staking out raw land as relationships and distances may be
misleading. In addition,the City is trying to keep people out of the area to protect the fields.
He suggest, instead,that Council may wish to authorize a computer simulation of the
alignment. No action taken.
There being no further business to come before the City Council, Mayor Romero adjourned

Community Development Director Mandeville and Senior Planner Ricci presented the staff
report
Ernie Dalidio, San Luis Obispo,asked Council to support the project, and thanked City and
County staff for many hours of work on the project.
Andrew Merriam. Cannon Associates, discussed the major issues that project applicants
had to work through, such as a balance of open space, housing In the airport safety zone,
and flooding.
Bill Bird. SC Properties, spoke in support of the project referring to its many positive
aspects; such as open space, new retail,sales tax,and good architecture.
Brian Wolf, project architect, spoke in support of the project highlighting its green design,
public art, landscaping,fountains, and craftsman design.
Mayor Romero opened the public hearing.
James Kilmore,did-Tr-ani,-provided information regarding hydrolics is"sues and mitigation
