SUBJECT: WATER TREATMENT PLANT IMPROVEMENT PROJECT
CAO RECOMMENDATION
Approve Amendment No. 4 to the contract with Black and Veatch for Phase III services for
construction management and plant control system configuration services for the Water
Treatment Plant Improvement Project for an additional amount not to exceed $1,088,934 and
authorize the Mayor to execute the Amendment.
DISCUSSION
The Water Treatment Plant Improvement Project has been under study and design for the last
three years. On January 17, 2006, the Council considered the project scope and the revised cost
estimate and directed staff to proceed with finalization of the plans and specifications. On March
7, 2006, the City Council approved the final plans and specifications for the Project and
authorized staff to advertise for bids.
The March 7t' Council report indicated that staff was negotiating contract terms with Black and
Veatch for construction management services. Staff has completed the negotiations and are
satisfied with the terms and conditions as shown in Attachment 1 to this report. Black and
Veatch will provide the typical construction management services for a large project of this type
which includes office engineering support, onsite resident engineer/inspector, and specialty
inspection services. In addition, Black and Veatch will provide plant control system
configuration services for the computer control system that monitors and controls much of the
treatment plant operations. Black and Veatch will also provide oversight during the startup
operations for new plant processes and equipment.
The construction management services outlined in Amendment 4 to the original agreement are
critically important for a project of this magnitude. Black and Veatch provided construction
management services on the previous Water Treatment Plant Upgrade Project (completed in
1994) and staff were very satisfied with the services provided and the success of the overall
project. As the project designers, Black and Veatch have intimate knowledge of the plans and
specifications which will be invaluable when construction problems or issues arise.
FISCAL IMPACT
On January 17, 2006, the City Council approved an increase in the project budget to
$13,406,800. The total project cost estimates and funding sources are shown in Table 1 and 2
below. This contract amendment for construction management services is for an additional

compensation of $1,088,934. There will be some additional services required for the
construction project relative to materials testing (soil compaction, concrete strength, etc.). City
engineering staff are currently evaluating proposals from firms to provide these services for all
city projects and once the firms have been pre-qualified, staff will request cost proposals from
each qualified firm for providing the necessary testing services.

The majority of the funding for the treatment plant improvements will be accomplished by the
issuance of bonds. The exact amount of the bond issuance will be determined following receipt
of the bids for the project and the annual water fund review, which will determine the amount of
working capital that is available to support a portion of the project funding.
Role of Development Impact Fees in Funding this Project Based on a detailed analysis
prepared as part of the Water System Master Plan prepared in October 2000, 29.4% of the cost of
this project is attributable to new development (the balance is required to meet the needs of
existing residents and businesses). As such, given the.significant increase in the cost of this
project, we plan to return to the Council within 90 days after bid opening with recommended
revisions to our water development impact fees, in accordance with our policy that the Finance
Director do so whenever significant changes in the basis for the fees are identified. However,
since the current fee is largely based on water supply costs (accounting for about 90% of the total
fee), we do not expect this adjustment to have a significant impact on the overall fee: just the
water treatment portion,which currently accounts for about 7% of the total water impact fee.

AMENDMENT 4 TO AGREEMENT
THIS AMENDMENT TO AGREEMENT is made and entered in the City of San Luis Obispo on this
day of ,by and between the CITY OF SAN LUIS OBISPO,a municipal
corporation,herein after referred to as City,and BLACK AND VEATCH,hereinafter referred to as Consultant.
WITNESSETH:
WHEREAS, on February 26, 2003 the City entered into an Agreement with Consultant for preparation of
the preliminary design report for the Water Treatment Improvement Project,Specification 90225;and
WHEREAS, on November 24, 2003 the City entered into an Agreement with Consultant for preparation of
the final plans and specifications for the Water Treatment Improvement Project;and
WHEREAS,the City desires to amend the scope of services to include construction management and plant
control system configuration services at the Water Treatment Plant and Consultant has submitted a proposal for this
purpose that is acceptable to the City.
NOW THEREFORE, in consideration of their mutual promises, obligations and covenants hereinafter
contained,the parties hereto agree as follows:
1. For providing the services as specified in Exhibit A to this Amendment #4, City will pay and
Consultant shall receive additional compensation of$1,088,934 for a total sum not to exceed$2,371,730.
2. All other terms and conditions of the Agreement remain in full force and effect.

PURPOSE
The following is an amendment to the contract signed on February 26, 2003, between the
City of San Luis Obispo (City) and Black & Veatch Corporation (Consultant).
Consultant's obligations are amended according to the following "Scope of Work"
section. The City's obligations are amended according to the "Compensation" section at
the end of this amendment. All other terms and conditions of the original contract apply.
As defined herein, "Contractor" means the City's general construction contractor for the
Project.
PROJECT DURATION
This amendment, staffing plan and associated costs are based on the project construction
schedule as specified in the construction contract documents. A significant extension in
contract time by the Contractor, should it occur, will result in increased cost and is
justification for an amendment to this agreement to cover such costs. In such an event,
Consultant will work with the City to minimize additional costs through measures such as
work force reduction, etc. The planned construction milestones are summarized as
follows:
• Start of the Contract Time June 26, 2006
• Contractor Mobilization/Commence Field Activities(est.) July 30, 2006
• Contractor Substantial Completion November 22, 2007
• Contractor Final Completion December 20, 2007
• Contract Closeout January 2008

SCOPE OF WORK
Task 600—WTP Construction Administration—Phase III
Project administration services will .be performed during the construction phase of the
Project. By performing these services, Consultant shall not have authority or
responsibility to supervise, direct, or control the Contractor's work or the Contractor's
means, methods, techniques, sequences, or procedures of construction. Consultant shall
not have authority or responsibility for safety precautions and programs incident to the
Contractor's work or for any failure of the Contractor to comply with laws, regulations,
rules, ordinances, codes or orders applicable to the Contractor furnishing and performing
the work. Specific services to be performed by Consultant are as follows:
Subtask 605 Monthly Status Report and Project Invoices
During Phase III, project invoices will be submitted monthly accompanied by a project
status report documenting key activities of the previous and upcoming months, project
action items,project expenditures, and project schedule updates.
Deliverables: 1 copy of Status Report and Project Invoice each month for the
duration of the phase(24 months).
Subtask 610. Preparation of Addenda
As required during the bidding phase, addenda to the drawings and specifications will be
prepared to address questions or clarifications required.
Assumption: 2 addenda with 4 revised drawings each and minor modifications
to specifications.
Deliverables: Final Addenda Drawings (Paper Full-Size Drawings, 1 copy)
Revised Technical Specifications
Subtask 615. Pre-Bid Conference
Prepare for and attend the Pre-Bid conference with potential bidders and address
questions or clarifications. Written response to bidders' questions will be issued.
Subtask 620. Consultation/Review During Bidding and Award Process
Issue written responses to questions and clarifications to bidders during bidding. Review
bid submissions and consult with City regarding qualifications and experience of bidders
and responsiveness of bids.

Subtask 625. Review/Evaluation of Submittals
Review drawings and other data submitted by the Contractor as required by the
construction contract documents. Review shall be for general conformity to the
construction contract drawings and specifications for the Project and shall not relieve the
Contractor of any of his contractual responsibilities. Such reviews shall not extend to
means, methods, techniques, sequences, or procedures of construction, or to safety
precautions and programs incident thereto.
Evaluate requests for "substitute" and "or equal' items, and provide written evaluation of
substitution requests. Submittal review comments will be provided to the Contractor in
electronic format(Acrobat PDF files).
Subtask 630. Review/Evaluation of RFls/Change Orders
Review and respond in writing to Requests for Information (RFIs) from the Contractor
and prepare the Design Clarifications (DCs) as required. Review and evaluate change
order requests issued by Contractor. Issue recommendations to City related to validity
and costs associated with change order requests. Assist the City in administering the
processing of change orders, including applications for extensions of construction time.
Evaluate the cost and scheduling aspects of all change orders and, where necessary, assist
the City in negotiating with the Contractor to obtain a fair price for the work. Said
negotiation.shall be subject to the approval of the City.
Subtask 635. Progress Meetings and Site Visits during Construction and Start-Up
Conduct periodic visits to the construction site to observe progress of the work and
consult with the City and Contractor concerning problems and/or progress of the work.
Attend monthly progress meetings with the general construction contractor and the City
to review and discuss construction progress, scheduling, coordination, project
administration procedures, and other matters concerning the Project(8 Monthly Meetings
Budgeted).
Subtask 640. Conformance of Documents and Preparation of Record Drawings
Upon completion of the Project, revise the construction contract drawings to conform to the
construction records(record drawing mark-ups to be supplied by City).
Deliverables: Conformed Construction Drawings—full-size vellum(1 copy).
Conformed Specifications-bond paper(1 copy).
Conformed Project.Documents-electronic files on CD-ROM.

Consultant will submit the draft CM Procedures Manual for review and comment by the
City. Consultant will conduct a meeting to discuss the City's comments, identify key
concerns and goals, outline policies and procedures, review the schedule and coordinate
construction phase roles &responsibilities.
Subtask 652 Pre-Construction Conference
Consultant shall conduct an onsite pre-construction conference with the City and
construction contractor as required by the construction contract documents to review the
project, coordinate project initiation, and establish administrative procedures.
Subtask 653 Mobilize Onsite Office
The Contractor will furnish an onsite office for Consultant's construction manager,
inspector, and field clerk, in accordance with requirements specified in the contract
documents. Consultant shall set up and secure two sets of file systems (one each for
Consultant and City), establish communications, establish the electronic information
management system and generally begin work at the site.
Subtask 654 Project Coordination and Reporting
Coordination.. Consultant shall perform coordination of project elements during the
construction phase with the. City, Contractor, Kruger (Actiflo System), and office
engineering staff. This will occur through meetings, phone conversations, and email
correspondence.
Information Management System. Consultant shall establish and maintain an information
management system (IMS) to efficiently manage project information, communication,
contracts, and review approvals. This system will provide regular project summary status
reports, including costs, schedule, changes and submittal logs with "ball in court"
tracking. The system will provide for efficient exchange of information and an auditable,
permanent record of events.
Consultant's CYGNET system will be made available to City staff through the "Extranet"
.site, and shall be utilized for file storage and exchange of information.
Weekly Progress Meetings. Consultant and Contractor shall conduct weekly onsite
progress meetings with the City as described in the construction contract documents to
review project status, work progress and look-ahead schedule, identify and resolve
problems, and other business relating to the construction activities. Consultant shall
prepare the meeting agenda and minutes.

Daily and Monthly Reports. Consultant shall maintain daily reports in the information
management system and prepare a monthly report for submittal to the City. The monthly
report will include individual statistics for the contract, including!
• Progress-Actual vs. Planned
• Schedule Status-Initial and Current Completion Dates
• Contract Price- Initial and Current Contract Status
• Pending Changes and Potential Issues
• Permit Compliance
• Construction Photos for the month on CD.
Subtask 655 Construction Contract Administration
Scheduling. Consultant shall provide detailed review of the Contractor's baseline
schedule. Review will include the schedule logic, interdependencies, and resource
allocations to identify flaws and to check for reasonableness and compliance with the
contract on interim milestones, project schedule constraints, testing durations, and
completion dates. Consultant will also review monthly schedule updates for construction
progress, completion date, critical path, etc. Provide recommendations to the City
relative to the construction schedule.
Payment Application. Consultant shall process monthly pay applications in a manner fair
to the Contractor while protecting the City's financial interest. The initial schedule of
values (which will become the basis for payment for lump sum items), will be critically
reviewed to check that costs are reasonable and consistent with experience in the region.
Consultant shall track each individual pay item to monitor work completed to-date and
monies paid to-date to identify pay request discrepancies, as well as under/overruns.
Submittals. Contractor submittals will be received, documented in the IMS, and
reviewed as described in Subtask 625. Handling of Contractor submittals will be via
email and/or CD using Adobe PDF files as specified in the construction contract
documents. Construction Manager will keep a complete set of submittals on site.
Requests for Information (RFI's). Consultant shall manage the construction contractor's
requests for all clarification or interpretation. Consultant shall receive and log RFrs into
the IMS. Field staff may respond directly to an RFI in writing when appropriate and if it
does not impact the project design. RFI's will be forwarded directly to the office
engineer for response as appropriate. Consultant shall monitor the progress of RFI
responses and endeavor to answer all RFI's within 48 hours of receipt - conducting
meetings and phone conferences as necessary to facilitate the process.

Changes. Following Consultant's CM procedures, Consultant shall:
• Keep the City informed on status of all change orders.
• Maintain a log of proposed change orders, indicating action dates and status.
• Assess claims of Differing Site Condition and document Consultant's position with
logical argument.
• Coordinate with the City and the office engineering team regarding impacts on the
design.
• Request Contractor's change order estimate.
• Independently evaluate cost and schedule impacts of each change order, and
document findings.
• Evaluate Contractor's change order cost estimate and schedule impacts and negotiate
as required.
• Prepare change order documentation for City and contractor signatures.
• Process and incorporate the change order into the progress payment breakdown.
• Document information that may be necessary for a possible future claim.
• Continually inspect and document work on time and material change orders..
Subtask 656 Construction Observation/Inspection
Consultant shall provide quality assurance support to assist the Contractor and check that
it is producing an acceptable product,through a four-phase effort:.
• Work Plan - review contract requirements and detailed work plan with the contractor
for each special and / or major new activity. Highlight special requirements or
constraints, and identify mitigation for anticipated problems.
• Inspection - observe work preparation and work activities to check suitability.
Provide appropriate feedback to Contractor identifying non-conforming work, and
needed modifications.
• Follow-up Inspections-observe the ongoing construction activity,providing feedback
on suitability of the work, and documenting contractor's progress.
• Minimum of five (5) each daily construction progress photographs, submitted on CD
monthly.
Specialty Inspection: Consultant shall also provide the following specialty inspection.

• Geotechnical observation of excavations to check if exposed conditions are consistent
with the design basis(four— 1 day trips);
• Special coating inspections by NACE-certified inspectors to check coatings being
applied to field-welded steel tanks (see attached scope);
• Third party inspection review of Contractor's welding inspection of tanks as specified
by the contract documents (see attached scope).
• Special structural inspections for compliance with Building Code requirements on
critical elements.
• Monitor the Actiflo System performance testing, and review the test reports for
compliance with contract requirements.
Work By City's Testing Laboratory:
• Materials testing as specified in Section 01400 of the contract documents (i.e., in-
place field density of earthwork, asphalt, etc.)
Subtask 657 Post-Construction Support
The post-construction support provides for project wrap-up and final documentation
including the following tasks:
Final Inspections. At Substantial Completion, Consultant shall develop a punch list of
items to be completed or corrected by the contractor before the work is accepted for Final
Completion. Consultant shall maintain and update the punchlist, and perform final
inspection with the Contractor and City.
Record Drawings and Other Documents. Consultant shall collect the contractor's Record
Drawings, field staff will review the markups, and forward them to the office engineering
team for preparation of the "Conformed to Construction Records" drawings under Task
640.
Submittals. Consultant shall assemble the submittal files and logs and deliver them to the
City.
Demobilize. Consultant shall assemble all project files, transfer them to the City, and
remove any hardware or furnishings that were provided by Consultant.
Task 660 — Plant Control System Configuration Services
All configuration services work will utilize Proficy HMUSCADA iFIX 3.5 (iFIX),
iHistorian, and InfoAgent. The City will provide Consultant with Proficy HMI/SCADA
iFIX 3.5, InfoAgent, and iHistorian software for use during development.

In addition, through its general construction contract, the City will furnish the services of
Bristol Babcock to provide RTU processor upgrades, RTU programming, and network
and plant control system start-up and testing assistance. These services are specified in
Section 13533 of the construction contract documents. Bristol Babcock shall perform its
work according to the time constraints specified in Section 01010 and according to the
control system start-up sequence set forth in Sections 01010 and 01650. Section 13550
includes control descriptions describing equipment functions that the Bristol Babcock
engineer shall follow when the RTU's are programmed.
Also through its general construction contract, the City will furnish the services of I.
Kruger, Inc. (for Actiflo) to provide iFix graphics screens for the Actiflo system. The
Consultant will import the Actiflo overview screens into the plant SCADA system.

The Consultant will advise the City's IT department on computer hardware requirements
and software that will be purchased by the City.
Subtask 662—Pre-Construction and Standards and Conventions Meetings
As a portion of the pre-construction meeting, the Consultant will discuss the SCADA
Configuration Work and necessary coordination with the City and the Contractor. The
following topics will be covered at the pre-construction meeting (Consultant I&C staff'
will participate by conference call):

Consultant will conduct a conference call to discuss the Configuration Standards and
Conventions. The Consultant will update the City's existing Standards.And Conventions
Document, in advance of the call, to support the new iFIX HMI system_including the
followingitems:

Tag Names. Tag Names for database points will be an alphanumeric format and will
match the existing naming format
Graphic Display Conventions. Graphic display conventions will be reviewed.
Conventions will address navigation buttons, control graphics, pop-up displays, and
alarm summary. Type, color, and size of devices and flow lines and the presentation
of other information on graphic displays will be addressed to ensure similar
appearance for similar applications. . Colors for dynamic information, static
information,trends, and Alarm/Event displays will also be reviewed.
Control Standards. The consultant will discuss the programming descriptions in the
Contract Documents to ensure all parties are aware of the Work.
Report Formats. Report Formats will be reviewed. Consultant will develop draft
report formats and submit to the City for review. Report development will use
standard software provided by the City including Intellution iHistorian database and
Microsoft Excel.
Comments will be incorporated into a final Control System Standards and Conventions
Document. A final version of the Standards and Conventions Document will be included
in the final documentation submitted by Consultant.
Subtask 663—Develop Initial Programming
The Consultant will set up (stage)programming hardware and software, purchased by the
City for the project, at the Consultant's office. Hardware and software shall include one
operator workstation/server, one iflistorian workstation/server, Proficy HMI/SCADA
iFIX 3.5 software, InfoAgent software, and iHistorian software. All hardware will be
shipped to the Consultant's Kansas City office by the City. The cost of hardware
shipment is included in this work, paid for by Consultant. The staged hardware will be
used for creation of the SCADA programs.
Prior to production of HMI graphic screens, Consultant will develop initial graphics
providing the City with an opportunity to provide comments on example graphic screens.
The Graphic screens will be based on the Configuration Standards and Conventions
Document The'Consultant will provide the example screens to the City for review.
After.approximately a one week review period, the Consultant will meet with the City via
teleconference to discuss the initial programming and obtain comments. Initial
programming documents that will be reviewed by the City include the following:

• .Color graphic printout of the plant overview screen, one chemical system screen, and
one filter screen.
• Color graphic printout of the SCADA system navigation menu.
• Color graphic printout of one typical trend screen.
Subtask 664—Develop Final HMI Programming
Consultant shall develop new operator control and monitoring displays for the Operator
Workstations. The Operator Workstations will be programmed to control the plant
according to the existing and new control descriptions listed in the Contractor's
Construction Documents. After the Operator Workstation graphic displays are
developed, the Consultant will conduct a quality assurance review of the work and
prepare documents for review by the City. After a conference call review of the Operator
Workstation graphic displays with the City, the Consultant will incorporate the City's
comments and develop the final Workstation displays.
Subtask 665—RTU & HMI Loop Checkout Test Programs
Consultant will work with Bristol Babcock to prepare and develop wiring loop checkout
Programs for the Contractor's use in checkout of wiring to the RTUs. The Loop
Checkout Application will allow the construction contractor / electrical subcontractor to
trip signals to the new pump station RTU and verify the signals operation at an Operator
Workstation. The Bristol Babcock RTU programs will consist of the minimum
programming to allow signals to pass from the field through the RTU and display on the

Subtask 671—Attend Factory Acceptance Test
The Consultant will attend the factory acceptance testing at the Bristol Babcock factory to
verify and witness operation of control system communications and ability to transfer
data Wiring of each 1/0 point in the control panel will be verified. The Consultant will
generate a memorandum summarizing the results of the factory acceptance test. This task
includes all costs for one 3-day site visit to the control system supplier's facility.
Subtask 672–Pre-Startup Wiring Loop Checkout
Consultant will witness RTU wiring loop checkout testing as specified in the "Start-up
and Testing" and"Plant Control System"sections of the construction contract documents.
Consultant will verify the wiring is operational prior to the Transfer Pump Station Start-
up. Up to 32 hours and 1 trip have been included for witnessing RTU loop checkout.
Subtask 673 –Plant Control System Startup Tests
After the Contractor's field supervisor has completed the System Check and Pre-Startup
testing required by the "Start-up and Testing" section of the construction contract
documents, the Consultant will provide the following on site startup assistance:
1. Verify Ethernet & RTU Control System Upgrade Installation. After the Contractor has
completed the Field Upgrade of RTUs, converted the existing RTU programs to the latest
Version of Accol workbench software, installed the new SCADA system equipment, and
installed and tested the control system Ethernet network, the Consultant will verify
control system equipment installation and communications status. The Consultant will
prepare a statement of deficiency for the Contractor for any control system installation
problems or communication errors. This task includes up to 3 days of on-site services
and 1 trip.
2. GE Fanuc Proficy-iFIX System Start-up. After verifying proper operation of the
Ethernet & RTU Control System Upgrade installation, the Consultant will commission
the Proficy-iFIX system for the existing processes displayed on the existing Genesis HIM
system. The City plant operator(s) will trip all existing signals to the control system to
verify proper operation of the new Proficy-iFIX HMI system. If deficiencies in the
contractor's work are found during the operator workstation debugging, the Consultant
will provide a statement of deficiency to the Contractor for resolution. The deficiency
statement may include items regarding the control system installation and
communication.
This task includes up to two 12-calendar day site visits. The Consultant will notify the
City of significant changes in the Contractor's schedule or completion of work that will
impact costs for the debug operator workstation programming activity.

At the conclusion of this start-up, training will be provided to the City's Operations Staff.
The Consultant will provide two separate two hour training sessions (one for the morning
operation shift and one for the evening operation shift). The training class will be
conducted on the installed control system and will familiarize/demonstrate operation of
new systems for the City's personnel. This task includes a training outline agenda and
hands-on interaction with the installed control system by the City's staff. Customized,
detailed training manuals are not included in this task, but may be provided as a
supplemental service.
3. Genesis System Disabled. After Proficy-iFIX system and Ethernet network are
determined to be fully operational, Engineer will disable the Genesis system and System
Supplier will dispose of the replaced hardware.
4. Transfer Pump Station Start-up. Transfer pump station start-up shall be performed
after the Ethernet network is brought on-line and the wiring loop checkout has been
successfully completed for Control System Processor RTU-8, CSP-8. Consultant shall
verify proper operation of the contractor's RTU programming and demonstrate control of
the pumps.. If deficiencies in the Contractor's work are found during the Operator
Workstation debugging, the Consultant will provide a statement of deficiency to the
contractor for resolution. The deficiency statement may include items regarding the
control system installation and communication.
This task includes up to two 2-calendar day site visits. The Consultant will notify the
City of significant changes in the contractor's schedule or completion of work that will
impact costs for the Debug Operator Workstation Programming task. At the conclusion
of this start-up, training will be provided to the Owner's Operation Staff. The Consultant
will provide two separate one hour training sessions (one for the morning operation shift
and one for the evening operation shift). The training class will be conducted on the
installed control system and will familiarize/demonstrate operation of new systems for the
Owner's personnel. This task includes a training outline agenda and hands-on interaction
with the installed control system by the Owner's staff. Customized, detailed training

5. Startup Testing of City-Furnished (Actiflo) Equipment. After start-up services are
provided by the contractor and Kruger on the Actiflo system, as described in contract
documents, the Consultant will verify operation of the Proficy-iFIX screens for the
Actiflo Overview Screens. Each Actiflo Train will be started separately. This task
includes two separate one-day startup trips .
6. Verify History System and Install Reports. Debug the historical storage system,
Intellution iHistorian. The Consultant will install and debug the reports developed under
this scope of work.

After the system is fully operational and accepted by the City, the Consultant will deliver
final documentation.- Electronic copies will be provided on CD media and hard copies

The City will monitor the control system during the Site Acceptance Test and will keep a
log of any problems that occur during the test. The Consultant will meet with the City to
review the log. Entries in the log will be categorized as items to be corrected by the
Consultant, items to be corrected by the construction contractor or supplemental
programming items not included in the scope of services. This task includes 1 site visit
with a maximum of 5 calendar days. The Consultant will meet with the City to resolve
the control system configuration punch list items included in the scope of work. Owner
acceptance of the completed punch list; for items included in the configuration scope of
work,will indicate final acceptance of the plant control system programming.

COMPENSATION
Payment terms shall be as called for in the original contract. Consultant's current Billing
