HomeMy WebLinkAbout09-01-2016 First Extension of Agreement - FreshBuzz MediaFIRST EXTENSION OF AGREEMENT THIS FIRST EXTENSION OF AGREEMENT is made and entered into in the City of San Luis Obispo on this = day of Sgf+9 m , -Z.by and between the CITY OF SAN LUIS OBISPO, a municipal corporation, hereinafter referred to as City, and FreshBuzz Media, hereinafter referred to as Contractor. WITNESSETH: WHEREAS, on July 27, 2015, the City entered into an Agreement with Contractor for promotional services (the "Agreement"). The term of the Agreement was for one year terminating on June 30, 2016. The Agreement allowed for three one-year extensions by mutual consent of the parties; and WHEREAS, the Contractor has performed the terms and conditions of the Agreement to the City's and PCC's satisfaction; and WHEREAS, on April 13, 2016 the PCC received a presentation from Contractor regarding a first extension of the Agreement for fiscal year 2016-17 based on the PCC's request; and WHEREAS, the PCC recommended extending the Agreement for a one-year term as permissible under the initial Agreement terms; and WHEREAS, the City considered the PCC's recommendation and approved the Agreement extension. NOW THEREFORE, in consideration of their mutual promises, obligations, and covenants hereinafter contained, the parties hereto agree as follows: I. The term of the Agreement is hereby extended for an additional one year, terminating on June 30, 2017 unless further extended by mutual agreement of both parties. 2. City will pay and Contractor shall receive compensation in a total sum not to exceed $30,000. 3. Contractor's proposal dated May 23, 2016 is hereby incorporated in and made a part of this Agreement at Exhibit B. 4. All other terms and conditions in the Agreement shall remain in full force and effect and are incorporated herein by this reference.
