FOR A VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, Brian J.
Spaulding and Ariana Spaulding, Trustees of the Spaulding Family Trust dated July 12, 2012
(collectively "OWNERS") hereby OFFER to the City of San Luis Obispo, a Municipal
Corporation and charter City, as OFFEREE, an irrevocable easement for sewer purposes upon,
over, under and across a portion of certain property described as Lot 121 of the Subdivision of the
San Luis Obispo Suburban Tract, in the City of San Luis Obispo, County of San Luis Obispo, State
of California, according to map recorded in Book 1, Page 92 of Record of Surveys in the Office of
the County Recorder of said County described as follows:

hereto, for graphical depiction.

Beneficiary's Consent to Irrevocable and Perpetual Offer of Dedication
David Alan Smee, Trustee of the David Alan Smee Living Trust dated February 24, 2004;
and Douglas D. Smee and Nancy L. Smee, as trustees of the Douglas D. Smee and
Nancy L. Smee Living Trust dated August 6, 1996 are the Beneficiaries under Deed of
Trust dated June 6, 2008, executed by Brian J. Spaulding and Ariana M. Spaulding,
recorded June 12, 2008, as Instrument Number 2008-030625 of Official Records, in the
Office of the County Recorder of the County of San Luis Obispo, State of California. The
Deed of Trust encumbers the real property described in the attached "Irrevocable and
Perpetual Offer of Dedication " (The "Offer"). As the Beneficiary of said Deed of Trust,
Beneficiary hereby consents to the execution and recordation of the Offer, and agrees that
upon recordation of said Offer, Trustee's and Beneficiary's interests in said real property
shall be subordinate to the Offer.
