GRANT AND AMENDMENT OF EASEMENT AGREEMENT
THIS GRANT AND AMENDMENT OF EASEMENT AGREEMENT (the "Agreement ") is made and
entered into on j 3 l k , 2018 and effective as of the date set forth in Section 7.7, below (the
"Effective Date"J, by and between WESTPAC HIGUERA, LLC, a Delaware limited liability company
("Company"); and the CITY OF SAN LUIS OBISPO, a municipal corporation and charter city (the
with reference to the following facts:
RECITALS:
A. Company is the owner of that certain parcel of real property commonly identified as 736
Higuera Street, San Luis Obispo, California, the legal description of which is attached hereto at Exhibit A
and incorporated herein by this reference (the "Company's Parcel").
B. City and Elsie P. Muzio, a prior owner of the Company's Parcel, entered into an Agreement
executed March 24, 1969 and recorded in the Official Records of San Luis Obispo County, California on
April 15, 1969 as Document Number 7734 in Volume 1514, pages 175 through and including page 178
(the " Muzio Agreement"). Under the terms of the Muzio Agreement, Elsie P. Muzio granted to the City an
eight -foot wide easement for public walkway or pedestrian mall purposes and for installation of lighting
and pedestrian walkway improvements over a portion of the Company's Parcel (the "Muzio Walkway
Easement Area") and an easement for landscaping purposes over a portion of the Company's Parcel (the
"Muzio Landscape Easement Area" and, together with the Muzio Landscape Easement Area, the "Muzio
Easement Agreement Areas").

C. Company is seeking to construct certain improvements to the Company's Parcel, including
the construction of an approximately 985 square foot deck within portions of the Muzio Easement
Agreement Areas (the "Construction_ Improvements").
D. The City's approval of a project to construct the Construction Improvements included
conditions that the Company relocate and expand the Muzio Walkway Easement Area and Muzio
Landscape Easement Area and include a public viewing area with access that meets California Building
Code and Americans with Disability Act ("ADA") standards as approved to the satisfaction of the
Community Development and Public Works Directors, and City Attorney of the City (the "Permit
Conditions").
F. Company and the City have agreed to execute this Agreement in order to comply with the
Permit Conditions, amend the Muzio Agreement, and memorialize the agreements of the Company and the
City set forth below.
AGREEMENTS:
Now, THEREFORE, the parties hereto, intending to be legally bound, do hereby agree as follows:
1. TERM OF AGREEMENT. This Agreement shall commence on the Effective Date and shall remain
in effect in perpetuity (the "Term") unless terminated as provided herein.
2. AMENDMENT OF MUZIO AGREEMENT. Notwithstanding any provision of the Muzio Agreement
to the contrary:
2.1 MUZIO WALKWAY EASEMENT. The Muzio Walkway Easement Area located on the
Company's Parcel is hereby relocated and is henceforth legally described as set forth in Exhibit B hereto
and shown graphically in Exhibit B-1 attached hereto
2.2 MUZIO LANDSCAPE EASEMENT. The Muzio Landscape Easement Area located on the
Company's Parcel is hereby relocated and is henceforth legally described as set forth in Exhibit C hereto
and shown graphically in Exhibit C-1 attached hereto.
2.3 USE OF MUZIO LANDSCAPE EASEMENT. The City agrees that Company may locate a
portion of the Construction Improvements constructed pursuant to Building Permit # BLDG -0508-2017
issued by the City of San Luis Obispo and consisting of a deck (the location of such deck, the "Deck Area")
on the portion of the Muzio Landscape Easement Area that is graphically shown in Exhibit B-1 hereto.
The City and the Company agree that (a) the rights granted to the City and the public with respect to the
Muzio Landscape Easement Area under the Muzio Agreement and this Agreement are non-exclusive, (b)
the Construction Improvements overlying the Muzio Landscape Easement Area in the Deck Area are
expressly permitted, and (c) the City's use of the Muzio Landscape Easement Area as permitted by the
Muzio Agreement shall not unreasonably interfere with the use of the Deck Area by the Company, its
guests, and its invitees, subject to the terms and conditions hereof. Company shall be responsible for
maintaining that portion of the Landscape Easement Area under the Deck Area, including removal of trash
and weeds. In the event Company fails to maintain that portion of the Landscape Easement Area under the
Deck Area, then City shall have the right to perform such work at Company's sole cost and expense,
provided City has first notified Company in writing of its intention to perform said work and Company fails
to perform such work within ten (10) days of the date of such notice.
3. GRANT OF PUBLIC VIEWING AREA EASEMENT. Company grants City a non-exclusive easement
on the Company's Parcel over a portion of the Deck Area for a public viewing area (the "Public Viewing

Area Easement"), legally described in Exhibit D hereto and shown graphically in Exhibit D-1 attached
hereto. The easement rights granted to City herein shall be paramount and superior to the rights of Company
and all other persons and entities. The Public Viewing Area Easement shall meet California Building Code
and ADA standards and shall remain free of all obstructions.
4. MAINTENANCE OF PUBLIC VIEWING AREA EASEMENT AND PUBLIC ACCESS. The Company
shall at its expense maintain, repair and replace the Construction Improvements in the Deck Area and in
the Public Viewing Area Easement so that the Construction Improvements are in good and clean condition
at all times. In the event Company fails to maintain the Construction Improvements within the Public
Viewing Area Easement in good and clean condition, then City shall have the right to perform such work
at Company's sole cost and expense, provided City has first notified Company in writing of its intention to
perform said work and Company fails to perform such work within ten (10) days of the date of such notice.
5. INDEMNIFICATION OF CITY. To the fullest extent permitted by law, Company shall and hereby
does indemnify, defend and hold City and its officials, agents or officers and employees harmless from all
demands, claims, actions, causes of action, assessments, expenses, costs, damages, losses, and liabilities
(including reasonable attorney's fees and costs) actually incurred, asserted, and/or suffered (collectively,
the "Losses"), whether to persons or property, arising directly from Company's installation and
maintenance, of the Construction Improvements and Landscape Easement and use thereof by Company and
Company's employees, agents, contractors, guests, licensees, or invitees; provided, in all events, the
aforementioned indemnification shall not apply if and to the extent that the Losses relate to, or arise as the
result of the proven sole negligence, gross negligence, or willful misconduct of City or any of City's
officials, agents or officers and employees.
6. INSURANCE. For the Term of this Agreement, Company shall obtain and keep in full force and
effect at all times liability insurance covering liability for personal injury, death, or property damage, arising
out of Company's use or maintenance of the Landscape Easement for at least One Million Dollars
($1,000,000) combined single limit per occurrence for personal injury, death and property damage.
Company shall deliver to City an insurance certificate evidencing the existence of such insurance policy,
which must name City as an additional insured.
7. MISCELLANEOUS
7.1 ENTIRE AGREEMENT; AMENDMENTS. This Agreement (a) contains the entire agreement
between the parties concerning the subject matter hereof, amends the Muzio Agreement to the extent
provided in the foregoing Sections 1 through 4 hereof, and supersedes and replaces all other prior and
contemporaneous understandings, whether oral or written, concerning such subject matter, and (b) may not
be modified or amended, except by a written instrument that is both (i) executed and acknowledged by the
party sought to be charged by such amendment, and (ii) recorded in the Official Records of San Luis Obispo
County, California.
7.2 RIGHTS OF BENEFICIARIES AND MORTGAGEES. This Agreement shall not affect the
rights of the beneficiary of any mortgage or deed of trust made in good faith and for value and recorded
prior to the recordation of this Agreement or any subsequent amendment of this Agreement, unless such
beneficiary shall approve the same in writing. No breach of any provisions of this Agreement shall
invalidate the lien of any mortgage or deed of trust made in good faith and for value, but all of the provisions
of this Agreement shall be binding upon any owner whose title is derived through a trustee's sale,
foreclosure proceedings, or any deed in lieu of foreclosure. If any lender acquires title to a portion of the
Company's Parcel through judicial or other foreclosure proceedings or by deed in lieu of foreclosure, then
such lender shall not be liable for delinquent maintenance costs and expenses accruing prior to the date of
such acquisition of title.
7.3 BINDING EFFECT. This Agreement shall run with the land and shall inure to the benefit
of and be binding upon each party hereto, as well as its respective grantees, tenants, successors, and assigns
pursuant to California Civil Code section 1468. Any purchaser of the Company's Parcel or any portion
thereof, by acceptance of a deed therefor, whether from any party hereto or any subsequent owner of real
property, or by the signing of a contract or agreement to purchase the same, shall, by acceptance of such
deed or by the signing of such contract or agreement, be deemed to have consented to and accepted the
covenants, conditions, restrictions, and limitations set forth in this Agreement.
7.4 GOVERNING LAW. This Agreement shall be governed by and construed in accordance
with the internal laws of the State of California, without regard to the conflict of laws principles thereunder.
7.5 RELATIONSHIP OF PARTIES. The parties hereto expressly understand and agree the
parties are acting hereunder as independent contractors and neither party will be the partner, joint venturer,
fiduciary, or agent of the other, and under no circumstances will the personnel of one party be deemed
employees of the other party for any purpose. Neither party has the power or authority as agent, employee
or in any other capacity to represent, act for, bind or otherwise create or assume any obligation on behalf
of the other party for any purpose whatsoever.
7.6 WAIVER AND MODIFICATIONS. All waivers hereunder must be in writing. Any waiver
of or failure to enforce a provision of this Agreement on one occasion will not be deemed a waiver of any
other provision or such provision on any other occasion.
7.7 EFFECTIVE DATE. The effective date of this Agreement shall be the date on which it is
recorded in the Official Records of San Luis Obispo County, California.
7.8 ATTORNEYS' FEES. In the event of any action between the Company and the City for a
breach of or to enforce or construe any provision or right hereunder, the non -prevailing party in such action
shall pay to the prevailing party all costs and expenses, expressly including, but not limited to, reasonable
attorney fees and costs incurred by the successful party in connection with such action, including without
limitation all fees and costs incurred on any appeal from such action or proceeding.
