The undersigned, beneficiary under that certain DEED OF TRUST, SECURITY AGREEMENT,
ASSIGNMENT OF RENTS AND FINANCING STATEMENT dated July 22, 2019, between MI SAN
LUIS RANCH, LLC, a Delaware limited liability company ("Owner"), whose mailing address is POST
OFFICE BOX 3460, SAN LUIS OBISPO, CA 93403-3460; and GRANITE CONSTRUCTION
COMPANY, a California corporation (`Beneficiary"), whose mailing address is POST OFFICE BOX
50085, WATSONVILLE, CA 95077-5085 for Real Property located at 1035 MADONNA ROAD, SAN
LUIS OBISPO, CALIFORNIA, recorded September 5, 2019, as Document No. 2019-037382, in the
Official Records of the County of San Luis Obispo, State of California, does hereby consent to each and all
of the terms and provisions of the DECLARATION OF COVENANTS, CONDITIONS AND
RESTRICTIONS AND RESERVATIONS OF EASEMENTS FOR THE ORCHARD AT SAN LUIS
RANCH previously recorded Document No. 2020—a&47&3 -or -recordnI
, and does hereby subordinate the interests of its DEED OF TRUST to the entire
effect of that DECLARATION OF COVENANTS, CONDITIONS AND RESTRICTIONS AND
