IRREVOCABLE AND PERPETUAL
OFFER OF DEDICATION
(BIOLOGICAL OPEN SPACE EASEMENT DEED AND AGREEMENT)
FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, ECHO
ROCK LLC, a California limited liability company as to an undivided 3.104% interest,
FRANMAR COMPANY, a California limited partnership as to an undivided 17.607% interest,
JRBM INVESTMENTS II, LLC, a California limited liability company as to an undivided
23.852% interest, LOYOLA PROPERTIES I, L.P., a California limited partnership as to an
undivided 5.663% interest, P135 HOLDINGS II, LLC, a Delaware limited liability company as to
an undivided 14.401% interest, KERN LAND PARTNERS, LLC, a Delaware limited liability
company as to an undivided 14.763% interest, PABLO ECHEVERRIA TRACY, LLC, a
California limited liability company as to an undivided 3.642% interest, FROOM RANCH
INVESTMENTS 1, LLC, a Delaware limited liability company as to an undivided 8.484% interest,
and FROOM RANCH INVESTMENTS 11, LLC, a Delaware limited liability company as to an
undivided 8.484% interest, as tenants in common, collectively as "Offeror", hereby offers to the
CITY OF SAN LUIS OBISPO, a municipal corporation and charter city of the State of California
("City"), as "Offeree", an irrevocable and perpetual offer of dedication ("Offer of Dedication") of
an easement for biological and open space conservation purposes as set forth in and on the terms
and conditions of that certain Biological Open Space Easement Deed and Agreement ("Easement
Agreement") which is attached hereto as Exhibit I, in, to, over and across that certain "Easement
Area" as described and depicted in said Easement Agreement (the "Easement").
The City's acceptance of this Offer of Dedication is subject to Offeror's completion of
those certain improvements on the aforementioned Easement Area which are described in the
attached Easement Agreement and defined therein as the "Phase 1 Public Improvements", and on
Offeror's maintenance of the Easement Area in a good and orderly manner consistent with the
terms and conditions of the Easement Agreement, and may be accepted by the City at any time
