That this corporation sell and convey to City of San
Luis Obispo, a municipal corporation of the State of California,
all that certain real property situate in the City of San Luis
Obispo, County of San Luis Obispo, State of California, particu-
larly described as follows, to -wit:
Lots 18 and 19 in Block 186 as laid.dmm and
delineated on the official map of the Ingleside
Homestead Tract, surveyed by Geo. Story, C. E.
October 1887, a copy of which map is on file in
the office of the County Recorder of the County
of San Luis Obispo, to which nap reference is
hereby made*
for the sum of $1,500.00 lawful money of the ULted States of
America, payable as follows: $500.00 in cash and the balance
of $1,000.00 on or before January 15th, 1940 with interest thereon
at the rate of six per cent (6 %) per annum payable quarterly
--from and after the due date thereof until paid, the payment of
which balance shall be evidenced by a contract of sale.
That A. T. Wilson as president and A. A. Dresser as
assistant secretary of this corporation be and they are hereby
authorized and directed to execute on behalf of this corporation
such contract of sale'of said real property and a good and suf-
ficient deed conveying said real property to the purchaser
thereof upon the completion of said contract and such other docu-
ments as may be necessary and effectual to consummate said
transaction.

A RESOLUTION ACCEPTING A DEED FROM CMTRAL
SUPPLY COMP&NY.
BE IT 'PEPSOLVED by the Council of the City of ' Saa Luis
Obispo as follows:
That that certain deed made and executed by Central Supply
Company, a corporation,and granting Unto the City of San Luis Obispo,
the real property situated in the City of San Luis Obispo, County of
San Luis Obispo.-State of California, described as follows:
Lots 18 and 19 .i3 Block 156 as laid down and delineated
on the official map of the Ingleside Homestead Tract, survey-
ed by Geo. Story, C. E. October 1887, a copy of which map is
on file in the office of the County Recorder of the County of
San Luis Obispo, to which map reference is hereby made,
be, and the sarae is hereby accepted.
The City Clerk is hereby directed to cause said deed to be
recorded in the office of the County Recorder of the County of San
Luis Obispo.

THIS AGREEMENT made this /3 9day of September; 1939, - by
and between CENTRAL SUPPLY COMPANY, a corporation, party of the
first part, and CITY OF SAN LUIS OBISPO, a municipal corporation
of the State of California, party of the second part,
W I.^1 N E S S E T H:
That.the party of the first part, in consideration of
the covenants and agreements on the part of the party of the second
part hereinafter contained, agrees to sell and convey unto the
party of the second part, and the party of the second part agrees,
to buy all that real property situate in the City of San Luis
Obispo, County of San Luis Obispo., State of California, described
as- follows:
Lots 18 and 19 in Block 186 as laid down and
delineated on the official map of the Ingleside
Homestead Tract, surveyed by Geo. Story, C. E.
October 1887, a copy of which map is on file in
the office of the County Recorder of the County
of- San.Luis Obispo, to which .map reference is -
hereby made.
for the sum of One Thousand Five Hundred and No /100 ($1500.00)
Dollars, lawful money of the United States; and the party of the
second part, in consideration of the premises, agrees to pay to
the party of the first part said sum of One Thousand Five Hundred
and No /100 ($1500.00) Dollars, at the times and in the manner
following, to -wit: Five Hundred and No /100 ($500.00) Dollars on
or before the 12th day.of September, 1939, and One Thousand and
No /100 ($1000.00) Dollars on or before the 15th day of January, 1940.
No interest shall be payable on either of said sums if
the same are paid when due, but interest shall accrue and be payable
thereon from the due date, until paid, at the rate of Six per cent
(6 %) per annum, payable quarterly.
The party of the second part agrees to pay all city,
county and municipal taxes and assessments of whatsoever nature
which are or may become due on the property above described.
Party of the second part agrees to secure a policy of
title insurance showing the existence of this contract and to pay
the cost thereof; and party of the second part agrees to pay all
expense incidental to the transfer of deed, except the cost of
preparing deed.
In the event of a failure to comply with the terms here-
of by the party of the second part, the party of the first part
shall be released from all obligation in law or equity to convey
said property, and the party.of the second part shall forfeit all
right thereto and all moneys theretofore paid hereunder shall be
treated as liquidated damages for the non - fulfillment of this con-
tract.
And the party of the first part, on receiving such pay-
ment, at the times and in the manner above mentioned, agrees to
execute and deliver to the party of the second part, or to its
assigns, a good and sufficient deed conveying said property free
and clear of all liens and incumbrances made, done, or suffered
by the party of the first part.
And it is understood that the stipulations aforesaid
are to be applied to and bind the successors and assigns of the
respective parties. Time is of the essence of this agreement.
IN WITNESS WHEREOF, the parties hereunto have caused
this agreement to be executed in duplicate by their respective
officers thereunto duly authorized, the day and year first above
written.
