DALIDIO, and THELMA PEROZZI, a married woman, as Tenants -in- Common (hereinafter collectively referred to as "OWNERS "), and WILLIAM L. BIRD and MARILYN L. BIRD, husband and wife (hereinafter collectively referred to as "BIRD "), and SAN LUIS BONIFACE AFFILIATES, a California limited partnership (hereinafter "SAN LUIS BONIFACE"), and the CITY OF SAN LUIS OBISPO, a California municipal corpora- tion (hereinafter "the CITY "). RECITALS WHEREAS, OWNERS own that certain parcel of real .property and right -of -way associated therewith, located in the City of San Luis Obispo, County of.San Luis Obispo, California, and more particularly described in Exhibit "A" attached hereto and incorporated by this reference; WHEREAS, BIRD is" the owner of that certain real property and SAN LUIS BONIFACE has an interest in a portion of said property located in part along the northeasterly boundary of OWNERS' real property described in Exhibit "A ". The properties owned by BIRD and SAN LUIS BONIFACE are more particularly described in Exhibit "B" attached hereto and incorporated by this reference; • • WHEREAS, the right -of -way associated with the property of OWNERS set forth in Exhibit "A" has been partially improved and such improved portion is more commonly known as "Zozobra Lane ". This improved right -of -way is indicated on the diagram attached hereto as Exhibit "C ", and such exhibit is incorporated herein by this reference. Zozobra Lane is indicated on Exhibit "C ", as it currently exists in relation to the above - described properties of BIRD, SAN LUIS BONIFACE and OWNERS. WHEREAS, BIRD and SAN LUIS BONIFACE are currently in the process of developing the real property set forth in Exhibit "B ". In connection with such development, it shall be necessary for BIRD and SAN. LUIS BONIFACE to further improve Zozobra Lane as indicated on Exhibit "C ". The improvements of Zozobra Lane to be undertaken by BIRD and SAN LUIS BONIFACE are indicated on Exhibit "C" as an area of cross - hatched lines.. In order for BIRD and.SAN LUIS BONIFACE to undertake the above - described improvements of Zozobra Lane, it is first necessary for OWNERS to dedicate their existing ownership rights in the Exhibit "A" property to the CITY for roadway purposes. OWNERS have agreed to do this in exchange for the mutual covenants contained herein. NOW, THEREFORE, in consideration of the promises, respective representations, covenants and agreements hereafter contained, and for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties jointly and severally agree as follows: -2- s AGREEMENT 0 1. OWNERS hereby agree to dedicate for roadway purposes all ownership rights they maintain now, or may maintain in the future, in that certain property, consisting of both improved and unimproved portions of real property, located in the City of San Luis Obispo, California, and indicated on Exhibit "A" attached hereto. OWNERS agree to dedicate said right -of -way for roadway purposes to the CITY contemporaneously with the execution of this Agreement and to execute all documents which may be necessary to complete this transfer. 2. BIRD agrees to use his best efforts towards having the CITY rename Zozobra Lane to "Dalidio Drive ", at such time as the subject right -of -way has been dedicated to the CITY. BIRD represents that he has had.prior discussions with the CITY concerning this matter and that no opposition to this proposal has been encountered to date. 3. If OWNERS shall develop (as hereafter defined) its real property described in Exhibit "D" within ten (10) years from the date of this Agreement, BIRD agrees to pay for fifty percent (50 %) of all "necessary costs" needed to install a thirty two foot wide roadway on OWNERS' property between points "A" and "B" as shown on Exhibit "E attached hereto and incorporated herein. BIRD'S obligation to share in the costs of any such roadway is expressly conditioned upon the requirement that any roadway improvements which -3- [7 BIRD shares the cost of shall run parallel and immediately adjacent to the common and contiguous boundary of the real property owned by BIRD and SAN.LUIS BONIFACE and described in Exhibit "B" and OWNERS' real property described in Exhibit "D ", such common boundary being indicated on Exhibit "E" attached hereto and incorporated by this reference. Exhibit "F" attached hereto and incorporated herein by reference shows Zozobra Lane as it will look after BIRD has completed the street.improvements required for the development of the property owned by BIRD. a. For purposes of this Agreement, the term 'develop" shall mean an improvement for commercial, residential, industrial or governmental use of OWNERS' property described in Exhibit "D ", contiguous to BIRD and SAN LUIS BONIFACE's property described in Exhibit "B ", and consisting of a minimum parcel size of five (5) acres. Any such improvement shall be "developed" only at such time as approval of any and all development plans has been obtained from the CITY, all necessary permits have been issued and construction of the improve- ments thereon is substantially complete. It is the intention of the parties that it is not necessary for OWNERS to complete construction of all structures on their property in order for it to be "developed ", however it is necessary for there to be more than a development plan. There must be on -site improvements including roads, curbs, gutters, walks, utilities and -4- the like actually installed on OWNERS' property in order for the property to be considered "developed." The term "develop" shall exclude, however, any improvement of the real property described in Exhibit. "D ", by or on behalf of BIRD or SAN LUIS BONIFACE, for purposes of creating additional parking for the improvements to be located on BIRD's or SAN LUIS BONIFACE's real property. b. For purposes of this Paragraph 3, "necessary costs" refers to those costs to be shared.equally by BIRD and OWNERS and shall be limited to those expenses required for the .installation of curbs, gutters, pavement and outside walks for the agreed length of the subject - thirty two foot wide roadway as well as costs involved in spanning the drainage ditch with the new roadway on OWNERS' property. C. The parties agree that the CITY maintains a beneficial interest in the subject matter of this Agreement. Further, the parties agree that the CITY shall have the right, but not the obligation, to enforce any or all of the provisions of this Agreement, as they may relate to the preservation of public rights -of -way which may be improved or constructed pursuant to the terms of this Agreement, and indicated on Exhibits "C" and "E" hereto. 4. BIRD shall pay for fifty percent (50%) of all necessary costs of improvement required to be paid by OWNERS for the installation of an entrance and exit ramp from the southbound lanes of U.S. Highway 101, to the real property -5- of OWNERS described in Exhibit "D" as well as fifty percent (50 %) of the cost of any roadway leading from said ramp in a reasonably direct manner to the BIRD property if, and only if, such ramp and roadway.is constructed within ten (10) years from the date hereof. Any obligation of BIRD to contribute towards the construction of such a ramp and roadway is shall be further expressly conditioned.upon the fact that any entrance and exit ramp to be constructed shall provide reasonably direct access to BIRD's property and the improvements to be constructed thereon. Nothing in this paragraph shall be construed as obligating OWNERS to construct such a ramp or roadway. This Agreement shall never be construed., expressly or by implication, as obligating OWNERS to grant any easement rights. For example, OWNERS may elect to construct such improvements and not grant any right -of -way or easement to the BIRD/ SAN LUIS BONIFACE property in which case BIRD /SAN LUIS BONIFACE shall not be required to make any of the contributions set forth in this Paragraph 4. 5. In accordance with the Agreement of Limited Partnership of SAN LUIS BONIFACE, SAN LUIS BONIFACE is responsible for a pro rata portion of the cost of certain on and off-site-improvements for the mall facility to be developed by BIRD. The pro rata responsibility maintained by SAN LUIS BONIFACE for such improvements is twenty -one and one -half percent (21.5 %) of the total costs incurred. The right -of- way improvements referred to in Paragraph 3 hereof, and the U. S. Highway 101 entrance and exit ramp and roadway referred to in Paragraph 4 hereof, if constructed, shall be considered mall facility off -site improvements, for which SAN LUIS -6- BONIFACE shall reimburse BIRD twenty -one and one -half percent (21.5 %) of the fifty percent (50 %) share of such improvement costs BIRD may incur hereunder. 6. The parties readily acknowedge the fact that they have entered into this Agreement of their own accord and for legitimate business reasons. Each party warrants that it has in no way coerced or forced the other into reaching the terms of this Agreement or in executing the same, and no representations of any facts to the contrary shall be made to any person or entity. 7. The parties agree that a Memorandum of Agreement may be recorded in the Office of the County Recorder, San Luis Obispo County, California. Such Memorandum shall evidence the rights and obligations created hereunder, and shall be intended to place all.third parties on notice of the same. The parties agree, and the Memorandum of Agreement shall recite the fact, that the obligations herein shall be a covenant running with'the land and shall.bind any successors in interest to BIRD and shall benefit any successors in interest to OWNERS.. 8. The following general provisions shall be applicable.to this Agreement: a. Notice: Any written notice to any of the parties hereof shall be deemed to have been duly given on the date of service, served personally on the party to whom notice is to be given, or on the fifth day after mailing, if mailed to the party to whom notice is to given, by first class or air mail, postage prepaid, and addressed as follows: -7- LJ IF TO OWNERS: c/o Ogle, Gallo and Merzon ** P.O. Governing Law: This Agreement is executed and intended to be performed in the State of California, and the laws of that State shall govern its interpretation and effect. C. Successors: This Agreement shall be binding on and inure to the benefit of the respective successors, assigns, and personal representatives of the parties. d. Construction: The language in all parts of this Agreement shall be construed according to its fair meaning and not strictly for or against any of the parties hereto. e. Agreement and Counterparts: This Agreement, or any amendment hereto, may be executed in multiple counterparts, each of which shall be deemed an original agreement, and all of which shall constitute one.(1) agreement by each of the parties hereto on the dates respectively indicated in the acknowledgements of said parties, notwithstanding that all of the parties are not signatories to the original or the same counterpart. The Agreement shall be effective as of the date first . written above. f. Time: Time is of the essence with respect to this Agreement. g. Additional.Documents: Each party shall perform any further acts and execute and deliver any documents which may be reasonably necessary to carry out the provisions of this Agreement, including, but not limited to, providing acknowledgement before a notary public of any signature heretofore or hereafter made by a party. h. Validity: Should any portion of this Agreement be declared invalid and unenforceable, then such portion shall be deemed to be severable from this Agreement and shall not affect the remainder hereof. i. Pronouns: All pronouns and any variations thereof shall be deemed to refer to the masculine, feminine or neuter, singular or plural, as the identity of the subject person, persons, entity or entities may require. jqp Descriptions: All descr *ions referred to in this Agreement are expressly incorporated herein by reference as if set forth in full, whether or not attached hereto. k. Entire Agreement: This instrument contains the entire agreement of the parties relating to the rights granted and obligations assumed hereunder. Any oral representations or modifications concerning this Agreement shall be of no force or effect, unless contained in a subsequent written modification, signed by the party to be charged. 1. Attorney's Fees: In the event that litigation is commenced to enforce any of the provisions of this Agreement, to.recover damages for breach of any of the provisions of this Agreement, or to obtain declaratory relief in connection with any of the provisions of this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and costs, whether or not such action proceeds to judgment. The prevailing party shall be determined'by either.the officiating judge in the matter or by the presiding judge of the Superior Court of San Luis Obispo County, California.
