AGREEMENT AFFECTING
REAL PROPERTY INTERESTS
THIS AGREEMENT is entered into this 24 day of N ,
1991, by and between the CITY OF SAN LUIS OBISPO (hereinafter
referred to as "CITY") and TERENCE J. DAVIES and PENELOPE L. ,DAVIES
(hereinafter collectively referred to as "DAVIES ").
WHEREAS, on November 22, 1988, CITY entered into a prior and
different Agreement with CROWN .PROPERTIES ( "CROWN "), the then
owners of the property at 647 Higuera Street, described as Space D
of Parcel Map SL 87 -114 (the "property "), which provided that CITY.
would loan CROWN $60,000 in return for an agreement to construct
and rent four (4) apartments (the "apartments ") to Section 8
eligible tenants as may be referred by the CITY's Housing Authori-
ty; and
WHEREAS, CROWN has fully repaid said loan; and
WHEREAS, DAVIES are now the property owners; and
WHEREAS, the obligation to rent the apartments to qualified
tenants remains intact and valid; and
WHEREAS, DAVIES wish to rent the apartments to employees of
the nearby commercial establishment known as "Earthling Bookshop"
and seek minor relief from the provisions of the Agreement which
require occupancy of the apartments by Section 8 eligible tenants;
and
WHEREAS, DAVIES have proposed modifications which meets the
CITY's housing and downtown development objectives primarily by
continuing to maintain housing for qualified lower income people in
the downtown; and.
WHEREAS, DAVIES' proposal has been reviewed and recommended
for approval by the CITY Housing Authority; and

WHEREAS, the CITY Council passed and adopted Resolution No.
6845 (1990 Series) on July 17, 1990, authorizing approval of an
Agreement reflecting the DAVIES' proposed arrangement.
NOW, THEREFORE, the parties hereto agree as follows:
1. DAVIES agree that the following conditions and restric-
tions on the described property shall inure and bind the parties
hereto and their heirs, legatees, devisees, administrators, execu-
tors, successors and assigns:
a. DAVIES may rent any or all of rental units located
on the property to employees of the Earthling Bookshop provided
they meet the criteria of Paragraph 18.
b. DAVIES shall refer all prospective tenants to the
Housing Authority for a determination that they are qualified based
on established income criteria. Tenants shall meet income criteria
of "lower income" households (80% of the County median) as defined
by the U.S. Department. of Housing and Urban Development (HUD).
C. The apartments shall be rented at below market rates
(i.e. at 80% of the. "Fair Market Rates" published by HUD for
various sizes of apartments).
d. DAVIES agree to contact the CITY Housing Authority
(487 Leff Street, P.O. Box 638, San Luis Obispo, CA 93406) prior to
any rental increases to determine if the adjustments are consistent
with the annual adjustment factor published by HUD each year, and
any rental omissions or adjustments shall be nominated with. said
factor.
. e. The housing shall be restricted to .occupancy by
lower income households for a period of fifteen (15) years --
beginning with the execution of this Agreement.
f. The CITY Housing Authority shall conduct an annual
program audit (for a fee paid by DAVIES) to ensure that tenants
have complied. with income screening, to verify income status and to
confirm that appropriate below market rate rents are being charged.
g. DAVIES shall offer each new qualified, prospective
tenant a one -year lease, after which the apartment may be rented on
a month -to -month basis.

h. If Earthling Bookshop employees meeting the criteria
are not available, then DAVIES. shall accept referrals of fully
qualified tenants from the Housing Authority in a manner consistent
with established procedures and practices and this Agreement.
is DAVIES acknowledge that should rents in excess of
those permitted by this Agreement be charged, this will be cause
for appropriate action by CITY, including, but not limited to,
requiring repayment of excess rentals to tenants, seeking an
injunction against any violation of the Agreement, requesting
judicial appointment of a receiver to take over and operate the
property in accordance with the terms of this Agreement, or seeking
such other relief as may be appropriate. The prevailing party in
any such action shall be entitled to reasonable attorney's fees and
costs.
j. The four (4) apartments shall not be rented or
occupied by the owner or any person related to owner by blood,
.adoption, or marriage.
k. This Agreement shall be recorded.

Dear Roger:
As per our telephone conversations of this afternoon please be advised we would
be willing to recommend to the Board of Commissioners and the City Council
a revised agreement on the San Luis Hotel as per the following:
1. The amount already loaned to the development is to be returned to the
City. As per our discussion there is a 3% interest charge on this
money which should be the responsibility of the present owner.
2. The new owner will agree to maintain the rents on the unit at 80% of
the U.S. Department of Housing and Urban Davalopment's published rair
Market Rents. The present FMR'c are $441 on an efficiency unit and
$536 on a 1 -BR unit. Published FMR'c are to include all utilities. By
establishing these rents at 80% of the FMR we eliminate the need for
deducting and monitoring utility allowances. Thus the owner can
simply make the tenants responsible for all utilities that are
Individually metered.
3. All tenants are to have gross family incomes which are at or below
80% of the County's median family income. Income limits are published
annually by the U. S. Department of Housing and Urban Development.
All four units are to be occupied by such qualified tenants. None of
the units are to be used for residential purposes by the owner. No
Section 8 subsidies will be made available to employees of the
owner.
4. The Housing Authority will verify incomes of all tenants. A fee of
$50 each will be charged for all initial occupancy verifications. The
fae for annual re- examinations will be $25 per examination. If at any
time the owner agrees to take Section 8 qualified applicants from our
waiting list the fees will by waived.
5. We will ask that some type of enforcement provision be included
in the: afir.eemcnt. The attached, as used by the County, is submitted
for your considaration.

If the owner is agreeable to the above the next step in the process would be to
submit a revision to our Commissioners for their consideration. The Commission
would then recommend approval or disapproval to the City Council. The noxt
Board of Commissioner's meeting is scheduled for 4 PM on Thursday, March 22.
Typically agenda and supporting documentation will go to the Commission
on the 15th. I hope if we can't have the agreement drafted for that date
we can at least have an agreement to the basic provisions by then.

11. Effect of waiver. County's waiver of the breach of any
one term, covenant or provision of this agreement shall not- be a
waiver of a subsequent breach of tho same term, covenant or
provision of this agreement or of - the breach of any other term,
covenant or provision of this agreement.
12. Enforcement of provisions_.
(a) in the event of a violation or an attempted
violation of any of the terms, covenants, or restrictions of this
agreement by Developer, the County shall give written notice
thereof to Developer by United States first class mail.
(b) if such violation or attempted violation is not
corrected to the satisfaction of the County within fifteen (15)
days after the date such notice is mailed, or within additional
time approved by the Planning Director, the County may, without
further prior notice, declare in writing a default under this
agreement effective on the date of such doclaration of default..
(c) Any such doclaration of default may be cause for
appropriate action to be taken by the County including, but not
limited to, requiring repayment of excess rents to tenants,
seeking an injunction against any violation or attempted
violation of this agreement, requesting judicial appointment of a
receiver to take over and operate Daveloper's Property in
accordance with. the terms, covenants, and restrictions of this
agreements or seeking such. other relief an -may be appropriate.
13. Law governing and venue. This agreement has been
executed and delivered in, and shall be interpreted, construed,

filed February 7, 1906 in Book 1, Page 92 of Records of Survey, being more .
particularly described as follows:
BEGINNING at the Easterly corner of Lot 14, said point being the common property
line between Lots 14 and 15 of the Suburban Tract, as recorded February 7, 1906,
in Book 1, Page 92 of Records of Survey; thence South 26° 15' West along the
Easterly property line of said Lot 14, 247.02 feet to a point; thence North 640

SUBJECT: Request for Clarification Deed
Zaca Lane at Higuera St.
Security Union. Title Insurance Company .has requested the City to
execute a quit claim deed clarifying what they consider to be an
ambiguity in a deed conveyed by the City in 1971. The Engineering
Dept. has reviewed the request, and after some discussion and
modification of the legal description, finds the deed acceptable.
It should be noted that this is an extremely minor issue and the
Engineering Dept. considers the existing description adequate.
Nevertheless, Wayne is willing to modify it slightly in order to
satisfy any concerns the Title Company may have. I have reviewed
the proposed changes as well, and consider them to be minor and
technical only.
Normally, the conveyance of land by the City-requires a resolution
of the City Council under the provisions of Section 9.07 of the
Charter. In this instance, the Council has already authorized the
conveyance of the property in 1971, pursuant to Ordinance No. 524.
Since this is a very minor technical correction to the description
to carry out the provisions of Ordinance 524, it does not appear
necessary to take it to take it back to the City Council for formal
action by resolution. If you cone, I would recommend execution
Eby the Mayor and City Clerk and return to Security Union Title
Insurance Company for recordation. Otherwise, the matter should .
be placed on the consent agenda with a resolution of approval.

Enclosed is a recorded copy of the deed recorded March 29, 1973 as Document No. 9969 in
book 1717, Page 268 of Official Records wherein the City of San Luis Obispo executed a
deed in an attempt to convey property to Armrel Beecham and J. H. Beecham.
Our examination of the chain of title on what is now Lot 7 of Tract No. 1269 reveals
that the parcel of land purportedly conveyed by this document is in part one of the
previous conveyances affecting a portion of this lot. I say "purportedly, because,it
appears that a typographical error was made in the legal description which.prevents the
entire legal description from covering the parcel of land in which it no doubt intends
to convey.
I have also enclosed a Quitclaim Deed for execution on behalf of the.City of San Luis
Obispo in favor of the actual owners of said land so that.they may obtain clear title .
to their land and proceed with their current title work.
Should you have any questions or need further documentation from us, please feel free

As per our telephone conversation of March 13, 1991, it remains the feeling of this
Company that for title insurance purposes, a correction of the deed recorded March 29,
1973 in book 1717, Page 268 of Official Records is the resolution to the potentially
clouded title the Beecham's now have to this,parcel of land.
During the course of our conversation it was my understanding that should it be our
final request, you would be willing to oblige provided our legal description begins at
the corner termed the "Easterly" corner as opposed to "Southeasterly° corner.
This request has been met, and enclosed is the legal description that replaces the one
attached to the deed.you currently possess.
I understand also that this re- execution must also be consented to, therefore, must be
put on the council agenda. I would greatly appreciate your assistance in overseeing
the proper execution of this document on behalf of the City of San Luis Obispo.

in favor of Armrel and J. H. Beecham regarding the above- referenced
property, so that the Beechams could clear title to their land. The
City's Engineering Department reviewed your request and found the deed
acceptable. We have therefore obtained the proper signatures and had
