Rodewald Recorder Nov 05, 1998 Time: 08:00 [ 51 HISTORIC PROPERTY PRESERVATION AGREEMENT APN; 053 - 28-826 Rpt No: 00092022 RF -1 19.00 ;TOTAL 19.00 Fol This agreement, made and entered into on this l3 TH day of A,y 6.0 Sf , 1998, by and between Strasbaugh Development, LLC. a Delaware Limited Liability Company, hereinafter called "Owner" and the City of San Luis Obispo, hereinafter called "City", collectively hereinafter called "Parties ", provides as follows: WHEREAS, Owner possesses certain real property located in the City of San Luis Obispo, described as the westerly 210.00 feet of Parcel I of Minor Subdivision 91 -152 as recorded in Book 53 of Parcel Maps at Page 576 , also known as the Long - Bonetti Ranch, at 3897 South Higuera Street, which is of historical value, and is a "qualified historical property" as defined in California Government code Section 50280.1; and WHEREAS, the property is listed on the City's Master List of Historic Resources, and both Owner and City desire to protect and preserve such property so as to retain its characteristics of historical significance, pursuant to conditions of approval for Minor Subdivision 91 -152; WHEREAS, Owner has submitted a "Restoration and Adaptive Reuse Plan", and City has approved said plan (City file No. Other 65 -97) on file with the Community Development Department. NOW, THEREFORE, the parties in consideration of the mutual covenants and conditions set forth herein and the substantial public benefit to be derived therefrom, do agree as follows: 1. AUTHORITY: This agreement is made under authority of California Government Code Section 50280 et seq. 2. LENGTH OF AGREEMENT: This agreement shall be effective upon recording, and shall remain in effect in perpetuity or as modified by mutual agreement of the parties, but in any event not less than ten (10) years. 3. LIMITATIONS ON LAND USE: during the term of this contract, the above described land shall be subject to the following provisions, requirements, and restrictions: (a) REUSE/PRESERVATION PLAN: Prior to any change of use or further development of Parcel 1, the property owner(s) of Parcel 1 shall comply with the approved adaptive reuse/historical preservation plan, to the Community Development Director's approval. The plan shall E1039 \hislprop.doc Jp- K address development strategies that maintain the long -term viability of the site and structures, including, as a minimum: - parking and vehicle access - landscaping and visual screening - preliminary feasibility study of alternative land uses - marketing/economic strategies for adaptive reuse - recommended land use strategy (b) PRESERVATION COVENANT: The property owner(s) agree to preserve the appearance and historic integrity of the Bonetti/Long Street ranch structures and grounds, including: ranch house, barn, windmill, water tower, entry sign and gardens, as shown in the approved REUSE/PRESERVATION PLAN on file in the Community Development Department at 990 Palm Street, San Luis Obispo, to the approval of the Community Development Director. (c) BINDING: This contract shall be binding upon, and inure to the benefit of, all successors in interest (including, but not limited to all heirs, executors, administrators, assigns and tenants) of Owner. A successor in interest shall have the same rights and obligations under this agreement as Owner. 4. HOLD HARMLESS: Owner agrees to and shall hold City and its elected officials, officers, agents and employees harmless from liability for damage or claims for damage for personal injuries, including death, and claims for property damage which may arise from the direct or indirect use or operations of Owner or those of any contractor, subcontractor, agent, employee or other person acting on Owner's behalf which relate to the use, operation and maintenance of the Historic Property. Owner hereby agrees to and shall defend the City and its elected officials, officers, agents and employees with respect to any and all actions for damages cause by, or alleged to have been caused by, reason of Owner's activities in connection with the Historic Property. This hold harness provision applies to all damages and claims for damages suffered, or alleged to have been suffered, by reason of the operations referred to in this Agreement regardless of whether or not the City prepared, supplied or approved the plans, specifications or other documents for the Historic Property. 5. REQUIRED PROVISIONS OF CONTRACT: (a) The term of the contract shall be for a minimum period of 10 years. E1039 \histprop.doe J, (b) The Owner shall (1) Preserve the qualified historical property and, when necessary, to restore and rehabilitate the property to conform to the rules and regulations of the Office of Historic Preservation of the Department of Parks and Recreation, the United States Secretary of the Interior's Standards for Rehabilitation, and the State Historical Building Code. (2) Allow periodic examinations of the premises by the assessor, the Department of Parks and Recreation, the City of San Luis Obispo and the State Board of Equalization as may be necessary to determine the owner's compliance with the contract. (3) Provide written notice of the contract to the Office of Historic Preservation within six months of entering into the contract. 6. RENEWAL; NONRENEWAL; NOTICE; PROTEST; RECORDATION; EFFECT: (a) On the anniversary date of the contract or such other annual date as is specified in the contract, a year shall be added automatically to the initial term of the contract unless notice of nonrenewal is given as provided in this section. If Owner or the City desires in any year not to renew the contract, that party shall serve written notice of nonrenewal of the contract on the other party in advance of the annual renewal date of the contract. Unless the notice is served by Owner at least 90 days prior to the renewal date or by the City at least 60 days prior to the renewal date, one year shall automatically be added to the term of the contract. (b) Upon receipt by Owner of a notice from City of nonrenewal, Owner may make a written protest of the notice of nonrenewal. The City may, at any time prior to the renewal date, withdraw the notice of nonrenewal. (c) If City or the owner serves notice of intent in any year not to renew the contract, the existing contract shall remain in effect for the balance of the period remaining since the original execution or the last renewal of the contract, as the case may be. E1039\histprop.doc a •IJ (d) Owner shall furnish City with any information it shall require in order to enable it to determine the eligibility of the property involved. (e) No later than 20 days after City enters into a contract with Owner pursuant to this article, the Clerk of the Council shall record with the County Recorder a copy of the contract, which shall describe the property subject thereto. 7. CANCELLATION; GROUNDS: City may cancel a contract if it determines that Owner has breached any of the conditions of the contract provided for in this article or has allowed the property to deteriorate to the point that it no longer meets the standards for a qualified historical property. City may also cancel a contract if it determines that Owner has failed to restore or rehabilitate the property in the manner specified in the contract, or in the Reuse/Preservation Plan. 8. CANCELLATION; NOTICE; HEARING: No contract shall be canceled under Section 7 until after the City has given notice of, and has held, a public hearing on the matter. Notice of the hearing shall be mailed to the last known address of each property owner within 300 feet of the Historic Property, and shall be published in a local news paper, of general circulation. 9. CANCELLATION; FEE; PAYMENT: If a contract is canceled prematurely under Section 7, Owner shall pay a cancellation fee as required by Section 50286 of state law.
