AGREEMENT AFFECTING REAL. PROPERTY
COVENANT REGARDING TRANSPORTATION IMPACT FEES
WHEREAS, the undersigned property owner /developer (hereinafter called Owner) own(s)
certain real property at 3610 Sacramento Drive, San Luis Obispo, California, and
WHEREAS, the undersigned intends to construct a new 43,672 sq. ft. industrial building on
the easterly portion of said parcel (Building A, as shown on Attachment 1), and
WHEREAS, the City's Transportation Impact Fee (TIF) rate for buildings within "Industrial"
zoned districts is currently $782 per sq. ft., and Owner has requested consideration of an alternative
method for determining the amount of TIF for projects where there is no reasonable relationship
between vehicular traffic that would be generated by this project compared to a typical "industrial
building, as provided for in City regulations [Ordinance 1256 (1994 Series)], The proposed use of
the building is to house a fibre optics switching facility, under a long -term lease (20- years, plus 14
year option) with "Qwest Communications "., which will require only "limited" service vehicle and
employee trips, as shown in the attached "trip generation calculations" dated July.5, 2000, submitted
for the proposed use by a traffic engineer, Penfield & Smith (See Attachment 2), and
WHEREAS, the Public Works Director and Community Development Director have
reviewed the request and have determined that a reduction in the amount of fees would be
appropriate under provisions of the above - referenced Transportation Impact Fee regulations, as long
as the proposed use continues in the same manner.
NOW THEREFORE, in consideration of the above - described request and the attached project
traffic generation calculations by Penfield & Smith, the TIF for the proposed use within said
"Building A" only has been determined, based on the estimated 26 average daily vehicle trips
(ADT), at the current rate of $127.00 per ADT (using the "Other" fee rate under the TIF
regulations), as follows:
26 (ADT) x $127.00 /ADT ( "Other" Trip Rate) = $3,302.00
Owner hereby agrees to pay any additional TIF to City, within 60 days of written notice by City,
pursuant to the following:
1. If there is any change of tenancy within the building (a new tenant or increase in on-
site workforce above that used to calculate initial TIF requirement);

2. Issuance of a discretionary permit or issuance of any form of construction permit by the
City shall be cause for re- evaluation by the City of the traffic impacts of the revised project
that may result in an additional assessment of Transportation Impact Fees (TIF), based on
an estimate of any new trips that would be generated by such revised project. Such re-
evaluation may require Owner's traffic consultant to submit any necessary supplemental
data for this assessment.
Said property is located in the City of San Luis Obispo, County of San Luis Obispo, -State of
California, and is described as follows:
1. 3610 Sacramento Drive
2. Parcel 1 of Minor Subdivision No. SLO 99 -074, as recorded. in Book 54 of Parcel Maps, at
Page 48, in the office of the San Luis Obispo County Recorder, State of California.
This covenant shall run with the land and shall be binding upon the undersigned owners, their
heirs, executors, administrators, and assigns.

Dear Mr. Quaglino:
Penfield & Smith (P8vS) is pleased to submit this letter report to you for the subject
project. The following report details the estimated project trip generation using two
scenarios; the estimated daily trips based on the actual number of employees and the
standard trip generation rate based on the proposed building square footage.
Project Description
The proposed project is a 43,672 square foot two story office building. The building
will be occupied by Qwest Communications for use as a fiber -optic switch facility.
Despite the size of the building, the facility will only employ a staff of approximately 7
full time equivilant people. The office areas will consist of approximately 2,500 square
feet, with two private offices, one conference room, one general workspace, one break
room, and two single restrooms. Once, the facility is completed, truck deliveries
should average 1 per week.
Proposed Project Use
As noted above, the building is being designed as a fiber -optic switch facility for Qwest
Communications, a telecommunications company. The lease agreement between
Qwest Communications and the property owner, Covey 3 Partnership, is long term.
Given the nature of the facility and the long -term lease agreement, it is unlikely that
the building in its present configuration will be used for another use.
Project Trip Generation
Based on the proposed staff of 7 full time employees, a total of 26 daily trips and 7
peak hour trips would attributable to the project (please see Attachment A for the
specific trip generation calculations). The following table summarizes the project
traffic componants.

Trip Generation Comparison with Standard Rate
As a comparison to the unique project specific trip generation estimate above, the
standard trip generation rate using the standard office land use category was found.
For office buildings between 10,000 square feet and 100,000 square feet, the most
appropriate trip generation source is the San Diego Trip Generators, July 1998 issue,
produced by the San Diego Association of Governments (SANDAG). Based on this
source, the proposed 43,672 square foot building would generate approximately 874
total daily trips and 114 PM peak hour trips. During the PM peak hour, 23 trips
could be oriented to the general office use, with 91 trips leaving the use. This is
detailed in the table below.

Conclusion
Due to the nature of the project facility and the long term lease agreement with Qwest
Communications, it is our recommendation that the trip fees to be paid for this
project be based on the actual tenant occupancy usage. This recommendation is
supported by the fact that Qwest has a long term lease, and 7 employees verses the
typical 125 employees that would be anticipated if this were a typical office building.
This method more accurately reflects the trips that will be generated by this type of
