DISCUSSION Background The City of San Luis Obispo owns four historic adobes (Murray, La Loma, Rodriguez and Simmler). The Murray adobe, located in the Mission Plaza, was restored several years ago and is used for storage, display and, in the past, occasional office space. The other three adobes are in various stages of disrepair and have been damaged by vandals,neglect,weather and age. Recognizing that it had neither the expertise nor the funding to conduct a comprehensive restoration of its adobes, the City solicited the support of citizens dedicated to preserving and restoring the adobes. A community group, "The Friends of Las Casas de Adobes" (FOCA), has come forward with a proposal to help. This group has acquired non-profit status and consists of community volunteers,many with valuable expertise in historic preservation, construction, fundraising,historic research and other relevant fields. FOCA has begun working on restoration plans for all adobes except the Murray, and proposes to work with the City to help guide restoration, fundraising and Ram use for these community cultural resources. A,reement to Secure,Stabilize and Restore Adobes The proposed agreement to secure, stabilize, restore and maintain the La Loma, Rodriguez and Simmler adobes has been jointly developed by FOCA and City staff in the Public Works, Community Development and Administration departments and will be managed by a staff liaison from the Administration Department. It formally recognizes FOCA as the organization responsible for coordinating fimdraising and work on the adobes. It is a five year contract with an option to be renewed for an additional five years. Under the terms of the contract,the City agrees to: • Install utilities at the sites; • Waive water and sewer hook up fees, building inspection fees and community development fees other than building permit plan checking fees; • Maintain the grounds around the adobes with the exception of a six meter perimeter construction zone which will be maintained by FOCA; • Allow very limited use of City personnel and staff as determined appropriate by the CAO; Council Agenda Report-Agreement with Friends of Las Casas de Adobe Page 2 • Provide "seed money'in the amount of$6,000 for the 1996-97 fiscal year and $22,000 for the 1997-98 year and capital improvement funds in the amount of $100,000 to match the developer's contribution for repair of the Rodriguez adobe. While it is not the City's practice to install utilities or waive fees for outside organizations, the City has agreed to do so in this case because the buildings involved are actually owned by the City and the benefit of their use in the future belongs to the City. In this case,FOCA is the City's partner in a process which allows the City to deal with its own property in a very cost-effective manner. In return,FOCA agrees to: • Identify the needs of the three adobes for security,stabilization and restoration; • Obtain expertise in adobe restoration and have plans prepared for restoration; • Provide volunteer or contract labor to secure,stabilize and restore the buildings; • Solicit grants and contributions to pay for necessary work, • Provide informational material and programs to the public regarding the buildings and sites; • Provide quarterly reports to the City on progress made; • Assume responsibility for payment of monthly utility usage charges Before beginning any activities, including actual stabilization, restoration and maintenance, FOCA will obtain conceptual approval of appropriate City departments by working through the City's designated liaison, as well as any required permits. In addition, FOCA will submit written requests for finding before any money is released by the City and will include expenditure reports as part of the quarterly reporting process. The agreement does not address the eventual use of the adobes, other than to state that it is the City's ultimate intent that after restoration they be made accessible to the public, to the degree possible, and that they emphasize furnishings and artifacts authentic to their era. Because of the diversity of possible future functions, separate agreements between the City and FOCA will be drawn up upon the restoration of each adobe relative to its eventual public use. A separate use agreement has already been developed which will allow FOCA to use the Murray Adobe in Mission Plaza as headquarters for its administrative operations. CONCURRENCES The Public Works Department, Community Development Department and Utilities Department concur with this agreement. FISCAL IlWPACT $6,000 of"seed money" for operational expenses was approved as a mid-year request during the 1996-97 fiscal year. An additional $22,000 of"seed money"was approved as part of the 1997-99 Financial Plan. $100,000 of construction funding for the Rodriquez adobe was approved as part of the Capital Improvement Plan in the 1997-99 Financial Plan. These construction funds will match the contractor's contribution made by Hertel & Sons as required for the approval of Tract 1750. Hertel& Sons has deposited$25,000 in cash and provided a letter of credit for$75,000 to satisfy its obligation. o7— oZ Council Agenda Report-Agreement with Friends of Las Casas de Adobe Page 3 The funding already approved for this project is just the beginning of what the eventual cost of restoration will be. Significant fundraising, including grant applications, will be necessary before the three adobes can be fully restored and usable by the public. Because much of the work will be performed by volunteers, to keep costs down as much a possible, the restoration process will necessarily be drawn out over a number of years. However, all parties involve acknowledge that the highest priority is to stabilize the buildings to prevent further deterioration. The current flrnding available will allow for the development of restoration plans and the beginning of the stabilization process. Attachments Agreement with Friends of Las Casas de Adobes c_ �-3 AGREEMENT THIS AGREEMENT is made and entered into in the City of San Luis Obispo on this day of by and between the CITY OF SAN LUIS OBISPO, a municipal corporation, hereinafter refected to as City,and Friends ofLas Casas de Adobe,hereinafter referred to as FOCA. WITNESSETH: WHEREAS, the City of San Luis Obispo owns four historic adobe buildings, some of which are in various states of disrepair,and WHEREAS, the adobes addressed by this agreement form a special historical heritage in that there are a limited number of Mexican era adobes in existence in Califonua,and the adobes are,therefore,a unique resource and a prime means of encouraging knowledge and enjoyment of Califomia and local history;and WHEREAS,FOCA,a non-profit corporation,has proposed to secure,stabilize,restore and maintain three of the adobes, namely the La Loma Adobe, the Rodriguez Adobe and the Simmler Adobe,recognizing the individual qualities of each and the way in which each could eventually be a part of the City's parks, recreation and cultural heritage functions (NOTE: Terms and conditions of the rental of the Murray Adobe to FOCA are contained in a separate use agreement);and WHEREAS,both parties wish to work together toward the attainment of mutual goals for the stabilization, protection,and restoration of the adobes; NOW THEREFORE, in consideration.of their mutual promises, obligations, and covenants hereinafter contained,the parties hereto agree as follows: 1. TERM. The term of this Agreement shall be from the date of this Agreement is made and entered, as fast written above,until June 30,2002. The agreement may be extended for an additional five(5)years upon the mzmral agreement of both parties. 2. CITY'S OBLIGATIONS. The City agrees to provide the following to FOCA: a. Recognition as the organization responsible for the stabilization,restoration and maintenance of the adobes. b. The authority to conduct fund raising,research,stabilization,restoration,and maintenance at the adobes with the approval of appropriate City staff: c. Appointment by the City Administrative Officer of a designated staff member as liaison to the group(currently,the Assistant to the City Adminishative Officer). d. Installation of utilities (sewer, water, electrical, gas and telephone, as appropriate) to the La Loma,Rodriguez and Simmler sites. e. Waiver of City fees for the following purposes: water and sewer hook up fees, building inspection fees,community development fees other than building permit plan checking fees. L Grounds maintenance at the adobes during the restoration process will be handled as follows: Rodriguez Adobe - City staff shall perform those activities normally associated with the maintenance of parks (mowing, trimming, fertilizing and replanting of vegetation) for the park area surrounding the adobe. The area within a six (6)meter perimeter construction zone(or as determined necessary by FOCA),when created,shall be maintained by FOCA. . For areas outside the perimeter construction zone, the City shall provide seasonal weed abatement as required by the San Luis Obispo Fire Department La Loma Adobe - The area within a six (6) meter perimeter construction zone (or as determined necessary by FOCA), when created,shall be maintained by FOCA. For areas outside the perimeter construction zone,the City shall provide seasonal weed abatement as required by the San Luis Obispo Fire Department Simmler Adobe-City stall shall continue weekly grounds maintenance, including raking weeding,minor shrub pruning and seasonal irrigation. Tree maintenance at the above adobes shall be done at the discretion of the City Arborist Grounds maintenance safety issues outside of the construction zone shall be the responsibility of the City. g. Use of City personnel and staff on a very limited basis. It is the intent of this agreement for FOCA to provide its own services and personnel; however, FOCA may petition for the very limited use of City staff through the City's designated liaison. The City Administrative OfEcer will make the final decision on such use of City staff,based in large part on whether or not the request will impact staffs ability to meet responsibilities for other services or priorities. h. "Seed money"in the amount of$6,000 for the 1996.97 fiscal year and$22,000 for the 1997-98 fiscal year for the uses defined in the attached Significant Operating Program Change Request . (Attachment 2). i Capital improvement finds in the amount of$100,000 as the City's matching funds for the Rodriguez adobe only, as defined in the attached Capital Improvement Program Request (Attachment 3)- 3. FOCA'S OBLIGATIONS. Friends of Las Casas de Adobe agree: a. To identify the needs of the Rodriguez, La Loma and Simmler Adobe sites for security, stabilization and restoration via a master document for each. b. To obtain expertise in Mexican era adobe restoration and have prepared plans for restoration (and other desired work) meeting all governing building codes and applicable municipal ordinances (including seismic requirements, as appropriate); and to obtain all City approvals necessary to secure a building permit Any new ancillary or support structures must proceed 2 through the City's standard approval process, including the Architectural Review Commission (ARC),Cultural Heritage Committee(CHC),Planning Commission(PC),Parks and Recreation Commission(PRG)and City Council,as appropriate. c. To provide the labor, when appropriate,to secure, stabilize or restore the buildings or contract for expertise or labor when beyond the capabilities of the organization. d. To solicit grants and contributions for the adobes to facilitate restoration, maintenance and subsequentuse. e. To provide informational material and programs to the public regarding the buildings and sites. £ To provide quarterly reports to the City of efforts.and progress. g. To request and receive conceptual approval, through the City's administrative liaison, for all activities, including stabilization, restoration, and maintenance. Approval for construction- related activities which do not require a building permit shall be obtained from the Public works Director or his designee. For all work requiring a building permit,FOCA shall be responsible for coordinating such activities with both the Public works Department and the Building Division of the Community Development Department. FOCA shall assume respoM11lfor all construction coordination activities such as media involvement,neighborhood outreach,etc. I To assume responsibility for payment of monthly utility usage charges at all Adobes except the Murray Adobe. The phone and all other utility charges at the Murray adobe are addressed in a separate use agreement between the City and FOCA. Any phone system shall include a voice answering machine where messages from the public can be recorded. L To obtain and maintain a local post office box or permanent mailing address. 4. OFFICIAL NAMES OF ADOBES. FOCA shall determine the most historically accurate name for each adobe and submit that name to the City Council for approval. Once the official names have been determined,they shall be used for all future references to the adobes. 5. FINANCIAL REPORTING. Prior to the release of any funds by the City to FOCA,FOCA will submit a written request for finding which includes a plan for how the funds will be spent. Upon approval by the City, funds will be released Expenditures to date shall be included in each quarterly report to the City. All expenditure records will be maintained by FOCA for at least four(4)years to provide sufficient time for possible auditing. All of FOCA's financial records will be open to review by authorized City personnel or the City's independent auditors. 6. PUBLIC ACCESS AND USE OF RESTORED ADOBES. It is the ultimate intent of this agreement that the adobes,after restoration and under appropriate conditions,be accessible to the public,to the degree practical,and that they emphasize fumishings and artifacts authentic to the era(generally, 1830's through 1870's),as a means of imparting knowledge and appreciation of that important part of our heritage. Separate agreements between the City and FOCA will be drawn up upon the restoration of each adobe relative to its eventual public use. 3 L', 7-G 7. INSURANCE REQUMEM 'NTS.FOCA shall provide proof of insurance in the form, coverages and amounts specified in Attachment 1 to this contract. FOCA shall insure that when any construction work is performed by parties under contract to FOCA,the insurance for those parties is approved by the City's Risk Manager. 8 SAFETY PROVISIONS.FOCA and its subcontractors shall conform to the rules and regulations pertaining to safety established by OSHA and the California Division of Industrial Safety. 9. HOLD HARMLESS AND INDEMNIFICATION.FOCA and any of its subcontractors agrees to defend,indemnify,protect and hold the City and its agents,officers and employees harmless from and against any and all claims asserted or liability established for damages or injuries to any person or property,including injury to FOCA's volunteers,employees,agents or officers which arise from or are connected with or are caused or claimed to be caused by the acts or omissions of FOCA,and its agents,officers or employees,in performing the work or services herein,and all expenses of investigating and defending against same;provided,however,that FOCA's duty to indemnify and hold harmless shall not include any claims or liability arising from the established sole negligence or willful misconduct of the City,its agents,officers or employees. 10. AMENDMENTS. Any amendment, modification, or variation from the terms of this Agreement shall be in writing and shall be.effective only upon approval by the Council of the City.. 11. TERMINATION. If during the term of the contract, the City determines that FOCA is not faithfully abiding by any term or condition contained therein, the City may notify FOCA in writing of such defect or failure to perform; which notice must give FOCA a thirty (30) calendar day notice of time thereafter in which to perform said work or cine the deficiency. If FOCA has not performed the work or cured the deficiency within the ten days specified in the notice, such shall constitute a breach of the contract and the City may terminate the contract immediately by written notice to FOCA to said effect Thereafter, neither party shall have any further duties obligations,responsibilities or rights under the contract except,however,any and all obligations of FOCA's surety shall remain in full force and effect, and shall not be extinguished, reduced, or in any manner waived by the termination thereof. 12. COMPLETE AGREEMENT. This written Agreement, including all writings specifically incorporated herein by reference,.shall constitute the complete agreement between the parties hereto. No oral agreement,understanding,or representation not reduced to writing and specifically incorporated herein shall be of any force or effect,nor shall any such oral agreement,understanding,or representation be binding upon the parties hereto. 13. NOTICE. AUTHORITY TO EXECUTE AGREEMENT. Both City and FOCA do covenant that each individual executing this agreement on behalf of each party is a person duly authorized and empowered to execute Agreements for such party. City Clerk ByMayor APPROVED AS TO FORM: FOCA sycz om ATTACHMENT 1 INSURANCE REQUIREMENTS: The FOCA shall procure and maintain for the duration of the contract inamance against claims for injuries to persons or damages to property which may arise from or in connection.with the performance of the work hereunder by FOGA,its agents,representatives,employees or subcontractors. Minimum Scope of Insurance. Coverage shall be at least as broad as: 1. Insurance Services Office Commercial General Liability coverage(occurrence form CG 0001). Minimum Limits of Insurance. FOCA shall maintain limits no less than: 1. General Liability: $1,000,000 per occurrence for bodily injury, personal injury and property damage. If Commercial General Liability or other form with a general aggregate limit is used,either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit Deductibles and Self-Insured Retentions. Any deductibles or self-insured retentions must be declared to and approved by the City. At the option of the City,either: the insurer shall reduce or eliminate such deductibles or self- insured retentions as respects the City,its officers,officials,employees and volunteers;or FOCA shall procure a bond guaranteeing payment of losses and related investigations,claim administration and defense expenses. Other Insurance Provisions. The general liability policy is to contain, or be endorsed to contain, the following provisions: 1. The City, its officers, officials, employees, agents and volunteers are to be covered as insureds as respects: liability arising out of activities performed by or on behalf of FOGA;products and completed operations of FOCA, premises owned,occupied or used by FOCA; or automobiles owned leased, hired or borrowed by FOCA. The coverage shall contain no special limitations on the scope of protection afforded to the City, its officers,official,employees,agents or volunteers. 2. For any claims related to this project,FOCA's insurance coverage shall be primary insurance as respects the City,its officers,officials,employees,agents and volunteers. Any insurance or self-insurance maintained by the City,its officers,officials,employees,agents or volunteers shall be excess of FOCA's insurance and shall not contribute with it 3. Any failure to comply with reporting or other provisions of the policies including breaches of warranties shall not affect coverage provided to the City,its officers,officials,employees,agents or volunteers. 4. The FOCA's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 5. Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended, voided, canceled by either party,reduced in coverage or in limits except after thirty (30) days'prior written notice by certified mail,return receipt requested,has been given to the City. 6. Coverage shall not extend to any indemnity coverage for the active negligence of the additional insured in any case where an agreement to indemnify the additional insured would be invalid under Subdivision (b) of Section 2782 of the Civil Code. Acceptability of Insurers. Insurance is to be placed with insurers with a current AM Bests rating of no less than AML Verification of Coverage. FOCA shall firaish the City with a certificate of insurance showing required coverage. Original endorsements effecting general liability and automobile liability coverage are also required by this clause. The endorsements are to be signed by a person authorized by that insurer to bind coverage on its behalf. All endorsements are to be received and approved by the City before work commences. Subconi.ractors. FOCA shall include all subcontractors as insured under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverages for subcontractors shall be subject to all of the requirements stated herein. �� �� 17 1997-99 Financial Pian ATTACHMENT 2 SIGNIFICANT OPERATING PROGRAM CHANGE PROGRAM: Cultural Resource Protection REQUEST TTTLE: "Seed Money"for Friends of Las Casas de Adobe --------------- Request Summary The City of San Luis Obispo owns four adobes (Murray, Canet,Rodriguez and Bowden-La Loma), all of which are on the Master List of Historic Resources. The Murray Adobe, located in the Mission Plaza, was restored several years ago and is used for storage,display and,in the past,occasional office space. The other three adobes are in various stages of dilapidation, and have been damaged by vandals,neglect,weathering,and age. Recognizing that it had neither the expertise nor the funding to conduct a comprehensive restoration of its adobes,the City solicited the support of citizens dedicated to preserving and restoring the adobes. A community group, "The Friends of Las Casas De Adobes"(FOCA),has come forward with a proposal to help. The group is Pursuing non-profit status, and consists of community volunteers, many with valuable expertise in historic preservation,'construction, fimdraising, historic research and other relevant fields. FOCA has begun working on reuse plans for each adobe and will work with the City to help guide future uses, restoration, fimdmising and managing these community cultural resources. FOCA has submitted.a proposal to clarify its.relationship with the City and to secure seed fitnding to begin its mission. The group has also requested in-kind support, including use of the Murray Adobe for office space, utilities,phone and P.0.Box. The community group intends to enter into a partnership with the City to provide important services,thereby freeing up limited City resources for other priority projects and programs, while still allowing progress on this important community program, During the 1996-97 Mid-Year budget review, Council approved a request from FOCA for$6,000 which, when coupled with funding already in place for preserving the Rodriguez adobe, would allow the group to set up an office in the Murray adobe, begin publicizing the group's purpose, complete a structural analysis on one adobe and provide critical security and initial stabilization for several of the adobes. Howbver,in order to complete the organizational process and begin successful fundraising, as well as complete the required structural analyses, security provisions and stabilization of the remaining adobes,FOCA is requesting addition funding for 1997-98. Key Objectives ■ Establish a partnership with a non-profit community organization to stabilize,restore,and administer the City's historic adobes for the community's use and enjoyment in accordance with the Council's Community Partnership goal. ■ Provide initial seed funding to help the Friends of Las Casas De Adobe become a self-supporting, non-profit commtmity agency responsible for historic adobes in San Luis Obispo. ■ Focus citizen volunteerism, skills, and expertise in an area where the City does not have specific expertise or would need to reallocate limited resources to develop such expertise. ■ Preserve important community historical resources,in keeping with General Plan goals. ■ Use City resources efficiently and encourage community volunteerism. Factors Driving the Request for.Change ■ As part of the 1997-99 goal setting process, Council Adopted a goal to encourage the formation of community partnerships with non-profit organizations to perform activities in areas that could not otherwise be addressed. "Seed Money"for Friends of Las Casas de Adobe(cont) ■ Since the formation of FOCA in 1995,it has operated on member contributions and very limited staffsupport. The City invited the group's assistance,and has encouraged group members to form a non-profit organization. Becoming a non-profit corporation is now necessary to assure on-going funding. The group indicates that it needs assistance to achieve this measure of self-sufficiency. ■ Friends of Las Casas De Adobe membership includes volunteers with special preservation skills and expertise which are needed for the successful restoration of one or more of the adobes. Ibis expertise is not now available in City staff and would be expensive to obtain through training or hiring consultants. ■ Adobe preservation efforts are at a critical stage. With development occurring around the once-isolated Rodriguez and Bowden-La Loma adobes,neighbors have complained about the adobes' dilapidated condition and emphasized the need to restore and use the public-owned properties. ■ The number of worthwhile community projects continues to exceed available City fiords. Increasingly,the City seeks community partnerships with non-profit and volunteer organizations to undertake important community projects which would otherwise not be possible to accomplish utilizing City resources alone. ■ The condition of the adobes has deteriorated faster, in recent years due to vandalism,rain, drainage problems, and neglect It is essential to take action soon to reverse these effects and begin the restoration process. Delay could result in higher-restoration costs or significant loss of the resource. ■ A developer recently contributed$100,000 toward stabilization and restoration of the Rodriguez Adobe. This hind, intended to match City contributions,provides an opportunity to begin the restoration process as a model for other City adobes. With the requested support, the Friends have indicated a willingness to undertake this important project _ Alternatives . ■ Provide a modffed level of support, The City could choose not to fund the full amount requested. However,. since there are three adobes which need rehabilitation, and the approved funding for 1996-97 only allowed for analysis, security and stabilization of the most critical adobes, it makes sense to provide sufficient funding to perform these activities for all the adobes. Once all three adobes have reached the same level of protection and analysis,FOCA will be better able to assess its financial needs and move forward in a logical work program. ■ Provide limited in-kind support only. The City could provide in-kind assistance such as office space, utilities,. phone, mail box and postage,waiver of city development review and/or impact fees, grounds maintenance and . equipment, and security for its preservation activities. No direct funding would be provided for start up formation of the non-profit corporation,or to begin specific preservation activities. This approach would allow restoration activities to proceed for the Rodriguez Adobe and would help stabilize and consolidate the group's activities. It could delay incorporation as a non-profit,making it more likely to need supplemental funding in future years and make additional deterioration and vandalism possible at the other two adobes likely. ■ Continue status quo. Under this approach,no financial support would be provided to the Friends of Las Casas De Adobe. Adobe preservation would proceed as limited city staff and volunteer time and resources allowed. Work on the Rodriguez Adobe could proceed with existing funding, the Simmler-Caret Adobe and Bowden-La Loma Adobe are not funded and would probably not be restored in the foreseeable future. Cost Summary The Friends funding request covers two periods: January P through June 30, 1997; and July 1'through December 310, 1997. A 1996-97 Mid Year Funding request in the amount of$6,000 has already been approved by Council. Funding requested for the 1997-98 budget year is in the amount of$22,000. CAPITAL IMPROVEMENT PLAN OPERATION: Cultural Services PROJECT TITLE: Rodriguez Adobe Stabilization and Restoration Description • Produce a restoration plan for the Rodriguez Adobe • Stabilize the building and site to stop further damage • Restore the building Objectives • Preserve an important historical resource • Develop-the Rodriguez Adobe for use as a community building to benefit the neighborhood.and community Background As a condition of approval for Tract 1750(1990),the Rodriguez Adobe and a one acre parcel surrounding it will be dedicated to the City as a public park If the'final map for Phase 4 of that subdivision is approved on May 6, 1997,the building and parcel will be donated at that time. That development condition also commits the City to restore the adobe and the developer to contnbute half the restoration cost up to$100,000. Hertel&Sons,the developer,has deposited$25,000 in cash and $75,000 in a letter of credit to satisfy its obligations. The Friends of Las Casas de Adobe modified this RFP to focus on emergency stabilization,and the request should be distributed in May. 1997. A contract to prepare a stabilization plan should be awarded by the end of June 1997 and should include: • an assessment of the building's condition and identification of threats to the building • recommended emergency stabilization measures, including design plans and details,to protect the . building from fiuther weathering and vandalism • a cost estimate 176 Rodriguez Adobe Stabilizatiot. _.d Restoration(continued) Environmental Review An Environmental Impact Report(EIR)was adopted in 1982 for the Edna-Islay Specific Plan,which outlines standards for developing a 446 acre area on the southeast end of the City. The Rodriguez Adobe lies within the Specific Plan area The EIR notes that the adobe may be a valuable resource but that further 1 studies will be needed at the time of development to determine its ultimate disposition. To establish the archaeological value of property and determine if additional investigation is required,an 1 archaeological resource inventory was completed in 1997. That study is a requirement of the California Environmental Quality Act.
