This Agreement is entered into between the CITY OF SAN LUIS OBISPO, A Municipa l
Corporation, hereinafter referred to as "City," and the law firm of LIEBERT CASSID Y
WHITMORE, A Professional Corporation, hereinafter referred to as "Attorney ."
WHEREAS City has the need to secure expert training and consulting services to assis t
City in its relations and negotiations with its employee organizations ; and
WHEREAS City has determined that no less than twelve (12) public agencies in th e
Central Coast area have the same need and have agreed to enter into identical agreements wit h
Attorney; and
WHEREAS Attorney is specially experienced and qualified to perform the specia l
services desired by the City and is willing to perform such services ;
NOW, THEREFORE, City and Attorney agree as follows :
Attorney's Services :
During the six months beginning January 1, 2005, Attorney will provide the followin g
services to City (and the other aforesaid public agencies):
1.Two (2) days of group training workshops covering such employment relation s
subjects as management rights and obligations, negotiation strategies ,
employment discrimination and affirmative action, employment relations from th e
perspective of elected officials, performance evaluation (administerin g
evaluations), grievance and discipline administration for supervisors an d
managers, planning for and responding to concerted job actions, current court ,
administrative and legislative developments in personnel administration an d
employment relations, etc ., with the specific subjects covered and lengths o f
individual workshop presentations to be determined by City and the other sai d
local agencies .
2.
Availability of Attorney for City to consult by telephone .
3.
Providing of a monthly newsletter covering employment relations developments .
Fee :
Attorney will provide these special services to City for a fee of One Thousand Thre e
Hundred Fifty Dollars ($1,350 .00), payable in one payment prior to February 1, 2005 T'hexfe e

providing said training and consultative services and the development and printing of writte n
materials provided to attendees at the training programs .
Additional Services :
Attorney shall, as and when requested by City, make itself available to City to provid e
representational, litigation, and other employment relations services . The City will be billed fo r
the actual time such representation services are rendered, including reasonable travel time, plu s
any necessary costs and expenses authorized by the City .
The range of hourly rates for Attorney time is from One Hundred Sixty to Two Hundre d
Sixty Dollars ($160 .00 - $260 .00) per hour for attorney staff and from Ninety-Five Dollars t o
One Hundred Ten Dollars ($95 .00- $110 .00) per hour for services provided by paraprofessiona l
staff. Attorneys and paraprofessional staff bill their time in minimum units of one-tenth of a n
hour . Communications advice (telephone, voice-mail, e-mail) is billed in a minimum incremen t
of three-tenths (.30) of an hour .
Independent Contractor :
It is understood and agreed that Attorney is and shall remain an independent contracto r
under this Agreement .
Term :
The term of this Agreement is six (6) months commencing January 1, 2005 . The term
may be extended for additional periods of time by the written consent of the parties .
Condition Precedent :
It is understood and agreed that the parties' aforesaid rights and obligations are contingen t
on no less than twelve (12) local agency employers entering into a substantially identica l
Agreement with Attorney on or about January 1, 2005 .

I .CONSORTIUM UPDAT E
•The consortium is switching from its current calendar year (Jan . – Dec .) to a fisca l
year (July – June).
•The interim period will run from Jan 1 st 2005 – June 30 th 2005 – a period of 6
months (see rate information below).
•Therefore, there will be another planning meeting on April 27, 2005 in order to pla n
for the fiscal year . Invitations for this planning meeting will be sent in late Februar y
or early March .
•The consortium will now receive workshop announcements and post-worksho p
correspondence via email only : Along with the electronic announcement will com e
the workbook for each workshop in .pdf format .
•High praise for this past year's workshops .
•The Consortium would like to see Irma Moisa Rodriquez present early on in the year .
•Keep incorporating the 15 — 20 minute group discussions, as well as the role-playin g
scenarios and other group interaction exercises .
•LCW's website is searchable . To find past newsletter articles, go to the publication s
section and select "search ".
•The ERC would be interested in an extranet .
•A listing of surrounding restaurants for lunch should be available at each hostin g
facility .

•Cambria Community Services District has volunteered to host .
•Lompoc Healthcare District and City of San Luis Obispo have volunteered to co-hos t
(preferably in May).
•San Luis Obispo County has volunteered to host late on the schedule .
•City of Santa Maria has volunteered to host (preferably in February).
•We will seek other members to volunteer to host if necessary .Please note that no t
all our members have a proper facility to host training events .
