DISCUSSION Annually, the Downtown Association(DA),requests the City Council approve the renewal of the employment contracts for the DA Administrator and the Promotions Coordinator. Deborah Holley, the Downtown Association Administrator, was hired in July of 1995. She has continued to successfully perform all the duties assigned her prompting the Downtown Association Board of Directors to renew her contract for another year. Three members of the Board of Directors and the City staff liaison met in early June to discuss the Administrator's performance and submit completed evaluation forms to the Board President. The Board President then met separately with the Administrator to discuss, item by item, the evaluation form and additional recommendations. An increase to the Administrator's compensation package was offered based on the outcome of the evaluation. The Board President also reviewed the Administrator's accomplishments of the past year that contributed to effective performance and also to the betterment of the Association. Some of these included: • Expanded office facilities and staff • Initiated Ambassador Program of monthly on-site visits with businesses • Worked closely with Economic Development Director to tackle "dead area" at west end of Downtown, currently pursuing a promotions district in that area • Revamped magazine format into a manageable,cost-effective public relations tool • Initiated newsletter format change • Continued to monitor Strategic Plan, activities to promote Downtown goals (presentation to be made to Council on July 2 for status report) C3-1 r i Employment contracts for Downtown Association Page 2 • Successfully lobbied for County Building to be built in Downtown with design features • Initiated educational and public relations campaign for Marsh Street Parking structure expansion and worked with City to launch "Gold Card" bus subsidy program for Downtown employees • Saw completion of Downtown restrooms after lobbying for several years • Worked with Downtown John (Borchert) to target "problem" areas of Downtown (trash, etc.) • Worked with City Public Works to develop "Postal Park" and reduce news rack clutter near the Post Office • Worked with Promotions Chair Christine Bragg to develop new holiday program "Open House" to bring renewed life to holiday activities Downtown. Premieres December 4 • Continued to promote Main Street concepts and participate as a California and National Main Street program Following the annual performance appraisal, the Board voted to increase the Downtown Association Administrator's salary by 4.6% from $4,862 to $5,086 per month. The Downtown Association will continue to pay 3%of the employees' contribution to PERS. Christine D. Bragg has been filling the position of Promotion Coordinator since September of 1998. The Board is recommending an increase in salary of 4.6% from $3,021 to $3,160 per month. The Downtown Association will continue to pay 2% of the employees' contribution to PERS. In addition to salary increases, the Downtown Association Board is recommending an increase in health insurance contributions, from $4,000 annually to $7,000 per year for the Administrator and from$1,500 to $2,000 per year for the Promotions Coordinator. Beginning in 1996, the DA has provided health insurance for their employees. Initially the costs were $170 per month for the Administrator and $73 per month for the Promotions Coordinator. Over time, the employment contracts for the DA employees have been amended as costs for insurance increased. The DA has historically provided fully paid coverage for the employees and their dependents. In the early years of this practice, because the costs were much lower, City staff was supportive of the level of funding because it was consistent with what the City was doing for its employees. However, in more recent years, as health insurance costs have drastically escalated,this practice is now being questioned by City staff. This year's recommendation to increase the health insurance coverage from $333/month ($4,000/year) to $583/month ($7,000/year) has heightened this concern. Therefore, staff' has required the DA Board and the Administrator look at alternatives to their current practice that would bring the Administrator's health insurance benefit more closely in line with City management employees, which is approximately $5,000 per year per employee. This may involve enrolling DA employees in PERS health plans or having DA employees share in the costs, similar to City employees. The Board will work with City staff' over the next several months to resolve this issue. In the meantime, staff is recommending the contract be amended to GADownt n,-agenW.doo C3-2 Employment contracts for Downtown Association Page 3 provide continuity of the benefit, until such time as an acceptable alternative is developed. This should occur by January 1, 2003. CONCURRENCES The Department of Human Resources has reviewed this request and finds that the contracts and approach are consistent with City policies. FISCAL IMPACT Approval of this request represents an increase in Downtown Association expenditures of approximately $8,350 which includes salary, fringe benefits (retirement, etc.) and the medical insurance premiums. C3-4 i CONTRACT OF EMPLOYMENT "F.xhihit A" THIS CONTRACT is entered into this 2nd day of July,2002,by and between the C=OF SAN LUIS OBISPO, State of California (hereinafter referred to as "City"), and DEBORAH J. HOLLEY, a contract employee(hereinafter referred to as "Employee"). WTTNF.SSF.TH: WHEREAS, the City of San Luis Obispo has a need for a Downtown Association Administrator; and WHEREAS,Employee is qualified to perform such service for City; and WHEREAS,the services to be contracted for are Downtown Association Administrator. NOW,THEREFORE,the parties do mutually agree as follows: 1. Employment City hereby engages Employee and Employee hereby agrees to perform for City the services hereinafter set forth for the compensation hereinafter set forth, all pursuant to the terms and conditions herein. 2. smile of Services. Pursuant to this Contract, Employee shall provide to City the following services: Administrator for the Downtown Association (DA); specific duties and responsibilities to be established and modified from time to time by the DA Advisory Board. Employee shall perform said services under the direct supervision of DA Advisory Board. 3. Fmp la=ent Status. Employee shall be a full-time employee. Membership in the City PERS retirement program shall be in accordance with PERS requirements with 4% of the employee's share to be paid by Employee, 3%of the employee's share to be paid by the Downtown Association. Employee shall accrue holiday and sick leave benefits consistent with other positions in the City and as determined by the Director of Human Resources. Employee shall accrue 8 hours of vacation per month over the term of this Agreement which shall be taken in a manner consistent with other City employees. Employee shall be granted up to 48 hours per year of administrative C3-5 2 leave in lieu of overtime compensation, in recognition of the fact that the employee is exempt from overtime compensation consideration and that the employee's schedule may require work beyond 40 hours in a week. The only other paid benefit is medical benefits for employee and dependents not to exceed $7,000.00 annually. Employee shall be eligible for reimbursement for mileage at the current reimbursable rate for City of San Luis Obispo employees for use of her private automobile for official business but not including any mileage attributable to normal commuting by Employee to and from her office. Employee understands and agrees that her term of employment is governed only by this Contract; that no right of tenure is created hereby, and that she does not hold a position in any department or office of the City. 4. Wan-anty of Employ= Employee warrants that she is properly certified and licensed under the laws and regulations of the State of California to provide the services herein agreed to. 5. Compensation City shall pay to Employee as compensation in full for all services performed by Employee pursuant to the Contract,the sum of$5,086.08 per month ($61,033.00 per year), said compensation to be paid in accordance with normal City procedures. 6. Term of Contract. This Contract shall commence on July 1, 2002 through June 30, 2003, unless terminated earlier as provided herein. The City Administrative Officer may terminate the contract without the need for action,approval or ratification by the City Council. 7. Termination of Contract for Convenience. Either party may terminate this Contract at any time by giving to the other party fifteen(15)days written notice of such termination, specifying the effective date of such termination. Employee shall be paid for all work satisfactorily completed prior to the effective date of such ternmination. C3-6 3 Cxh 6 �`t A Employee agrees that the notice provisions of this paragraph shall limit the liability of the City in the event that a termination action taken by City pursuant to paragraph 8 is subsequently found to be improper. 8. Termination of Contract for Cause. If Employee fails to perform her duties to the satisfaction of the City, or if employee fails to fulfill in a timely and professional manner the obligations under this Contract, or if Employee shall violate any of the terms of provisions of this Contract, or if Employee has ,a physical or mental incapacity that precludes Employee from performing the duties,or if Employee fails to exercise good behavior in either during or outside of working hours which is of such a nature that it causes discredit to the City or impairs her ability to perform these contract duties, then the City shall have the right to terminate this Contract effective immediately upon the City's giving written notice thereof to Employee. Employee shall be paid for all work satisfactorily completed prior to the effective date of such termination. 9. Fntire Agreement and Modification. This Contract constitutes the entire understanding of the parties hereto. This Contract supersedes all previous contracts, agreements; negotiations or understandings, whether written or oral,between the parties. Employee shall be entitled to no other benefits than those specified herein, and Employee acknowledges that no representations, inducements or promises not contained in this Contract have been made to Employee to induce Employee to enter into this Contract. No changes, amendments, or alterations hereto shall be effective unless in writing and signed by both parties. Employee specifically acknowledges that in entering into and executing this Contract, Employee relies solely upon the provisions contained in this Contract and no others. 10. Non-Assignment of Contract. This Contract is intended to secure the individual services of the Employee and thus Employee shall not assign, transfer, delegate, or sublet this Contract or any interest therein without the prior written consent of City, and any such assignment, _. = 4 Ex��to+ A- transfer, delegation, or sublet this Contract or any interest therein without the prior written consent of City, and any such assignment, transfer, delegation, or sublet without the City's prior written consent shall be considered null and void. 11. Cnvemnt This Contract has been executed and delivered in the State of California, and the validity, enforceability and interpretation of any of the clauses of this Contract shall be determined and governed by the laws of the State of California. All duties and obligations of the parties created hereunder are performable in the City of San Luis Obispo, and such City shall be that venue for any action, or proceeding that may be brought, or arise out of, in connection with or by reason of the Contract. 12. Nondiscrimination. There shall be no discrimination against any person employed pursuant to this contract in any manner forbidden by law. 13. Conflicts of Tnterest_ The employee shall not participate in any decision related to this Contract which affects her personal interest or the interest of any corporation, partnership, or association in which she is directly or indirectly interested. 14. Any reports,maps, documents or other materials produced in whole or part '61"' i' ' unde .,"'under this Contract shall be the property of the City and shall not be subject to an application for copyright by or on behalf of Employee,without the prior written approval of the City. 15. Chitcide Employment, Conduct and Behavior. a. Employee may engage in outside activities such as part-time teaching, consulting, or in other. similar activities unrelated to City business only with the express prior approval of the City Administrative Officer. b. Employee shall comply with all local and state requirements regarding conflicts- of-interest and shall avoid personal involvement in situations which are inconsistent or incompatible with the position of DA Administrator or give rise to the appearance of impropriety. Enforceshility If any terms,covenant, condition or provision of this agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remainder of the provisions herein shall remain in full force and effect and shall in no way be affected, impaired or invalidated thereby. City hereby engages Employee and Employee hereby agrees to perform for City the services hereinafter set forth for the compensation hereinafter set forth, all pursuant to the terms and conditions herein. 2. Pursuant to this Contract, Employee shall provide to City the following services: PC for the DA; specific duties and responsibilities to be established and modified from time to time by the DA Board. Employee shall perform said services under the direct supervision of DA Administrator. 3. Emplo n,ent Status. Employee shall be a full-time employee. Membership in the City PERS retirement program shall be in accordance with PERS requirements with 5%of Employee's share to be paid by Employee and 2%of the Employee's share paid by the Downtown Association. Employee shall receive 13 days of holiday and accrue sick leave at a rate of 8 hours per month. Employee shall accrue 8 hours of vacation per month over the term of this Agreement which shall be taken in a manner consistent with other City employees. The only other paid benefit is medical C3-10 7` coverage not to exceed $2,000.00 annually. RnforceahilitT. If any terms, covenant, condition or provision of this agreement is held by a court of competent jurisdiction to be invalid,void or unenforceable,the remainder of the C3-13 to provisions herein shall remain in full force and effect and shall in no way be affected, impaired or invalidated thereby. No public comment at this time. Motion to approve minutes by Swem, 2"d by Deibert, PAIR County Building Update Weaver reported the County building cleanup will be going forward to the Board of Supervisors on June 18. Bilsten inquired about if additional problems have been found; Weaver said there is no information about that. Dalidio Project Update C3-15 ATTACHMENT 2 Bill Bird gave historical perspecitve of Dalidio project. Bird said the project will happen, whether in the City or the County; Dalidio family has made a lot of concessions; Council did approve bringing project back to City; met yesterday with City staff, will do this over the next few months to reach a development agreement. Bird said he hopes Downtown Association will look at this as a more positive thing than a negative thing. Regarding the project itself and John King's memo; this project does not have a theatre; will not steal any Downtown tenants, have told those who have inquired is "no," there will be some competition, the tenants going into Madonna Plaza were originally the tenants slated for Dalidio, will have day-to-day types of stores, Hilton or Marriott, two department stores, this will be 85% of project; have to have some small shops. Proposed project looks similar to those shown in past. Bird said another change is that project had Main St. component in original architectural theme based on design charette held in the past, this has gone away. Re: supporting v fighting, Bird said he thinks the project benefits the Downtown, Macy's brings people from Valley, etc.; can see buses of people coming to SLO,will help entire county. Better to have the City have the sales tax than County. Bilsten asked about how many square feet in 10,000—20,000 sizes; Bird replied about 100,000 sq ft. will be in 1,000—20,000. Bird said he would be available for discussion during the development agreement process. Swem said if project is successful; it would impact Downtown. Dalidio responded that Downtown is unique, has its own clientele such as university, he doesn't see what fear is of o/s development. Most people he knows shop in other areas, would rather shop here (in SLO) than leave the area; if keep people here, have a better opportunity to keep them here to shop Downtown. Main said the fear is the unknown; the City has focused on_maintaining this, having certain standards, have not have to experience a revitalization; we don't want to go there, how do you preserve this when you put the emphasis elsewhere. Dalidio said they are very willing to work with Downtown,.has lived here his entire life, has grandchild, doesn't want to see Downtown change for the worse, Downtown__is important to him and his family. C3-16 ATTACHMENT 2 Copeland Project Weaver reported that last Tuesday, Council voted to occupy office space in Copeland garage; a public review of EIR is scheduled for tomorrow night. DeJarnette said they are working on archaeological study. Mulholland asked if any merchants have expressed concerns about parking garages being built mostly in the northeast quadrant. Swem replied that two locations across town are looked at: Wells Fargo & Palm/Nipomo. Logo Design Weaver said subcommittee met with Fish Lips and they are redoing logo; will meet again on June 29; should have product for next Board meeting. Taste of San Luis Weaver said event is sold out. Holiday Open House Bragg reported subcommittee has continued to meet; a brochure is being developed to send to businesses for July newsletter; Janet Franks will be working with nonprofits to sell the idea to them. Ambassador Program Weaver said program.is now about a year old; how to tweak the program to make more beneficial for merchant; improve the process; increase success. Swem said options are (1) continue the way it is (2) invite some members to small meeting/table talk with a short agenda. James suggested having a merchant host another group of merchants; Seeley said he thought the premise was to go into businesses rather than to have them go somewhere; thinks 10:30 is way too late, need to start at 8:30. Main said.she likes the idea of going into the business. Bilsten said it seems like people want to show their business off; not that interested in topics; should be approaching new businesses, a mixer of sorts, help get feet on the ground. Mulholland said to make it clear what we're doing for them, what they're getting for their money. *June: Bilsten, Owens, Weaver. Mission Dog Leg Peggy Mandeville presented overview of project; staff is leaning toward full closure, phasing in project; preferred option is to close Monterey St. Going to Council tonight for preproject approval; no loss of parking. Motion by Bilsten to support preliiminary plan in concept; 2nd by Seeley;discussion: Swem said now is the time to insert areas of issues, needs to include Palm/Nipomo parking lot for balance of parking,wants to know how will affect other areas; Bilsten amended to support this project with consideration of Nipomo/Palm multi level parking structure as a component of overall arts district; Seeley said if this project is built, will have more people come, if tied to parking, might keep it from going forward;Wolff said the area is changing and parking will be an important issue, 2nd on amended motion. Swem reported fencing is going on by restroom planters. -Promotions Criterium C3-18 -- -�' ATTACHMENT 2 Swem said to thank them for participation, but cannot support the Criterium, 2"d by Swem, Seeley said at first presentation it was apparent there would be some problems and first year would be a learning curve; Seeley said he would be willing to be part of the leaming curve, Swem said this isn't the first time there's been a criterium. James said on campus they should go to AMA and join with them and let that group put on. Swem said he is not against the bike race.
