RECOMMENDATION
Approve a "Second Amendment" to the existing agreement with Rincon Consultants, Inc. to
prepare the Environmental Impact Report (EIR) in the amount of $16,350.
DISCUSSION
The applicant, San Luis Coastal Unified School District, has submitted project plans to develop 88
residential units in seven separate buildings on a 4.36-acre site on 1642 Johnson Avenue. On
February 7, 2072, the City Council approved the workscope for EIR consultant services in
connection with the project and authorized staff to send out Request for Proposal (RFP) documents
to qualified consulting f,rrms. Part of the Council's action was to authorize the City Manager to
award the EIR contract to a qualified consulting firm, contingent upon the developer depositing
with the City the amount of the contract plus a 30Yo administrative fee. After a review of eight
submitted proposals and interviews of the top three firms, Rincon Consultants, Inc. was selected to
prepare the requested EIR.
On April 18,2012, the School District deposited $115,617 to cover Rincon Consultants, Inc. costs
for the consultant selices to prepare the EIR ($88,936), plus a 30Yo administrative fee ($26,681),
with the administration of the consultant contract overseen by the Community Development
Department, in conjunction with the Finance Department. 'Work on the Administrative Draft EIR
began after the deposit of funds and final execution of the contract.
Prior to the Draft EIR being released in February of 2013 for public review and comment, the
School District suggested and the City concurred to put the EIR on hold and conduct a separate and
more focused access and circulation study of the existing High School and surrounding street
system. The intent is to identify any physical or operational changes that may improve current
traffrc issues around the High School. The cost for the focused study was $24,589 which was paid
by the applicant and processed as a "First Amendment" to the EIR contract with Rincon Consultants
Inc. through a City Manager report approved on April I0,2013.
The School District recently announced that regular bus service to the high school would be
terminated starting with the next school term. Since this change in conditions was not known at the
time that the original project description was developed to constitute baseline conditions, the impact
of the termination of bus service on trip generation needs to be evaluated. The discussion of

mitigation measures will be coordinated with the access and circulation study authorized with the
"First Amendment" to the EIR contract.
The total cost associated with the additional analysis as a "Second Amendment" to the EIR contract
with Rincon Consultants Inc. is $16,350. Additional workscope items for EIRs routinely arise due
to changes in conditions or input from public hearings. To maximize efficiency and continuity,
contract amendments are handled by the same consultant originally selected to prepare the EIR,
rather than going out for a competitive bid. Since the EIR contract was awarded to Rincon
Consultants, Inc., the work items included in this additional analysis would be handled by them and
ultimately incorporated into the EIR for which they have the special expertise and background to
prepare.
According to the purchasing policy contained in the Financial Management Manual on Page 255-2,
the cumulative amount of amendments that the City Manager can authorize for consultant services
is $25,000.00. Since the first contract amendment was already authorized by the City Manager on
April 10, 2013 for $24,589, the additional $16,350 requested as part of this second amendment must
be approved by the City Council.
FISCAL IMPACT
There would be no fiscal impact to the City since the developer would be funding the consultant costs.
ALTERNATIVES
Approve the additional analysis identified in the scope of work for the contract amendment,
but direct staff to prepare it.
If Rincon Consultants is not authorized to proceed with the additional analysis, City staff
would be required to prepare it. City staff does not typically prepare EIRs because of the
workload demands and expertise required beyond typical project processing commitments.
Additional staff costs to handle this work would likely exceed the consultant costs.
2. Continue consideration of the contract amendment.
The California Environmental Quality Act contains timelines for completion and
certification of EIRs (Section 15108). Continuation would further delay the completion of
the release of the Draft EIR that is eagerly anticipated by the City, applicant and surrounding
neighborhood that have been actively involved in the review of the project. The project site
is a desirable location for infill housing and was specifically identified as an appropriate site
for residential development in the adopted Housing Element of the General Plan.

Authorization and Assurances
The cost to the applicant for consultant services (as stated in line 5 above) is based on the
total cost included in the consultant's proposal for preparation of the analysis of the
termination of regular bus service for the high school in conjunction with the focused
circulation study of the high school and the Johnson Avenue Housing Project ElR, as
detailed in Exhibit "A".

SECOND AMENDMENT TO AGREEMENT
This Second Amendment to Agreement is entered into this day of June,
2013, by and between the CITY OF SAN LUIS OBISPO, a municipal corporation, hereinafter
referred to as "City", and RINCON CONSULTANTS, lNC., hereafter referred to as "Consultant."
WITNESSETH
WHEREAS, on April 19,2012, the parties entered into an Agreement concerning the
preparation of an Environmental lmpact Repoft (ElR) per Specification No. 91146; and
WHEREAS, the City and the project applicant concluded that additional analysis is
needed to evaluate the impacts of the termination of regular high school bus service as part of
the overall EIR contract; and
WHEREAS, the City and Consultant seek to modify certain provisions of the Agreement
between them.
NOW, THEREFORE, City and Consultant mutually agree as follows:
1. Section 3 (City's Obligations) of the Agreement is modified to acknowledge
preparation of an analysis of the termination of regular high school bus service and associated
modifications to the Draft EIR (City File No. 56-08).
2. The Scope of Work (Exhibit A) to the Agreement is modified to provide for
payment in an amount not to exceed $16,350 for work performed by the consultant from the
effective date of this Second Amendment to Agreement through the completion of the EIR
contract, as shown on the attached Exhibit B.
3. This Second Amendment to Agreement shall be effective June 18,2013.
4. All other terms and conditions of the Agreement remain unchanged.

is made and entered into in the City of San Luis Obispo on this

LUIS OBISPO, a municipal corporation, hereinafter referred to as City, and RINCON CONSULTANTS,
INC., hereinafter referred to as Consultant.
WITNESSETH:
V/HEREAS, on February 13, 2012, the City requested proposals for the preparation of an
Environmental Impact Report (EIR) per Specification No. 91146.
WHEREAS, pursuant to said request for proposals, Consultant submitted a proposal that was
accepted by City for said EIR services.
NOW THEREFORE, in consideration of their mutual promises, obligations and covenants
hereinafter contained, the parties hereto agree as follows:
l. TERM. The term of this Agreement shall be from the date this Agreement is made and
entered, as first written above, until acceptance or completion ofsaid EIR services.
2' INCORPORATION BY REFERENCE. City Specification No. 91146 (Exhibit A) and
Consultant's Proposal dated March 14, 2012 (Exhibit B), are hereby incorporated in and made a part of this
Agreement.
3. CITYTS OBLIGATIONS. For providing EIR services as specified in this Agreement,
City agrees to cooperate with Consultant in the completion of the work described in Exhibit B (Consultant's
Proposal) attached hereto and incorporated by reference. City will pay, and Consultant shall receive,
payments in accordance with Exhibit C (Compensation Schedule), attached hereto and incorporated by
reference.
4. CONSULTANT'S OBLIGATIONS, For and in consideration of the payments and
agreements hereinbefore mentioned to be made and performed by City, Consultant agrees with City to
provide all specified services as described in Exhibit B (Consultant's Proposal) attached hereto and
incorporated into this Agreement by reference. Consultant may not amend the Scope of Work, either to
modify provisions or to add or delete provisions, without the prior written consent of the City's pioject

5' AMENDMENTS. Any amendment, modification or variation from the terms of this
Agreement shall be in writing and shall be effective only upon approval by the Community Development
Director of the City.
6. COMPLETE AGREEMENT. This written Agreement, including all writings
specifically incorporated herein by reference, shall constitute the complete agreement between the parties
hereto. No oral agreement, understanding, or representation not reduced to writing and specifically
incorporated herein shall be of any force or effect, nor shall any such oral agreement, understanding, or
representation be binding upon the parties hereto.

Request for Fee Authorization for Additional Tasks
Dear Ms. Ricci
The purpose of this letter is to request authorization of additional fees for environmental review services that
exceed those included in the April 20, 2012 contract scope of work for Johnson Avenue Housing ElR, as
amended. With this revised scope of work, Rincon Consultants will oversee preparation of a revised traffic
analysis to be prepared by Kittelson and Associates, lnc. (KAl) to address the discontinuation of bus service to
San Luis Obispo High School beginning in fall 2013. Rincon Consultants will also update other analysis in the
EIR for consistency with the revised traffic study.
Revrsed Scope of Work tor Additional laslrs
Task 1. Revise EIR Traffic Study and lmpact Analysis, KAI will revise the EIR Traffic Study to include an
evaluation of a new "Near-term" scenario that addresses the discontinuation of bus service to San Luis Obispo
High School in the ¡¡ear 2014. KAI willcoordinate with City staff to determine how many new schooltrips would
be created in this scenario, as well as other trips from nearby development projects anticipated to be operational
in this timeframe. These additional trips will be added to the existing traffic counts to identify the near-term
scenario baseline. KAI will apply estimates of the project's trip generation levels and the directional distribution
of the project's traffic from the Administrative Draft EIR Traffic Analysis to evaluate near-term plus project
conditions. KAI will determine the AM and PM peak hour levels of service for the study intersections and
roadway facilities. Project impacts and mitigation measures for the near-term scenario will be identified. The
discussion of mitigation measures will be coordinated with the Access and Circulation Plan.
KAI will also revise the Traffic Study cumulative baseline and cumulative plus pro¡ect scenario analyses to
address the additional trips that would result from discontinuation of bus service to the high school. KAI will
determine the AM and PM peak hour levels of service for the study intersections and roadway facilities for these
scenarios. As with the near-term scenario, project impacts and mitigation measures for the cumulative scenario
will be identified, and the discussion of mitigation measures will be coordinated with the Access and Circulation
Plan.
The Draft Revised Traffic Study will be submitted to City staff for review and comment, and a Final Revised
Traffic Study will be prepared. Rincon Consultants will incorporate the Final Revised Traffic Study into the EIR
Transportation and Circulation impact section.

Task 2. Revise EIR Air Quality, Greenhouse Gas Emissions, Noise, and Alternatives Analyses. Based on
the Revised Traffic Study, Rincon Consultants will update the EIR Air Quality, Greenhouse Gas Emissions,
Noise and Alternatives analyses. This will include updating the CalEEMod criteria air pollutant emissions
modeling and greenhouse gas emissions operational modeling for the project, as well as the operational noise
modeling for receptors along study area roadway segments. The EIR impact analyses and mitigation measures
will be verified and/or modified as necessary to reflect the updated traffic analysis. ln addition, the traffic, air
quality, greenhouse gas emissions, and noise impact discussions in the Alternatives section will be updated to
reflect the revised traffic information.
Proiect Manaqement. Rincon will oversee completion of the Revised Traffic Study, including subconsultant
management and invoicing. This scope of work includes Rincon attendance at one additional project meeting
Schedule
The Draft Revised Traffic Study will be submitted within two weeks after written authorization to proceed
and verification and consensus of the total number of added vehicle trips and their distribution. The Final
Revised Traffic Study will be submitted within ten days from receipt of a single non-conflicting set of
comments. The revised Administrative Draft EIR will be submitted within two weeks of completion of the
Final Revised Traffic Study.
Fee Estimate
As shown on the attached spreadsheet, we are estimating fees in the amount of $'16,350 to complete this
revised scope of work. These fees will be billed on a time and materials basis and in accordance with the
terms of our existing contract with the City.
