This Confirma'on of Easement and Correction of Legal Description Confirmation is made this

PEDP, hic., a California corporation (PEDP) and 1144 Higuera Investments, LLC, a California limited liability
company (_1144 Higuera, and together with PEDP, the Owner). The Owner and City are referred to herein
individually as a Pa , and collectively as the Parties.
A. PEDP is the owner of the real property located in the City of San Luis Obispo, County of San
Luis Obispo, State of California, more particularly described in Exhibit A, attached hereto (the PEDP
Pro e
B. 1144 Higuera is the owner of real property located in the City of San Luis Obispo, County of
San Luis Obispo, State of California, more particularly described in Exhibit B, attached hereto (the 1144
Higuera Pro , and together with the PEDP Property, the Prope
C. Shell Oil Company Shell), a predecessor in interest to the Owner, as Grantor, entered into an
agreement with the City of San Luis Obispo (the City), as Grantee, dated March 16, 1970, and attached hereto
as Exhibit C serpent A eement), whereby Shell agreed to grant to the City an easement to construct,
maintain, repair, replace, enlarge and remove a public storm drain and appurtenances in and across the
Property, which Deed of Easement is attached hereto as Exhibit D (Easement); however, the Deed of Easement
was not officially recorded in the Records of the County of San Luis Obispo.
D. In addition, the legal description contained in the Deed of Easement is incorrect. The Parties
wish to amend the Easement to provide the actual legal description of the easement area, and to confirm the
terms of the unrecorded Deed of Easement document.
NOW, THEREFORE, the Parties acknowledge and agree as follows:
1. Corrected Leal Description. The legal description set forth on the first page of the Easement
outlining the easement area is hereby deleted in its entirety and replaced with the legal description set forth on
the exhibit attached hereto as Exhibit E, which easement area is depicted on the exhibit attached hereto as
Exhibit F.
2. Confirmation of Easement. Except for the modified legal description set forth above, and
with the understanding that the granting of the Easement shall in no way prohibit the Owner from constructing
permanent type structures over the easement area, as set forth in the Easement, the Parties hereby confirm the
Easement grant to the City and acknowledge the terms of the Easement document.

Corporation, hereinafter called "City", deems ix necessary and has prepared engineered
plans for the construction of public storm drains across certain real property at the
corner of Santa Rosa and Monterey Streets in said City, owned by Shell Oil Company,
hereinafter called "Company", in order to provide proper drainage facilities for
neighboring portions of said municipality; and
WHEREAS, it is in the best interest of moth pasties that said storm drains,
I constructed in accordance with sucii City plans, be installed concurrently with the site
f improvements by Company for service station purposes; and
WHEREAS, Company has agreed to grant easements to City for construction,
maintenance and repair of said storm drains and to include said items as an altercate
in its plans and specifications for the service station which Company plans to erect,
provided City agrees to assume allcosts of construction of said storm drains, including
Inspection of said public portion of the project; and
WHEREAS, City intends to publicly advertise for bids on said storm drains and to
award said contract to either the lowest responsible bidder who submits a proposal
directly to City or to the contractor who is selected to construct Company's sex -vice station.
in the event that the bid of the Company's contractor on the alternate item, consisting of
City's storm drains, is lower than any of the bids submitted by those responding directly
to the public invitation by City.
NOW, THEREFORE, in consideration of the premises and the mutual agreements of
the parties hereto, one to the other, it is hereby agreed by and between the City and the
Company, as follows:
1. A recordable deed of easement for said storm drains shall be provided by
Company prior to commencement of construction at its Sang Rosa - Monterey Street
service station site without cost or expense to City, in the form attached hereto as
Exhibit "A", City to bear all costs of recording same.
2. City shall furnish to Company, in sufficient time to be included in the plans
and specifications to be. distributed by Company to its prospective contractors fob the
service station to be erected on its Santa Rosa - Monterey Street site, sufficient copies
of the City's approved plans and specifications for said storm drains to be included as
an alternate item by Company's contractors,

3. City shalt notify Company, on or before zie last date on which Company
must notify the contractor selected to construct its service station whether its bid on
the storm drain alternate has been accepted, of its decision either to award a separate
contract to the lowest responsible bidder responding to the public for the storm drain
improvements as a separate contract invitation or to Company's contractor (where said
contractor's bid, as a Company alternate item is lower) . In the event City awards a
separate contract for the storm drains, its contractor will be required to coordinate its
activities with Company's contractor.
4. City agrees to provide all inspection services required on said storm drain
project and to pay the entire cost of said storm drain improvements to the contractor
selected by City when the same are completed and accepted by City and when the exact
costs thereof have been determined, or, upon such completion and acceptance, directly
to the Company, where the work is included as an item under Company's contract for
its service station.
D. Upon completion and acceptance of said storm drain improvements, City
agrees to operate and maintain said improvements at its own cost and expense.

DEED OF EASEMENT
SHELL OIL COMPANY, as Grantor, hereby grants to the CITY OF SAN
LUIS OBISPO, a Municipal Corporation, as Grantee, the following easement
in the City of San Luis Obispo, County of San Luis Obispo, State of Cali-
fornia, to wit:
An easement to construct, maintain, repair, replace,
enlarge and remove a public storm drain and appurtenances
in and across that portion of Block 30 of the City of
San Luis Obispo according to the Official Map of said
city filed for record in the Office of the County Record-
er of the County of San Luis Obispo described as follows:

A strip of land 15.00 feet wide whose centerline is des-
cribed as follows: beginning at the most Southerly cor-
